Dear Sir or Madam:

As you may be aware, we are in the business of Brief Description of Your Business.

As a result of the quality and reliability of our products and services, we have earned an

developed considerable customer loyalty and goodwill over the years.

Our products are also unique and innovative in design and appearance. There can be no question
that our products have acquired such goodwill and secondary meaning that the public has come
to associate them exclusively with us.

It has come to our attention that you have attempted to wrongfully appropriate our proprietary
rights and goodwill for your own use, through Describe Infringing Actions (ie. the distribution of
a flyer passing off your own products as our client's products). Specifics of your actions include
Details of Infringing Actions (ie. using our client's part numbers and descriptions). It is inevitable
that the public will erroneously believe that we have sponsored, licensed or are otherwise
associated with the product of your company.

Your use of our goodwill also constitutes copyright infringement and unfair competition. We
cannot permit such confusion or false association to continue, because to do so would destroy the
value of our rights and dilute the distinctive value and tarnish the reputation and goodwill
associated with our products.

In view of the above, we demand your prompt assurance in writing, that you will:

1. Immediately discontinue any distribution of the infringing material and any material that
carries the same or similar offensive language; and

2. deliver up for destruction any such infringing material;

Unless we receive word from you or your counsel within five (5) days from receipt of this letter,
we shall be forced to take legal action, in which event all available legal remedies will be sought

including an injunction, an accounting for profits, punitive/treble damages, attornies' fees and
other costs. This is without prejudice to any other rights that we may have.

The further action which we take will depend upon the nature and promptness of your reply.
