This report went to both City and County managers and to elected officials; Bylaws: URTVs bylaws were

ratified on May 28th, in a hastily called meeting. In violation (yet again) of its own special meeting notification requirements at Trinity Baptist, in West Asheville. The Board of Directors as well as the Executive Director are all complicit in the travesty of this set of bylaws. 2009 Bylaws: Contains no mission statement (2007 Bylaws Mission statement: To maintain, control, operate, and administer the Public Access Television channel serving the City of Asheville, and such other incorporated governmental entities in Buncombe County, North Carolina.) 2009 Bylaws make no mention of Public Access. 2009 Bylaws: URTV board (in an improperly called special meeting) significantly diluted the voting power of the city's appointed representatives by expanding the voting membership of the board to include only new members appointed by the board itself. 2009 Bylaws grants basically all inclusive power to the five members on the executive committee (which will always be handpicked by the current ED), and shuns the full board and its responsibilities and right-to-know. 2009 Bylaws: NC statute 55A-10-20 Allows the membership to take part in bylaws ratification...this did not happen. (May need Mr. Oasts opinion if this is applicable.) Purposes:

As set forth in the URTV Articles of amendment at Secretary of State (dated 5/31/02) say purpose is to maintain, control, operate, and administer the public access channel serving the city of Asheville and Buncombe County. 2009 Bylaws do not mention the Articles of Incorporations primary purpose. In the 2008 Annual report submitted states in the Executive summary: The original plan to have another web channel for sponsorship and curated type or selective programming, is still in progress. Earned revenue is approximately $30,000 $40,000 but could be closer to $50,000. This has never been discussed openly in a board of directors meeting. No mention of this plan is in any of the 2007 minutes. URTV is a 501 (c) 3, and a commercial channel is not allowed in a non profit capacity. Minutes: Minutes are unpublished, incomplete or censored. Minutes of Executive committee meetings and other committee meetings are not recorded and on file. Transparency: Willful disregard of open record laws: NC Open Record statutes GS-55A-16-02 Requests to view financial records have been denied to former board members. Instructions from the Board for Mrs. Garlinghouse, at her first performance evaluation in Nov. 2007 for more transparency have gone unheeded. Board member who requested financial information (which is their fiduciary responsibility) is improperly removed in a Special Meeting. This is the

second member elected, board member who was removed for asking for more specificity in financial issues. Board members request for membership list is refused. Violation of NC Statute GS-55A-720 Willful disregard of open meetings laws. Ongoing issues with open meetings, obstruction of videotaping of meetings. Cameras required to be at far end of meeting room, away from meeting and audio is severely diminished. There is usually adequate room much closer to meeting table for cameras without hindering meeting. Camera operators harassed and intimidated at open meetings. Open meeting laws dialog Meeting announcements often do not follow open meetings law. Management Agreement: Non compliance with the following sections of Asheville / URTV Management Agreement. Section I A & B: Promote Access Services. 1.E Develop and conduct revenue generating activities. Aggressive pursuit of grant opportunities, develop underwriting support. Discouragement of the development of fundraising activities. 1.C Provide non discriminatory access, (frequent personality conflicts with member suspended and never allowed to return.) Membership has dropped from high of 623 to approximately 225. Valid concerns expressed by Board member regarding declining membership is viewed as destructive. No attempt to contact former members to ascertain why they have not renewed is allowed or pursued.

1.F Comply with Rules, Laws, and Regulations : See Bylaws and NC Non-Profit statute violations in other sections. Failure to notify public about board meetings, special meetings, executive meetings. Numerous violations of meeting requirements, secret, special meetings, and executive committee meetings deciding for whole board instead of full board discussing an issue, then appointing a committee to research and form an opinion based on group diversity and experience. Programming & Signal Quality: Diminished programming Audio and video frequently of poor quality, caused by indifference or incompetence. ED appears to favor consulting from outside sources (flying them in from Texas at great expense) rather than utilize local tech support. VOD and internet feed poor quality or non existent. Failure to utilize local resources / instead bringing in technical help from Texas at great expense. With that expensive consulting, VOD signal is still not functioning properly. Board / Executive Director relationship: Harassment and dismissal of whistle-blowers. Select executive committee members meet in secret, make decisions (latest is Bylaws restructure), decision is then presented to full board for vote. No allowance for system of checks and balances. Executive Director has informed a board member that the board will never tell her what to do. Executive Director / Membership relationship:

Drastic membership decline. Hostile attitude toward members who have disagreements, or who mention problems with URTV. Dissenting /opposing points of view are not tolerated. Often a producer who has issues is dismissed with suspension and not allowed to return to producing. Selective /arbitrary enforcement of the rules, based on favoritism. Removal of members through devious means. Demonization of any dissenting members by ED resulting in extremely divided and hostile environment. No recourse of suspended member to appeal to an objective third party. Appeals process is a catch 22. Ideally people who care about Public Access TVs potential to express the great diversity in Buncombe County, and to act as an oversight committee till problems are resolved .
