TEMPORARY RENTAL DEBT

COLATERALAZATION LOAN
Date-12/3/09

Re: past due rent

The purpose of this document is to temporarily collateralize the rental

debt until paid in full.

Whereas: Clifford Ashby hereinafter referred to as (the tenant) and

David Bradley of MVP hereinafter referred to as (the landlord).

Whereas: the tenant owes to the landlord a balance of past due rent of
$5,500 as of October 15th 2009.

Whereas: effective December 31st barring any partial payment the

tenant shall owe to the landlord a balance of $4,474.00

Whereas: the Landlord has given adequate notice to the tenant to

evacuate the space both on 9/11/09,10/27/09 and 11/6/09

Whereas: the Landlord is granting a stay to the tenant upon ratification

of this agreement.

Whereas: the tenant agrees to collateralize his debt by conveying

temporary ownership of the following assets:

Approx. North American Auto Equipment used value-------$1,495

Whereas: the landlord will agree to give the tenant until December 17th
to sell the Honda 2001 civic through E-Bay, Craigs list or by any means
and it is agreed that all proceeds over the amount of $4,500 shall be
conveyed to the landlord as further payment towards the rental
balance.

Whereas: the tenant agrees that should there be no further payments

made by the 18th of Dec, 2009, the tenant shall prepare for evaquation
of the premises by days end of 12/31/09.

Whereas: the tenant understands and agrees that if the rental debt is
not paid in full by the end of this period he will evacuate immediately.

Whereas: the tenant understands and acknowledges that referenced

Vehicle lift shall remain in the shop until all dept is paid including: rent,
utilities, debris removal.
