CONSULTANCY CONTRACT

This CONTRACT (Contract) is entered into this August 13, 2013, by and between
Master Tsi Ming Tsoi (the Consultant), a Filipino and Chinese citizen, having his
residence and principal place of business at 888 Ongpin, Binondo, Manila and Mr.
Bimby Yup, (the Client) residing in 21 Jumpstreet, Forbes Park, Makati City.

WHEREAS, the Client wishes to have the Consultant perform the services hereinafter
referred to; and

WHEREAS, the Consultant is willing to perform these services;

NOW, THEREFORE, THE PARTIES hereby agrees as follows:

1.

Services

The Consultant, being the best Feng Shui expert

trained by the ancient monks of China, shall
undertake to draft and submit to the Client a house
design that would ensure the flow of Chi for the
property of the Client located in White Plains,
Quezon City.

2.

Term

The Consultant shall perform the Services during the

period commencing August 13, 2013 and continuing
through November 13, 2013, or any other period as
may be subsequently agreed upon by the parties in
writing.

3.

Payment

For services rendered pursuant to this Contract, the

Client shall pay the Consultant an amount of One

Hundred Twenty Thousand (P120,000.00) pesos
upon receipt of the house design.

4.

Ownership of Material

Any reports, drafts or other material, graphic,

software or otherwise, prepared by the Consultant for
the Client under the Contract shall belong to and
remain the property of the Client. The Consultant
may retain a copy of such documents and software,
exclusively for record purposes.

5.

Assignment

The Consultant shall not assign this Contract or subcontract any portion of it without the Client's prior
written consent.

6.

Law Governing Contract

The Contract shall be governed by the laws of the

Philippines.

7.

Dispute Resolution

Any dispute arising out of the Contract, which

cannot be amicably settled between the parties, shall
be referred to adjudication/arbitration in accordance
with the laws of the country.
