willbepossiblebasedonthesuccessofEliphante,andthebenefitsitwouldprovidetoInvestors

onthepartoftherecipienthereofandtherecipient'srepresentativestomaintainthe

ThisMemorandumisforreviewbytherecipientonly.Therecipient,byacceptingdeliveryofthis
Memorandum,agreestokeepconfidentialalltheinformationandshallnotrevealdetailstoany
otherthirdpartiesdirectlyorindirectly,discloseorpermititsaffiliatesorrepresentativesto
discloseanyofsuchinformationtoanyotherperson,exceptforlegalcounselandaccountants
directlyconnectedwiththeInvestment,andwhohasagreedtotheConfidentialityStatementsin
thisMemorandum.Ifyoudonotagreewiththeconfidentiality,donotacceptdeliveryorreadthis

ThisMemorandumisfurnishedforthesoleuseoftherecipient,andforthesolepurposeof
