This Notice is being sent to you because you are receiving or are scheduled to
receive periodic payments from MetLife Investors USA Insurance Company
("MLI USA") pursuant to structured settlement, MLI USA is the owner of an
annuity contract issued by MetLife Insurance Company of Connecticut ("MICC")
to fund these periodic payments. While MLI USA is the owner of the annuity
contract, the payments come directly come directly to you.

As part of a larger corporate restructuring, and subject to regulatory approvals,
MLI USA will be merged into a redomesticated and renamed MICC to be known
as, MetLife Insurance Company USA. Prior to this merger, MLI USA is proposing
to transfer its Structured Settlement obligations and ownership of the
associated annuity contracts funding these obligations to MetLife USA
Assignment Company.

Other than substituting the company responsible for your payments, none of
your rights, benefits or tax advantages under your structured settlement
contract will change.

Unless you object, you are agreeing to the transfer of the obligations under
your structured settlement contract from MLI USA to MetLife Assignment

Accepting or Rejecting the Transfer

Your scheduled payments will continue whether you accept or reject the
transfer. If you are an affected payee and wish the qualified assignment
obligations attributable to your structured settlement to be transferred to
MetLife USA Assignment Company, you need not take any action.

If you choose to reject the transfer, you must contact us at 800-793-8488 by
September 5, 2014 to request a rejection form, which must be completed and
returned to us. If you do not contact us by that date to request a rejection form,
you will be deemed to have consented to the transfer of qualified assignment
obligations to MetLife USA Assignment Company.
