CONTRACTASSIGNMENTAGREEMENT

This
CONTRACT ASSIGNMENT AGREEMENT made on 04/08/2015, by and between .V.N
CORPORATIONS, hereinafter referred to as the "Assignor" (individual, company or entity
transferring rights to another entity or "Assignee"), located at , San Francisco, California and .
Alejandro Magallon (The Science Blog), hereinafter referred to as the "Assignee" (individual,
company or entity receiving transfer rights from another entity or "Assignor"), located at 340
Castro St, San Leandro, California 94577, in consideration of the mutual covenants herein
contained and other good and valuable consideration, the sufficiency of which is hereby
acknowledged,andtakenotice:

WHEREAS
, the Assignor freely entered into a Contract with V.N CORPORATIONS,
hereinafter identified as JPEG File Rights 10175869833 and hereinafter referred to as the
"Contract"

WHEREAS, the aforementioned Contract having an expiration date of 06/23/2015, and may be
extendedaspermittedtherein

WHEREAS, the AssignordesirestoassignallofitsrightsandobligationsundersaidContractto

theAssigneeand

WHEREAS, the aforementioned Contract does herein require the prior written consent of V.N
CORPORATIONS, the duly authorized representative of V.N CORPORATIONS, for the
assignmentthereofoftheStandardTermsandConditions.

NOWTHEREFORE,
AssignorandAssigneeagreeasfollows:
TheAssignorandtheAssigneehereby agreethattheAssignorshalltransferall itsright,titleand
interest, and delegate all its obligations, responsibilities and duties in and to the Contract to the
Assignee.

The Assignee does hereby accept the assignment of all of the Assignor's obligations,
responsibilities and duties under the Contract and all of the Assignor's right, title and interestin
andtotheContract.

Notwithstanding the foregoing, the Assignor agrees to defend and indemnify V.N
CORPORATIONS from any and all claims, actions, judgments, liabilities, proceedings and
costs, including reasonable attorneys' fees and other costs of defense and damages, resulting
from Assignor's performance prior to the assignment of the contract and resulting from

Assignee's performance after the assignment of the Contract, provided however, that after the
assignment of the Contract, V.N CORPORATIONS shall first look to Assignee to satisfy all
claims, actions, judgments,liabilities,proceedingsandcosts,includingreasonableattorney'sfees
andothercostsofdefenseanddamagesresultingfromAssignee'sperformance.

The Assignee agrees to indemnify V.N CORPORATIONS from any and all claims, actions,
judgments, liabilities, proceedings and costs, includingreasonableattorneys'feesandothercosts
of defense and damages, resulting from the Assignee's performance after the assignment of the
Contract.

V.N CORPORATIONS in executing its consent to this Assignment Agreement doesnotrelease

the Assignor from any claims or remedies V.N CORPORATIONS may have against the
AssignorundertheContract.
