Board of Directors Meeting
MINUTES
Thursday, May 21, 2015
A meeting of the Albany Parking Authority Board of Directors was held at 8:30 a.m., Thursday,
May 21, 2015 at the Albany Hilton, 20 Lodge Street, Albany, NY.
The following were in attendance:
Board Members:
Kevin OConnor, Beth Lacey, Chris Burke, and William Pettit, III. (Jeff Sperry was excused due
to a schedule conflict).
Other:
Thomas M. Owens, Esq. and John Higgins, Esq.
Chairman OConnor called the meeting of the APA Board to order at 8:35 a.m.
Executive Session
A motion to enter into executive session was made by William Pettit, III, seconded by Beth
Lacey to discuss the employment history of certain individuals. The Board entered into
executive session at 8:37 a.m. The Board left executive session at 9:58 a.m. and returned to its
regular/open session. No actions were taken during executive session.
A motion was made by William Pettit, III and seconded by Chris Burke to retain Nixon Peabody
(John Higgins, Esq.) to provide legal services related to employment matters (Employment
Counsel). A vote being taken, the motion passed unanimously.
A motion was made by Chris Burke and seconded by Beth Lacey to authorize the APA Board
Chair to terminate the employment of the APA Executive Director in accordance with section
3.1 of the APA/Executive Director Agreement (without cause), with such other reasonable
terms and conditions in the discretion of the Board Chair, in consultation with Employment
Counsel, and on notice to the other Board members. A vote being taken, the motion passed
unanimously.
A motion was made by Beth Lacey and seconded by William Pettit, III, to authorize the APA
Board Chair to appoint the APA Associate Director as the APA Interim Executive Director at a
salary of $100,000 per year and other reasonable employment terms and conditions in the
discretion of the Board Chair. A search will be conducted for a permanent APA Executive
Director as soon as reasonably practicable.
There being no further business, the Albany Parking Authority Board of Directors meeting was
adjourned at 10:30 a.m.
