‘TCF BANK STADIUM
EVENT AGREEMENT
THIS EVENT AGREEMENT (“Agreement”) is entered into effective as of the date of
last signature below by and between Regents of the University of Minnesota (“University”), a
‘Minnesota constitutional corporation, and NHL Enterprises, L.P. (‘NHLE”), a Delaware limited
partnership. This Agreement is entered into by University through its Department of
Intercollegiate Athletics.
1. Grant of License.
1.1 Subject to University’s rights described in Seetion 5 below, University grants to NHLE
an exclusive license to use the seating bowl, playing field, and westem plaza of TCF Bank
Stadium (“Stadium”), together with the facilities, rooms, and other areas identified on Exhil
A, (collectively, the “Facility”) during the License Period (as defined in Section 2.2) or the parts,
thereof specified on Exhibit A. The Facility includes the storage area identified on Exhibit A.
which storage space includes a heated, secure area for two ice resurfacing machines. NHLE shall
not have use of the “Exclusive Aramark Areas” identified in Exhibit A-1. For the avoidance of
doubt, the Exclusive Aramark Aseas will be available for use by Aramark Edueational Services,
LLC (“Aramark”), University’s food and beverage concessiouaire, to provide all food and
beverage services necessary in connection with the Event, defined below. NHLE may use certain
Facility areas for purposes other than their intended use as mutually agreed by the parties. The
Facility also includes the interior lobby and interior concourse areas of Mariucei Arena, as
shown on Exhibit A-2, during the dates and times specified on the Exhibit.
12 NHLE may use the Facility solely for the following purposes set out below and those
purposes expressly set forth elsewhere in this Agreement:
* February 19, 2016 (Friday) ~ Team Family Skates, if NHLE opts to hold such skates (an
NHLE Ancillary Event, as defined below)
February 20, 2016 (Saturday) — Team Practices / Alumni Game (the “Alumni Game”).
February 21, 2016 (Sunday) — 2016 Coors Lights NHL Stadium Series game featuring
the Chicago Blackhawks versus the Minnesota Wild (each, a “Team”, collectively, the
“Teams”) (the “Game”).
February 22, 2016 (Monday) — Altemate Date for Game / NHL Ancillary Events, as
defined below. 6 PM or LATER
NHLE shall have the exclusive right during the License Period in accordance with the
schedule set forth on Exhibit B to hold ancillary events and activities at the Stadium (including
sponsor, official and media skates, hospitality events and parties, team practices, team family
skates, and fan activities in Spectator Plaza (defined below)), collectively (“NHLE Ancillary
Events”), and will retain 100% of any revenue generated therefrom (for clarity, including theAlumni Game and Game). Team Practices will be open to team families, designated sponsors,
and/or the media, and may be open to the public as a ticketed event at NHLE’s sole discretion.
NHLE Ancillary Events, the Alumni Game/Team Practices and Game shall be collectively
referred to as the “Event.” NHLE shall be responsible for all expenses of NHLE Ancillary
Events (“NHLE Ancillary Event Expenses”). For clarity, NHLE Ancillary Event Expenses
shall not be included as Game Day Expenses, as described in Section 8, below.
In the event NHLE desires, in its sole discretion, to hold a fan festival or other fan activities in
connection with the Event, NHLE shall use the area of Oak Street identified on Exhibit A-2
(Spectator Plaza”) and obtain the applicable permits from the City of Minneapolis at NHLE’s
expense for such use, including a street closure permit, on such date(s) and at such time(s) during
the License Period as may be specified by NHLE and approved by the City and University. The
University has approved the dates and times for Spectator Plaza set forth on Exhibit 4-2. No
alcohol may be served, sold or consumed on Spectator Plaza. All other beverage service and
sales and any food or merchandise distributions or sales (for clarity, including complimentary
beverages, food, and merchandise) must be conducted in accordance with Sections 18 and 19 of
this Agreement. Except as otherwise contemplated herein, NHLE shall be responsible for
conducting all operations for and in connection with Spectator Plaza and all costs and expenses
associated therewith, which expenses shall be included in the NHLE Ancillary Event Expenses
As between NHLE and University, NHLE will retain 100% of any and all revenne received in
connection with Spectator Plaza, excluding parking revenue.
13 Ancillary Events. The parties shall mutually consult with the Minnesota Wild to
determine Minnesota Wild auxiliary events and activities (collectively, “Wild Ancillary
Events”). The resulting schedule is set forth on attached Exhibit B. All Wild Ancillary Events
shall be scheduled on February 23, 2016 and February 24, 2016 (the “Wild Ancillary Events
Period”), unless otherwise noted on Exhibit B, subject in each instance to factors such as time,
weather, ice conditions (if applicable) and other needs and concerns relating to the Event as
determined by NHLE in its sole discretion. NHLE shall be responsible for maintenance and
operation of the Rinks at its expense during the Wild Ancillary Events Period. The University
shall arrange for reimbursement from the Minnesota Wild for any additional services required or
desired by the NHLE or Minnesota Wild fiom the University for the Wild Ancillary Events
(trash removal and clean-up, security, efc.), provided that the NHLE shall reimburse the
University for any such expenses incurred by the University and supported by substantiating
documentation for which the Minnesota Wild fails to promptly reimburse. For clarity, all Wild
Ancillary Event expenses shall not be included as Game Day Expenses. The parties agree that,
as between the University and the NHLE, the NHLE shall retain 100% of any and all revenue
received in connection with Wild Ancillary Events, excluding parking revenue
14 Start Times/Dates. Start times and dates for the Event and Wild Ancillary Events held
during the License Period shall be as set out in Exhibit B, Notwithstanding the foregoing, all
activities and start times involving the ice surface(s) are subject to change or cancellation, in
NHLE’s sole discretion, but shall involve discussion with and notification to University,
provided that the only alternate Game date shall be Monday, February 22, 2016, commencing at
6-00 p.m. or later, and further provided that the Alumni Game date shall not be rescheduled.2. License Period
2.1 Intentionally Deleted.
2.2 License Period. NHLE shall be given full (24-hours-a-day, 7-days-a-week) and, except
as set out in this Agreement, exclusive use and access rights to the Facility between February 9,
2016, and February 29, 2016 (the “License Period”) for the purpose of constructing, erecting
and installing the Rinks, for the use and storage of any other equipment necessary for the Event,
and for designing and conducting the Event in accordance with the terms of this Agreement.
NHLE will remove the Rinks and all of its equipment and materials from the Facility by no later
than the date of the end of the License Period, subject to events of Force Majeure; provided that
NHLE shall not be responsible for the timing of the removal of the Vikings Seating (defined in
Section 10 below), which shall be removed by the University at its sole cost, provided that
NHLE shall pay the Additional Seating Expense (as defined below). University will cooperate
with NHLE to facilitate NHLE’s reasonable needs and requests during the License Period.
The License Period may be extended or modified to account for changes or modifications
to the Event and/or Wild Ancillary Events Period, as mutually determined by parties, but in no
event shall the start of the License Period be changed to be fewer than 12 days before the first
game played during the Event, and the end be fewer than 5 days following the final scheduled
activity of the Event or Wild Ancillary Events.
23 University, at its sole cost, shall deliver upon the commencement of the License Period,
as defined below, (i¢., 12:01 am. February 9, 2016) the Facility (including, but not limited to,
seating bowl and playing field) in a condition commensurate with the “game-day” conditions for
the November 22, 2015 NFL game between the Green Bay Packers and the Minnesota Vikings
(e.g., materially free of snow, trash and debris), subject to a Force Majeure Event, and University
shall, at its sole cost and expense, ensure that the Facility playing field is completely free of goal
posts, field goal nets and all University equipment and materials (¢.g., University may not store
any field covers or tarps on the Facility playing field during the License Period). For avoidance
of doubt, no permanent signage or University logos or Stadium fixtures shall be removed.
During the License Period, University will not alter, undertake any renovation or construction
on, and/or improve the Facility in any way, or engage in any non-emergency construction that
would materially interfere with the rights granted to NHLE hereunder without NHLE’s prior
written approval.
24 Not less than 48 hows in advance, NHLE shall inform University of the reasonably
estimated arrival time at the Facility of the first vehicle containing personnel or materials that
will be used in preparation of the Facility for the Event (“Load-in”). At or before the conclusion
of the Event, NHLE shall inform University of the reasonably estimated departure time of the
last vehicle containing personnel or materials used in the Event (“Load-out”). Load-in and
Load-out will occur during the License Period
2.5 NHLE or its authorized agent or representative must be present at the Facility to accept
delivery of all equipment and supplies for the Event.
