The Customer Account is available for record keeping of all purchased licenses. Although
download links remain active in your account, this does not guarantee they will be available perpetually. Therefore, it is highly recommended to back up all audio content on a
separate hard drive or data disc.

The royalty-free instrumentals transacted through Sinima Beats are licensed, not sold, to You for use only under the terms of this license. Sinima Beats
reserves all rights not expressly granted to You. The instrumental that is subject to this license is referred to in this license as the audio content. This
license granted to You by Sinima Beats includes nontransferable rights to use the audio content as part of a song, motion picture, application, game,
ringtone, or advertisement project. If you fail to adhere to the terms and conditions as noted in this agreement, your license may be subject to termination upon notice, without refund. Because this license agreement is not personalized, the order receipt must be attached to this document in the event
that proof of licensing is required by any 3rd parties.

Summary

Music Licensor hereby grants the non-exclusive, nontransferable rights to use the provided audio content in preparation
of a new work which shall be known as the Master Project. The audio content has been licensed, not sold to You for use
only under the terms of this License. This AGREEMENT includes permission to use the audio content for recorded songs,
soundtracks, mass duplications, commercial distribution, music video, live performance and collaboration. In addition,
permission is granted to modify the arrangement, length, tempo, or pitch of the audio content in preparation of the
Master Projects public release.

Term & Territory

The term of this AGREEMENT shall commence as of the date of purchase, which is located on the order receipt and shall
continue perpetually without expiration, 100% royalty-free. The territory in which the Master Project (whether song
or motion picture), may be commercially distributed is worldwide, which extends throughout the entire world. This
also includes but is not limited to all World Wide Web territories via website or digital song and album distributors, such
as:

>> Xbox Music - xbox.com/music

CONTRACT SIGNATURE

Because audio fingerprinting technology on sites such as YouTube and Soundcloud is currently limited in its capabilities to detect the uniqueness of
each Master Project, it is possible that the Master Project will match the content of other non-exclusive license holders. In the event that the Master
Project matches 3rd party content, include a copy of this agreement and your order receipt along with your dispute in order to resolve the claim in a
timely manner. If in the event that your dispute is refuted even with the evidence provided for your commercial rights, please contact Customer Service
at sales@sinimabeats.com for assistance.

All audio content is generated and

delivered in 16-Bit Stereo, 44.1 kHz,
WAV format only, which is compatible with all major recording devices
on the market. In the unlikely event
that WAV is not compatible with your
platform, many audio convertors are
available which enables conversion
to several alternative audio formats.

Multis are individual instrument layers (E.g. kick, snare, hi hat, piano, bass,
strings, vocals, etc.) that comprise of
the entire beat. These files are delivered in WAV format as audio stems.
These audio stems share the exact
length of one another and will sync
perfectly when placed at 00:00:00
time or at any common starting point.

A complimentary Mp3 file of the beat

is included with your purchase which
may be used for burning the audio to
CD or transferring to mobile devices
such as a cell phone, tablet, Mp3
player, etc.

All audio content is delivered in a

compressed zip file which can be extracted using any of the most commonly used operating systems (Windows or Mac).

purchase again by accessing your account online. This does not guarantee that the files will be available at
a later time.

MUSICAL COMPOSITION
Licensee shall have the right to incorporate additional instrumentation, lyrics, and vocals in combination with the
audio content to create an entire song and may retitle the Master Project. The previous condition also applies to
synchronization rights (E.g. game, application, advertisements, or motion picture soundtracks). The Licensee, whether
working alone or in a collaborative effort, shall have sole administration rights to the Master Project created under this
AGREEMENT.
In the event that additional instrumentation from a 3rd party is added to the audio content, credit shall be granted to the
musician by way of listing the added instrument(s) only (E.g. Guitar Solo by John Doe). There shall be no coproducer
listed with relation to the music portion of the Master Project.

CREDIT

Vocal Hooks: If the name of the vocalist is not listed on the Music Licensors website or within the audio content provided,
then it is not necessary to credit the singer. However, if the name is listed, credit should be given wherever applicable
but is not mandatory.

Licensee must provide legible credit to Music Licensor wherever the Master Project
is publicly released. This relates to all forms
of distribution, whether in the physical or
digital realm.

ROYALTIES

Licenses are royalty-free, which grants

rights to collect all income generated from
the commercial release of the Master Project. This includes royalties collected by
PERFORMANCE RIGHTS ORGANIZATIONS.

You may submit the Master Project to the

Library of Congress for copyrighting via the
SR or PA forms, or any other means of acquiring copyright protection. Sinima Beats

Assignment
It is not permissible to assign rights, duties or obligations under this AGREEMENT to a party other than the original
purchaser of the License without the express written approval of the Music Licensor.

Licenses are 100%, royalty-free, which grants rights to collect all income generated from the commercial release of the Master Project. This includes
royalties collected by Performance Rights Organizations from anywhere in the world, also known as copyright collection societies. When submitting
the Master Project to the Library of Congress for copyrighting via the SR or PA forms, or any alternative means of acquiring copyright protection,
Sinima Beats must be included for the derivative work; this being the previously existing work (audio content) that now comprises of a new work
(Master Project). In the event that the audio content has lyrics, such as beats with vocal hooks, it is permissible to submit the sound recording in its
entirety to the Library of Congress but must exclude the written or typed lyrics for the hook portion of the song from your copyright form. It is not
necessary to input credit to the singer of the prerecorded vocal hook on the copyright form.

This AGREEMENT grants rights for royalty-free use of the audio content itself as background music for Licensees own
or jointly-owned motion picture, game, application, or advertisement projects. In addition, recorded songs may also be
placed on such projects, royalty-free. The synchronization rights never expire and may be used for multiple Master
Projects, 100%, royalty-free.

REPRESENTATIONS & WARRANTIES

Sinima Beats represents and warrants that it is the owner of the copyright to the audio content. In addition, Sinima Beats
owns all publishing rights, title and interest to the audio content. Any third party samples, VSTs, or sounds used in the
composition of the audio content have been funded and cleared by Sinima Beats; no further clearance is necessary. If in
the event that the downloadable audio content provided with the purchase of a license contains errors, inconsistencies,
or is missing files, Licensee agrees to contact sales@sinimabeats.com so that Customer Service may make every effort to
correct the errors in a timely manner.

To the extent permitted by law, You agree to indemnify, defend and hold harmless Sinima Beats, its directors, officers, employees, independent
contractors and agents (each a Sinima Beats Indemnified Party) from any and all claims, losses, liabilities, damages, expenses, and costs (including
without limitation attorneys fees and court costs) (collectively Losses) incurred as a result of Your breach of this Agreement, a breach of any
certification, covenant, representation or warranty made by You in this Agreement, any claims that Your use of the audio content violates or infringes
intellectual property or proprietary rights, or otherwise related to or arising from Your use of the audio content, Your Master Project. You hereby agree
to indemnify, defend and hold harmless Sinima Beats from any Losses incurred. In no event may You enter into any settlement or like agreement with a
3rd party that affects Sinima Beats rights or binds Sinima Beats in any way, without the prior written consent of Sinima Beats. This information has also
been provided to you in the Terms & Conditions section of the website, prior to the purchase of the license and audio content.

RESTRICTIONS
Do not commercially release the Master Project using the tagged demo version.
Do not use the provided sounds, drums, or vocals for anything other than its intended purpose.
Do not share the audio content with others unless they are directly involved in the Master Project.

Governing Law

The Master Project cannot be commercially released using the demo versions of the audio content in any way, even with
the subsequent purchase of a license. The Master Project must be released, free of all Sinima Beats audio marks. All
sounds, drums and vocals included are the property of Sinima Beats and cannot be used for any purpose other than as
described in this AGREEMENT. The audio content cannot be shared with anyone unless they are directly involved in the
Master Project (E.g. audio engineer, featured artist, musician, etc.). Any Master Project that is found in violation of these
restrictions may be subject to termination of its commercial rights without refund. In addition, the Master Project may
be subject to removal from all third party distributors with the assistance of copyright infringement enforcers. Any loss
incurred with such removal is not the responsibility of Music Licensor. If you are uncertain of your commercial rights, you
may contact Customer Service for assistance in clarifying any of these restrictions.

This AGREEMENT shall be construed in accordance with, and governed in all respects by the laws of the State of New York,
without regard to conflicts of law principles.

Entire Agreement

This AGREEMENT constitutes the entire terms, conditions and understandings of the parties with respect to the subject
matter hereof and supersedes and replaces all prior discussions. There are no other promises, conditions, understandings,
or other agreements, whether oral or written, relating to the subject matter of this Agreement. If any provision hereof is
deemed to be illegal or unenforceable by a court of competent jurisdiction, the enforceability and effectiveness of the
remainder of the AGREEMENT shall not be affected and this AGREEMENT shall be enforceable without reference to the
unenforceable provision.

IMPORTANT INFORMATION
Your order receipt which contains your name, order number, beat title(s), date of purchase and license type must be included with this document
whenever you are required to provide proof of licensing. This AGREEMENT without the order invoice is not sufficient proof of your commercial rights.
