In January, 2010, before Mamtek had even contemplated building a plant in the United States, Mamtek entered into

a contract with Ramwell Industrial, a to be formed Hong Kong Company (no relation to an inactive US corporation formed 7 years ago). Mamtek was going to scale its operation in Fujian Province by building a total of an additional, 4, 60 ton lines. The challenge was to protect the Intellectual Property in China and to continue to obtain the expertise of those responsible for the 60 ton plant, to scale the Fujian plant. After the business model changed and the expansion was going to be done in the US, rather than China, the Ramwell contract was transferred and assigned to Mamtek wherein Mamtek assumed all the rights and obligations pursuant to that agreement. At all times, pursuant to the bond indenture and the management and purchase agreement with the City of Moberly, Mamatek was soley responsible for the Moberly project. The original contract between Ramwell and Mamtek and the subsequent assignment to Mamtek was provided to the City. All The funds represented by the invoices were devoted to the Mamtek, Moberly project.
