Manufacturing Agreement

(Manufacture According to Sample)

THIS AGREEMENT made as of [Date of Agreement (ie. July 1, 2002)] between [Name of
Seller] (the "Seller") of [Address of Seller] and [Name of Buyer] (the "Buyer") of [Address of
Buyer].

WHEREAS:

(A) The Seller is a manufacturer of products including [Briefly describe nature of Products
manufactured by Seller (ie. Plastic Products)];

(B) The Buyer has requested the Seller to manufacture a specific product (the "Manufactured
Product") according to the specifications set forth in Schedule "A" hereto (the
"Specifications") and the sample previously provided by the Buyer to the Seller (the
"Sample"); and

(C) The Seller has agreed to manufacture a quantity of the Manufactured Product for the
Buyer;

NOW THEREFORE in consideration of the recitals, the mutual covenants hereinafter set forth,
and for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties hereto hereby agree as follows:

1. The Seller agrees to manufacture [State number of Units of Product to be Manufactured]

units of the Manufactured Products and to make the same available for delivery to Buyer
on or before [Date the Manufactured Products are Required].

2. Each unit of the Manufactured Product shall be manufactured equal in quality of material
and in workmanship to the Sample and shall conform in all material respects to the
Specifications.

3. The purchase price of each unit of the Manufactured Products shall be $[Cost Per Unit of
Manufactured Product (ie. $7.38)] per unit. The Buyer shall pay for the Manufactured
Products within thirty (30) days after it has been notified that the Manufactured Products
have been manufactured and are ready for delivery.

4. Deliver of the Manufactured Products shall be at the sole risk and cost of the Buyer.

5. The Buyer shall have the right to reject any item of the Manufactured Products which
does not conform to the Sample or to the Specifications, and the Seller shall replace each
such item within ten (10) days after receiving a notice of rejection.

6. This Agreement, including the Schedules hereto, constitutes the entire agreement between
the parties relating to the subject matter hereof and, except as stated herein or in the
instruments and documents to be executed and delivered pursuant hereto, contains all the

representations and warranties of the respective parties relating to the subject matter
hereof.

7. Time shall be of the essence of this Agreement.

8. This Agreement shall be governed by and construed in accordance with the laws of the
State of [State].
