LEASE AGREEMENT

This Lease Agreement is made and executed at Gurgaon on this 21st of July 2011, Between: the LESSOR, which expression shall, wherever the context so permits and requires, mean to include them, their legal heirs, successors, legal representatives, executors, nominees and assignees, of the one part; AND WHEREAS the Lessor is the absolute owner and in possession of the residential premises known as, Haryana, ( hereinafter called the said Premises) . The Lessor has agreed to let out the said premises to the Lessee, and the Lessee has agreed to take the same on the following terms and conditions:

NOW THIS AGREEMENT WITNESSETH AS UNDER: 1. That in consideration of the rent hereinafter reserved and subject to all the covenants and conditions hereinafter contained to be observed and performed on the part of the Lessee, the

Lessor hereby grants lease of the aforesaid premises with all fittings and fixtures installed therein for the period of eleven (11) months commencing from 10 th April 2011 . Further the lease agreement can be extended for a period of 11 months with mutual consent of both the parties at the rent as mutually agreed . 2. That the Lessee shall pay the monthly rent of Rs.21000/- (Rupees Twenty One Thousand only) including all building/ society maintenance charges in respect of the said premises to the Lessor, payable in advance by cheque/cash, on or before the 07th day of each English Calendar month. 3. That this Lease is granted for a period of 11 months only commencing from 10th April, 2011. This lease may be extended by mutual consent of both the parties, However, in case of extension of lease, a fresh Agreement will be made and signed by the Lessor and the Lessee. That the said premises will be used by Mr. Sunil Gupta, his family members and his personal guests, or any other authorized employee of the Lessee for residential purpose only. That the Lessee shall not make any additions or alterations in the said premises, without obtaining prior written permission of the Lessor, during the course of this Agreement. That the Lessee shall permit the Lessor or any of his authorized agent or representative to enter into the said premises for inspection or to carry out repairs, at any reasonable time, whenever deemed necessary by the Lessor. That the Lessee shall be responsible to attend all the minor day-to-day repairs such as fuses of bulbs and tubes, leakages/replacement of water taps etc. at his own cost but the major repairs shall be attended by the Lessor at his own cost. That the Lessee shall not sub-let, assign the whole or any part of the said premises to anyone else in any case under any circumstances. That the Lessee shall not store any inflammable material or explosive in the said premises or do or omit to do any act which causes nuisance or annoyance and or violation of any application rules and law of civil authority, including laws framed for protection of fire. That the Lessee shall pay to the Lessor a sum of Rs.36000 /- (Rupees only) being , as an interest free Security deposit, which will be refundable on handing over the physical vacant possession of the said premises after deducting all expenses towards damages and pending bills of electricity et., including the repairs to be undertaken for any damage to the premises et.c on mutually agreed terms. That the Lease can be terminated even before the expiry of lease period, by either party, by giving Two months written notice to the other party or one months rent in lieu thereof.

That the Lessee shall not do or cause to be done any act or activities of illegal, immoral, unsocial nature in the said premises and also will not create any nuisance to the neighborhood in any manner whatsoever. That the Lessee shall abide by all the bye-laws, rules and regulations of the Local authorities in respect of the said premises. That the Lessee shall be responsible to restore the said premises in the same good running condition with the fittings and fixtures therein to the Lessor, on termination of this Lease Agreement. That if the Lessee fails to pay regularly the monthly rent, as hereby agreed upon, the Lessor shall forthwith terminate the lease or the lease would stand automatically terminated. That the Lessee shall handover the vacant and physical possession of the said premises to the Lessor on the termination of this lease agreement. That he Court of competent jurisdiction at Gurgaon shall have jurisdiction to entertain and try any dispute and or differences arising out of or in connection with the terms of this lease.
