(the Bankruptcy Rules) and Rule 2014-1 of the Local Rules of the United States Bankruptcy Court for the Central District of California (the Local Rules) authorizing the Debtors retention and employment of Pachulski Stang Ziehl & Jones LLP (PSZJ or the Firm) as counsel for the Debtor nunc pro tunc to the Petition Date (the Application). In support of the Application, the Debtor relies on (i) the Statement Under Rule 2016 of the Federal Rules of Bankruptcy Procedure and Section 329 of the Bankruptcy Code, and (ii) the Declaration of Richard M. Pachulski in Support of Debtors Application Pursuant to Sections 327(a), 330, and 331 of the Bankruptcy Code, Bankruptcy Rules 2014 and 2016 and Local Rules 2014-1 and 2016-1 for an Order Authorizing the Retention of Pachulski Stang Ziehl & Jones LLP as General Bankruptcy Counsel to the Debtor, Nunc Pro Tunc to the Petition Date (the Pachulski Declaration), which are annexed hereto as Exhibit A and Exhibit B, respectively. In support of this Application, the Debtor respectfully represents as follows: I. JURISDICTION This Court has jurisdiction over this Motion pursuant to 28 U.S.C. 157 and 1334. This is a core proceeding pursuant to 28 U.S.C. 157(b)(2). Venue is proper before this Court pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief sought herein are sections 327(a), 330, and 331 of the Bankruptcy Code and Bankruptcy Rule 2014(a). II. STATEMENT OF FACTS A. General Background On the date hereof (the Petition Date), the Debtor filed a voluntary petition for relief under

chapter 11 of title 11 of the United States Code (the Bankruptcy Code). The Debtor continues to 24 operate and manage its affairs as a debtor in possession pursuant to sections 1107(a) and 1108 of the 25 Bankruptcy Code. No trustee, examiner, or committee has been appointed in this chapter 11 case. 26 The Debtor was established in 1986 as the sole distributor in the continental United States of 27 Suzuki automobiles, motorcycles, all-terrain vehicles, and marine outboard engines (the Suzuki 28

Products). Suzuki Motor Corporation (SMC), the 100% interest holder in the Debtor, manufacturers substantially all of the Suzuki Products2 and is not a debtor in this or any other insolvency proceeding. As of the Petition Date, the Debtor has approximately 295 employees across three divisions: automotive (the Automotive Division), motorcycles and all-terrain vehicles (the Motorcycles/ATV Division), and outboard marine motors and related products (the Marine Division). In the operation of its business, the Debtor purchases Suzuki Products from SMC and certain other non-debtor affiliates. In turn, the Debtor wholesales virtually its entire inventory through a network of independently owned and unaffiliated dealerships located throughout the continental United States. The dealers then market and sell the Suzuki Products to retail customers. As of the Petition Date, there are approximately 220 automotive dealerships, over 900 motorcycle/ATV dealerships, and over 780 outboard marine dealerships. Through dealers, the Debtor also sells a portion of its automotive inventory (less than 10%) to car rental companies and others (less than 2%) that lease the vehicles to retail customers. The Debtor also purchases the majority of its automotive parts from SMC and certain unaffiliated companies and resells them to the automotive dealers and authorized warranty service providers. The Debtor determined that its Automotive Division is facing and will continue to face a number of serious challenges in the highly regulated and competitive automotive industry in the continental U.S. market. The challenges include unfavorable foreign exchange rates, disproportionally high and increasing costs associated with meeting more stringent state and federal automotive regulatory requirements unique to the continental U.S. market, low sales volumes, a limited number of models in its line-up, and existing and potential litigation costs. The Debtor has exhausted all available means to reduce the cost of operating the Automotive Division for it to operate profitably. Accordingly, the Debtor determined that the best way to preserve and enhance the value of its overall business is to wind down new sales of the Automotive Division in the

The ATVs are manufactured by an 80% owned affiliate of the Debtor. continental U.S. and realign its business focus on the long-term growth of its Motorcycles/ATV and Marine Divisions. Contemporaneous with the filing of this case, the Debtor filed a plan of reorganization (the Plan). Under the proposed Plan, the Motorcycles/ATV and Marine Divisions will remain largely unaffected including the warranties associated with such products. As part of its restructuring, NounCo, Inc., a wholly owned subsidiary of SMC, will purchase the Motorcycles/ATV and Marine Divisions and the parts and service components of the Automotive Division. The restructured Automotive Division intends to honor automotive warranties and authorize the sale of genuine Suzuki automotive parts and services to retail customers through a network of parts and service only dealerships that will provide warranty services. The Debtors Motorcycles/ATV Division is strong and competitively positioned in its market, allowing for long-term growth as economic conditions improve. Similarly, the Marine Division has remained competitive during the recent challenging economic times and the Debtor is working to further build its market share in the marine industry through continued investment in new product development and resuming large-scale marketing events focused on attracting new marine customers. The strategy embodied in the proposed Plan returns the business to its roots in the U.S. market, which began with motorcycles, and is intended to position the overall business for success in the continental U.S. for the benefit of all parties in interest. The Suzuki name is recognized around the world as a brand of quality products that offer reliability and originality. SMC has informed the Debtor that it continues to invest in its operations, improve its overall performance worldwide, and remains committed to manufacturing Suzuki Products for customers around the world. SMCs manufacturing and world-wide distribution of Suzuki automobiles will continue despite the Debtors wind down of the continental U.S. Automotive Division. Additional factual background regarding the Debtor, including its current and historical business operations and the events precipitating its chapter 11 filing, is set forth in detail in the Declaration of M. Freddie Reiss, Proposed Chief Restructuring Officer, in Support of Emergency

First Day Motions (the Reiss Declaration) filed contemporaneously with this Motion and incorporated herein by reference. III. RELIEF REQUESTED By this Application, the Debtor seeks to employ and retain PSZJ as its bankruptcy counsel with regard to the filing and prosecution of this chapter 11 case and all related proceedings. Accordingly, the Debtor respectfully requests the entry of an order pursuant to section 327(a) of the Bankruptcy Code, Bankruptcy Rule 2014 and Local Rule 2014-1 authorizing it to employ and retain PSZJ as its bankruptcy counsel under a general retainer to perform the legal services that will be necessary during this chapter 11 case, pursuant to the terms set forth in this Application and the Pachulski Declaration, nunc pro tunc to the Petition Date. A proposed form of order authorizing the retention of PSZJ is annexed hereto as Exhibit C. The Debtor seeks to retain PSZJ as its counsel because of the Firms extensive experience and knowledge in the field of debtors and creditors rights and business reorganizations under chapter 11 of the Bankruptcy Code and because of the Firms expertise, experience and knowledge practicing before this Court. In preparing for its representation of the Debtor in this case, PSZJ has become familiar with the Debtors business and affairs and many of the potential legal issues that may arise in the context of this chapter 11 case. Subject to Court approval in accordance with sections 330(a) and 331 of the Bankruptcy Code, compensation will be payable to PSZJ on an hourly basis, plus reimbursement of actual, necessary expenses and other charges incurred by PSZJ. The hourly rates set forth above are subject to periodic adjustments to reflect economic and other conditions. Other attorneys and paralegals may from time to time serve the Debtor in connection with the matters described herein. The hourly rates set forth above are PSZJs standard hourly rates for work of this nature. These rates are set at a level designed to fairly compensate PSZJ for the work of its attorneys and paralegals and to cover fixed and routine overhead expenses. It is PSZJs policy to charge its clients in all areas of practice for all other expenses incurred in connection with the clients case. The expenses charged to clients include, among other things, conference call charges, mail and express mail charges, special or hand delivery charges, document retrieval charges, photocopying charges, charges for mailing supplies (including, without limitation, envelopes and labels) provided by PSZJ to outside copying services for use in mass mailings, travel expenses, expenses for working meals, computerized research, and transcription costs, as well as non-ordinary overhead expenses such as secretarial and other overtime. PSZJ will charge the Debtor for these expenses in a manner and at rates consistent with charges made generally to PSZJs other clients. PSZJ believes that it is fairer to charge these expenses to the clients incurring them than to increase the hourly rates and spread the expenses among all clients. In addition to the proposed compensation sought herein, PSZJ reserves the right to seek payment of a success fee based upon the facts and circumstances of the Debtors case and approval of the Debtor. The professional services that PSZJ will render to the Debtor include, but shall not be limited to, the following: a. taking necessary or appropriate actions to protect and preserve the Debtors estate, including the prosecution of actions on the Debtors behalf, the defense of any actions commenced against the Debtor, the negotiation of disputes in which the Debtor is involved, and the preparation of objections to claims filed against the Debtors estate; b. providing legal advice with respect to the Debtors powers and duties as a debtor in possession in the continued operation of its business and management of its property;

c. preparing on behalf of the Debtor any necessary applications, motions, answers, orders, reports, and other legal papers; d. appearing in Court on behalf of the Debtor;

e. preparing and pursuing confirmation of a plan and approval of a disclosure statement, and such further actions as may be required in connection with the administration of the Debtors estate; and f. acting as general bankruptcy counsel for the Debtor and performing all other necessary or appropriate legal services in connection with this chapter 11 cases. The Debtor has employed prepetition, and intends to seek the Courts approval of the postpetition employment of, Rust Omni as its noticing and claims agent. Rust Omni and PSZJ have represented and are representing the same clients, have represented parties with similar interests or parties with adverse interests in cases. PSZJ will work cooperatively with Rust Omni, as well as any other professionals with whom it may have client overlap, on behalf of the Debtor. PSZJ has assured the Debtor that it will work closely with any such professionals to take care not to duplicate efforts in this case. To the best of the Debtors knowledge, except as otherwise disclosed in the Pachulski Declaration submitted concurrently herewith, PSZJ has not represented the Debtor, its creditors, equity security holders, or any other parties in interest, or their respective attorneys, in any matter relating to the Debtor or its estate. PSZJ has received payments from the Debtor during the year prior to the Petition Date in the approximate amount of $3,867,655.61 including the filing fee for this case, in connection with its prepetition representation of the Debtor. PSZJ is current as of the Petition Date, but has not yet completed a final reconciliation of its prepetition fees and expenses as of the Petition Date. PSZJ also received a retainer of $750,000 for services to be rendered in these cases. Upon final reconciliation of the amount actually expended prepetition, any balance remaining from the prepetition payments to the Firm will be credited to the Debtor and will supplement PSZJs retainer to apply to postpetition fees and expenses pursuant to the compensation procedures approved by this Court and the Bankruptcy Code.

A. PSZJs Disinterestedness To the best of the Debtors knowledge, except as disclosed herein or in the annexed Pachulski Declaration, PSZJ has not represented the Debtor, its creditors, equity security holder, or any other parties in interest, or their respective attorneys, in any matter relating to the Debtor or its estate. To the best of the Debtors knowledge, except as otherwise disclosed in the Pachulski Declaration, PSZJ does not hold or represent any interest adverse to the Debtors estate, PSZJ is a disinterested person as that phrase is defined in section 101(14) of the Bankruptcy Code, and PSZJs employment is necessary and in the best interests of the Debtor and its estate. PSZJ will periodically review its connections to parties in this case and will provide any supplemental disclosures as necessary. B. Interim Compensation The Debtor, subject to the provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and further orders of this Court, proposes to pay PSZJ its customary hourly rates for services rendered that are in effect from time to time, as set forth in the Pachulski Declaration, and to reimburse PSZJ according to its customary reimbursement policies, and submit that such rates are reasonable. The Debtor understands that PSZJ hereafter intends to apply to the Court for allowances of compensation and reimbursement of expenses in accordance with the applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and orders of this Court for all services performed and expenses incurred after the Petition Date.3 IV. NOTICE Notice of this Application has been given to the following parties or, in lieu thereof, to their counsel, if known: (i) the Office of the United States Trustee; (ii) the Debtors prepetition and postpetition lender; (iii) the creditors appearing on the list filed in accordance with Rule 1007(d) of

also has agreed to reimburse PSZJ for its actual and necessary expenses incurred in connection with this case. PSZJ has received payments from the Debtor during the year prior to the Petition Date in the approximate amount of $3,867,655.61 including the filing fee for this case, in connection with its prepetition representation of the Debtor. PSZJ is current as of the Petition Date, but has not yet completed a final reconciliation of its prepetition fees and expenses as of the Petition Date. PSZJ also received a retainer of $750,000 for services to be rendered in these cases. Upon final reconciliation of the amount actually expended prepetition, any balance remaining from the prepetition payments to the Firm will be credited to the Debtor and will supplement PSZJs retainer to apply to postpetition fees and expenses pursuant to the compensation procedures approved by this Court and the Bankruptcy Code. postpetition employment of Rust Omni as its noticing and claims agent. Rust Omni and PSZJ have represented and are representing the same clients, have represented parties with similar interests or parties with adverse interests in cases. I understand that the Debtor may retain additional professionals during the term of PSZJs engagement. PSZJ has worked with many professionals, sometimes representing the same clients, clients with similar interests and clients with adverse interests in cases and may have worked with other professionals to be employed by the Debtor in this case. PSZJ represents many committees, whose members may be creditors in the Debtors

chapter 11 cases; however, PSZJ is not representing any of those entities in this case and will not represent any members of any committee in any claims that they may have collectively or individually against the Debtor. 6. PSZJ and certain of its partners, of counsel and associates may have in the past

represented, and may currently represent and likely in the future will represent creditors of the Debtor in connection with matters unrelated to the Debtor and this case. At this time, PSZJ is not aware of such representations. PSZJ will be in a position to identify with specificity any such persons or entities when lists of all creditors of the Debtor have been reviewed and will make any further disclosures as may be appropriate at that time. 7. PSZJ is a disinterested person as that term is defined in section 101(14) of title 11

knowledge, neither I, nor any partner, of counsel or associate of PSZJ, insofar as I have been able to ascertain, has any connection with the U.S. Trustee or any person employed in the office of the U.S. Trustee or any Bankruptcy Judge currently serving on the United States Bankruptcy Court for the Central District of California (Santa Ana Division). 9. Further, R. Todd Neilson was recently appointed to the Debtors board of directors as

an independent director. nature. These rates are set at a level designed to fairly compensate the Firm for the work of its attorneys and paralegals and to cover fixed and routine overhead expenses. It is the Firms policy to charge its clients in all areas of practice for all other expenses incurred in connection with the clients case. as well as non-ordinary overhead expenses such as secretarial and other overtime. The Firm will charge the Debtor for these expenses in a manner and at rates consistent with charges made generally to the Firms other clients. The Firm believes that it is fairer to charge these expenses to the clients incurring them than to increase the hourly rates and spread the expenses among all clients. 18. 2014-1 and 2016-1, authorizing the retention of Pachulski Stang Ziehl & Jones LLP as general bankruptcy counsel to the Debtor, nunc pro tunc to the Petition Date , all as more fully set forth in the Application; and the Court having jurisdiction to consider the Motion and the relief requested therein pursuant to 28 U.S.C. 157 and 1334; and consideration of the Motion and the relief requested therein being a core proceeding pursuant to 28 U.S.C. 157(b)(2); and venue being proper pursuant to 28 U.S.C. 1408 and 1409; and it appearing that the relief requested in the Motion is in the best interests of the Debtors estate, its creditors, and all other parties in interest; and the Debtor having provided appropriate notice of the Motion and the opportunity for a hearing on the Motion under the circumstances and no other or further notice need be provided; and the Court having reviewed the Motion and having heard the statements in support of the relief requested therein at a hearing before the Court (the Hearing); and the Court having considered the Motion, all pleadings and papers filed in connection with the Motion, including the Declaration of M.
