INTERIM ORDER APPROVING EMPLOYMENT OF DEBTORS IN POSSESSION'S RESTRUCTURING CONSULTANT THIS CAUSE came before the Court on May 13, 2010, upon the Application of the Debtors in Possession for authority to retain a restructuring Consultant, and upon the affidavit of Katie Goodman. The application requests entry of an order, on an interim basis, approving the Debtors in Possessions employment of Katie Goodman of GGG, Inc. to represent them as a restructuring consultant in this Chapter 11 case.

The Court has jurisdiction over the matter raised in the Application to Employ pursuant to 28 U.S.C. 157 and 1334. This is a core proceeding pursuant to 28 U.S.C. 157(b)(2)(A). The relief requested in the Application is in the best interest of the Debtor, its estate, and its creditors. The Affidavit of Katie Goodman contains a verified statement as required by Fed. R. Bankr. P. 2014 demonstrating that Katie Goodman and GGG, Inc. are disinterested other than disclosed pursuant to 11 U.S.C. 327(a). Pursuant to 11 U.S.C. 327, Fed. R. Bankr. P. 2014(a) and Local Rule 2014-1, the Court is authorized to grant the relief requested in the Application. The Debtors Application requested the entry of an order at the first-day hearings in this case, prior to the 21st day post-petition time period under the Rules, seeking approval of the employment of restructuring consultant for the Debtors in Possession on an interim basis until a final hearing can be convened after more fulsome notice to parties in interest and the U.S. Trustee. The Debtors and Katie Goodman of GGG, Inc. agree that all objections to the retention of Katie Goodman will be preserved to the final hearing, and that the de novo standard of review would govern. Therefore, it is, ORDERED and ADJUDGED as follows: 1. Katie Goodman and GGG, Inc. hold no interest adverse to the estate in the

matters upon which they are engaged and that Katie Goodman and GGG, Inc. are disinterested person as required by 11 U.S.C. 327(a), and have disclosed any connections with the parties set forth in Bankruptcy Rule 2014, and that their employment is necessary and would be in the best interest of the estate. 2. The Debtors in Possession are authorized to retain Katie Goodman of

GGG, Inc., on a general retainer, pursuant to 11 U.S.C. 327 and 330, nunc pro tunc to

May 10, 2010 on an interim basis, pending a final hearing as set forth below. 3. The relief granted herein is interim in nature pursuant to Federal Rules of

Bankruptcy Procedure 6003(a), subject to final hearing as set forth herein. 4. The Court shall conduct a Final Hearing on the Application to Employ on the

15th day of June, 2010 at 10:00 a.m. before this Court at 1515 N. Flagler Drive, 8th Floor, Courtroom A, West Palm Beach, FL 33401. The entry of this Interim Order is without prejudice to the rights of any party in interest to interpose an Objection to the Application, and any such objection will be considered on a de novo standard at the Final Hearing. 5. The Court shall retain jurisdiction to hear and determine all matters arising
