JOINDER OF THE CORDILLERA METRO PO LIT AN DISTRICT AND THE
CORDILLERA PROPERTY OWNERS ASSOCIATION, INC. IN THE MOTION OF
CHERYL M. FOLEY, THOMAS WILNER, JANE WILNER, CHARLES JACKSON,
MARY JACKSON and KEVIN B. ALLEN, INDIVIDUALLY AND AS
REPRESENTATIVES OF A CERTIFIED CLASS OF MEMBERS, TO APPOINT
CHAPTERllTRUSTEE
Cordillera Metropolitan District (the "District") and Cordillera Property Owners
Association, Inc. (the "CPOA"), by their attorneys, Sherman & Howard L.L.C., hereby join in
the Motion of Cheryl M. Foley, Thomas Wilner, Jane Wilner, Charles Jackson, Mary Jackson
and Kevin B. Allen, Individually and as Representatives of a Certified Class of Members, to
Appoint Chapter 11 Trustee (the "Motion") to the extent it seeks appointment of a Chapter 11
Trustee pursuant to Section 1104(a) of Title 11 of the United States Code based upon the
irreconcilable acrimony that exists between he major creditor constituencies and the Debtor. In
support of its Joinder, the CPOA and the District state:
1. There is at least one fact in this case upon which all parties agree- there is
substantial bitterness and acrimony between the Debtor, its principal David A. Wilhelm, and
Wilhelm-related entities, on the one hand, and many of the members of the Club and surrounding
community members, on the other hand. This acrimony is not only evidenced in filings by the

creditors, but also flaunted in filings by the Debtor. This acrimony has reached a level that
makes one conclusion certain- a consensual resolution of this bankruptcy case will not be
achieved while Wilhelm remains in control of the Debtor. A successful consensual resolution of
this bankruptcy case requires the appointment of a chapter II trustee.
2. Accordingly, the CPOA and the District request that a chapter II trustee be
appointed in this bankruptcy case based upon the irreconcilable acrimony. Persuasive precedent
exists for appointment of a chapter 11 trustee where animosity between a debtor and creditors
makes reorganization very unlikely. See, e.g., In re Colorado- Ute Elec. Ass'n, Inc., 120 B.R.
164, 176 (Bankr. D. Colo. 1990) (granting motion to appoint chapter II trustee where the debtor
refused to terminate the exclusive period and the "Court concludes that the creditors sincerely
and justifiably lack confidence in management"); In re Celeritas Technologies, LLC, 446 B.R.
514,521 (Bankr. D. Kan. 2011) (appointing chapter I I trustee with limited powers- "Acrimony
between debtor and creditor which impedes the reorganization effort is cause to appoint a chapter
II trustee."); In re Nartron Corp., 330 B.R. 573,591 and 593 (Bankr.W.D.Mich.
2005)(appointing chapter 11 trustee with limited powers where "[D]eep-seated conflict and
animosity between [creditor and debtor] is at the heart of this bankruptcy case" and insider was
target of possible avoidance action); (In reV: Savino Oil & Heating Co., 99 B.R. 518,527 n. II
(Bankr. E.D. N.Y. 1989) (referring to Section 1104(a)(2)- "Where, as here, it appears that no
meaningful progress toward reorganization is possible because of deep rooted animosities
between a Debtor and its major creditors, an independent reorganization trustee may well be
necessary to insulate the reorganization process from paralytic conflict").

3. For avoidance of doubt, the CPOA and the District do not request that this
Bankruptcy Court resolve the issues pending in the state court litigation in which the CPOA is
named as a defendant -- Cordillera Golf Club, LLC, eta!. v. Cordillera Transition Corporation,
Inc., et a!., Case No. 20 11-CV -456, District Court, Eagle County, State of Colorado.
WHEREFORE, the District and the CPOA respectfully request that the Court appoint a
chapter 11 trustee and provide such additional relief as may be appropriate.
