(Delta or Debtor) response (the Response) to United States Trustee (Trustee), Motion to Convert (the Motion), and would show unto the Court as follows. I. 1.1 1.2 BACKGROUND

Debtor filed a Response to Trustees Motion Docket No. 235. IBC hereby adopts and incorporates the response and joins therein same as if the

responses, arguments and authorities made by Debtor were specifically set forth herein verbatim. II. 2.1 the following: i. Debtor has retained CBRE as real estate broker/realtor for the purpose of marketing and locating prospective buyers for sale of warehouse FURTHER ARGUMENTS AND AUTHORITIES

properties owned by joint Debtor, consisting of warehouse properties owned by Staci Properties, Ltd. (Staci) and Atled, Ltd. (Atled). ii. A marketing plan for the warehouses has recently been provided to Debtor and IBC and meets with IBCs approval. Debtor has received one

preliminary proposal for the purchase of one of Debtors real property assets. While that proposal has not yet been accepted by Debtor, it

remains under consideration. Debtor anticipates additional offers are in prospects. iii. Debtor continues its process of adjudicating the PACA trust fund claims. The resolution of pending PACA trust fund disputes set will result in a determination of allowed PACA trust fund claimants approved within the claims adjudication process implemented within this bankruptcy proceeding. iv. Debtor has approved cash collateral orders and post-petition financing orders which ensure that operating expenses are being paid. 2.2 IBC believes that a continuation within the Chapter 11 proceeding is in the best IBC believes that a marketing process can be
