AGREED ORDER ON MOTION OF THE UNITED STATES TRUSTEE TO CONVERT
CASES SETTING DEADLINES AND GRANTING OTHER RELIEF

On June 28

, 2012, came on for hearing the Motion of the United States Trustee
(UST) to Convert Cases (Motion) and the responses filed by the Debtors and Joinder by the
International Bank of Commerce to Debtors Responses. The parties announced an agreement.
The Court finds the parties have reached an agreement setting deadlines. Upon consideration of
the pleadings on file and the agreement of counsel, the Court finds the Motion should be denied,

ORDERED the Debtors shall file a disclosure statement and a plan of reorganization on
or before September 30

ORDERED the Debtors shall obtain confirmation of a plan of reorganization on or before
December 31

ORDERED the Debtors shall in accordance with Local Bankruptcy Rule 2015(b), file all
currently due Monthly Operating Reports by no later than July 13

thereafter timely file correct Monthly Operating Reports, and serve copies upon the UST by the

ORDERED the Debtors shall within 10 calendar days after entry of this Order pay any
past due UST fees incurred pursuant to 28 U.S.C. 1930(a)(6) and shall thereafter timely pay all
UST fees incurred pursuant to 28 U.S.C. '1930(a)(6) when they are due, with payment to be
made to the order of the United States Trustee at U.S. Trustee Payment Center, P.O. Box
530202, Atlanta, GA 30353-0202. The payment must reflect the Debtor=s account number and
be transmitted with a AChapter 11 Disbursement and Fee Report.@; and it is further
ORDERED if no disclosure statement and plan of reorganization are filed on or before

if the Debtors fail to otherwise comply with the conditions in this Order, the cases shall be
