SALE PROCEEDS TO THE DEBTORS ESTATE

Yann Geron, Chapter 7 Trustee (the Trustee) of the estate of Thelen LLP, the
above-captioned debtor (the Debtor or Thelen), as and for his application (the
Application) for an order, pursuant to Rule 9019 of the Federal Rules of Bankruptcy Procedure
(the Bankruptcy Rules), approving a certain stipulation of settlement, dated August 31, 2010
(the Stipulation), (i) acknowledging Relationals lien on certain furniture and equipment (the
Equipment), (ii) providing that Relational will remit to the Trustee 20% of the net proceeds
from Relationals sale of the Equipment, (iii) resolving any disputes regarding ownership of the
Equipment, and (iv) providing for the payment of all expenditures related to the Equipment since
the Petition Date, not to exceed $6,500, upon information and belief, respectfully sets forth and
represents:

JURISDICTION
1. This Court has jurisdiction over this Application pursuant to 28 U.S.C.
157 and 1334. This matter is a core proceeding pursuant to 28 U.S.C. 157(b)(2).
2. Venue of this Application is proper in this district pursuant to 28 U.S.C.
1408 and 1409.
3. The statutory predicate for the relief sought herein is Rule 9019 of the
Bankruptcy Rules.
SUMMARY OF RELIEF REQUESTED
4. By this Application, as further detailed below, the Trustee seeks approval
of the Stipulation, a copy of which is annexed hereto as Exhibit A.
5. As further detailed below, approval of the Stipulation is warranted because
the settlement embodied in the Stipulation is reasonable and efficiently resolves several
competing and overlapping issues concerning the disposition of certain equipment leased and
owned by the Debtor at the time of the commencement of this case.
BACKGROUND
6. On September 18, 2009 (the Petition Date), the Debtor filed with the
United States Bankruptcy Court for the Southern District of New York (the Bankruptcy
Court), a voluntary petition for relief under chapter 7 of Title 11 of the United States Code (the
Bankruptcy Code).
7. Yann Geron was subsequently appointed as interim chapter 7 trustee of
the Debtors estate. Mr. Geron has since qualified and is currently serving as permanent Trustee
herein.

8. Prior to the Petition Date, the Debtor was a limited liability partnership,
operating as an international law firm with approximately 600 attorneys. In October 2008, the
Debtor formally voted to dissolve the partnership. Thereafter, the Debtor began its wind-down
process. Upon information and belief, while in the wind-down stage, the Debtors largest lender
ceased wind-down financing, and the Debtor filed the instant bankruptcy proceeding.
9. Before the Petition Date, the Debtor maintained one remaining office suite
at 101 Second Street, San Francisco, California 94105 (the Office Premises). The Equipment
that is the subject of the Stipulation comprises the furniture, furnishings and equipment that
remained on the Office Premises on the Petition Date. A copy of the schedule of Equipment is
annexed to the Stipulation as Exhibit A.
10. Due to the significant amount of accruing monthly rent due on the Office
Premises, the Trustee arranged for Charyn Auctions (Charyn) to remove the Equipment from
the Office Premises and store it to enable the Trustee to surrender the premises to the landlord.
11. Prior to the filing, on April 2, 2002, Thelen entered into a Master Lease
Agreement with Relational, which includes 89 schedules of various computer equipment
including servers, work stations, laptops and related accessories. According to the terms of the
Master Lease Agreement, Relational is the purported titled holder of the Equipment.
12. On January 5, 2009, after the firms dissolution and prior to the Petition
Date, Thelen and Relational entered into a surrender agreement, pursuant to which: (1) Thelen
purchased certain of the Equipment from Relational for $300,000; (2) Thelen gathered,
assembled, packed and surrendered to Relational the balance of the equipment that was not
purchased; (3) Thelen paid $275,000, as a partial payment of its obligations under the Master
Lease and Schedules; (4) Thelen waived any right to receive any notice of sale or other

disposition of the surrendered equipment and further waived any right to contest the commercial
reasonableness of any sale or other disposition of the surrendered equipment; and (5) Relational
retained all right to assert a deficiency claim against Thelen for amounts owed under the Master
Lease and Schedules.
13. Relational later alleged, in a complaint filed against Thelen in the U.S.
District Court for the Southern District of New York, that Thelen defaulted under both the
Master Lease and the Surrender Agreement for failure to pay and failure to return the equipment.
(See Relational, LLC v. Thelen LLP; Case No. 09 CIV 3179, United States District Court,
Southern District of New York).
14. On September 24, 2009, Relational filed a proof of claim in the Thelen
bankruptcy case for more than $3.1 million.

15. The Trustee has encountered significant difficulty reconciling the
inventory of actual Equipment with the UCC-1 financing and other statements that purportedly
support Relationals claim of ownership. The Trustee and Relational have engaged in detailed
discussions to determine which pieces of Equipment are owned by Relational and which belong
to the Debtors estate. The parties could not conclusively determine these issues. Rather than
continue to dispute title to the Equipment, piece-by-piece, or proceed to a costly evidentiary
hearing, the parties reached the instant settlement.
THE CURRENT APPLICATION
a. Applicable Legal Standard
17. Bankruptcy Rule 9019 provides that [o]n a motion by the trustee and
after notice and a hearing, the court may approve a compromise or settlement. Fed. R. Bankr.

P. 9019(a). In ruling on a motion pursuant to Bankruptcy Rule 9019(a), the court must find that
the proposed settlement is fair and equitable and is in the best interests of the estate. Protective
Comm. for Independent Stockholders of TMT Trailer Ferry, Inc. v. Anderson, 390 U.S. 414
(1968). Fischer v. Pereira (In re 47-49 Charles Street, Inc.), 209 B.R. 618, 620 (S.D.N.Y. 1997);
In re Ionosphere Clubs, Inc., 156 B.R. 414 (S.D.N.Y. 1993), affd 17 F.3d 600 (2d Cir. 1994); In
re Fugazy, 150 B.R. 103 (Bankr. S.D.N.Y. 1993).
18. In order to reach such a decision, the Court must be apprised of all facts
necessary for an intelligent and objective opinion of whether the claim will be successful, the
likely expense, length and the degree of complexity of the litigation, the potential difficulties of
collecting on a judgment and all other factors relevant to a full and fair assessment of the
wisdom of the proposed compromise. TMT Trailer Ferry, 390 U.S. at 424-425.
19. To constitute a fair and equitable compromise or settlement, the Court
must find that the settlement does not fall below the lowest point in the range of
reasonableness. Cosoff v. Rodman (In re W.T. Grant Co)., 699 F.2d 599, 608 (2d Cir.
1983)(quoting Newman v. Stein, 464 F.2d 689, 693 (2d Cir.) cert. denied, 409 U.S. 1039, 93 S.
Ct. 521 (1972)), cert. denied, 464 U.S. 822, 104 S. Ct. 89 (1983); In re Drexel Burnham Lambert
Group, Inc., 138 B.R. 723, 758-59 (Bankr. S.D.N.Y. 1992); In re International Distribution
Centers, Inc., 103 B.R. 420, 423 (Bankr. S.D.N.Y. 1989).
20. The Court should also consider the fair and reasonable course of action for
the Debtors estate, with the limited available assets, giving consideration to the interests of
creditors and the avoidance of burdening the estate with undue waste or needless or fruitless
litigation. In re Del Grosso, 106 B.R. 165, 167-168 (Bankr. N.D. Ill. 1989) (citation omitted).

21. The Court is not required to conclusively determine the merits of a claim
subject to compromise or to find that a proposed settlement constitutes the best results obtainable
to ensure that the settlement reaches the threshold of reasonableness. Instead, the Court should
canvass the issues to determine whether the proposed settlement is fair and equitable, is in the
best interests of the estate and otherwise does not fall outside the range of reasonableness. In re
Apex Oil Co., 92 B.R. 847, 866-67 (Bankr. E.D. Mo. 1988).
b. Salient Terms of the Stipulation
22. The proposed Stipulation generally provides for the following salient
terms:
a. The Trustee agrees to release the Equipment to Relational upon entry of an order
by the Bankruptcy Court approving this Stipulation and Relational shall be
authorized to arrange for the removal of the Equipment from Charyn.
b. Relational agrees to sell all of the remaining Equipment in the manner it deems
appropriate and necessary to achieve the best possible offer, provided such
method is commercially reasonable as such term is defined by the Uniform
Commercial Code in the State of California.
c. Relational will retain eighty percent (80%) of the net sale proceeds from the sale
of the remaining Equipment and will remit twenty percent (20%) of the net sale
proceeds to the Trustee, which shall be delivered no later than fifteen (15) days
after the closing on any sale.

d. Relational agrees to reimburse Charyn for all expenditures since the time the
Equipment was removed from the Debtors Office Premises, including cost of
removal, transportation and storage charges, not to exceed $6,500.
e. Relational will have 10 days from the entry of an order approving this stipulation
to remove the Equipment from Charyn. If Relational does not remove the
Equipment in that time, then on the 11
th
day following entry of an order, and
provided that Charyn cooperates with Relational concerning the removal of the
Equipment, Relational agrees to resume payment of all expenditures related to
obtaining, removing, transferring or storing the Equipment.
f. The Trustee will not challenge the reasonableness of any sale(s), except that he
will retain the right to assert a claim based upon fraud, willful misconduct or
gross negligence.
g. Relational will reduce its claim against the Debtors estate in an amount equal to
80% of the net sale proceeds recovered from the sale of the Equipment.
h. Except as otherwise specifically provided in the Stipulation, effective
immediately upon Bankruptcy Court approval of the Stipulation, Trustee and
Relational will exchange certain releases.
i. The Trustee will maintain his right to object to any proofs of claim filed by
Relational.
c. Approval of the Stipulation is Warranted
23. The Trustee submits that the Stipulation is reasonable based on all the
facts and circumstances of the case. The Stipulation allows for some recovery to the Debtors
estate and partially satisfies a significant lien against the Equipment without further need for

evidentiary hearings or other protracted litigation which would require significant expenses by
the Debtors estate that could consume the entire estimated value of the Equipment.
24. The Stipulation at least partially reduces the amount of Relationals claim
while deferring all other claims issues until later in the case. The Stipulation also settles and
resolves all claims, rights, interests and causes of actions that either party may have against the
other with respect to the ownership of the Equipment. The Stipulation provides for the majority
of expenditures incurred with respect to the Equipment to be covered by Relational at a limited
expense to the Debtors estate. The proposed settlement also obviates the need for the Trustee to
defend a potential motion by Relational for relief from the automatic stay to pursue its pre-
petition action against the Debtor to resolve claims arising out of the disposition of this
Equipment. The Trustee believes that the 80/20 split of the net sale proceeds under the
Stipulation represents a fair settlement and a reasonable return to the Debtors estate under the
circumstances and in light of the disputed issues noted above.
25. For all the foregoing reasons, the Trustee believes the Stipulation
Relational with respect to the Equipment, in exchange for recognition of Relationals lien, is fair,
equitable, in the best interests of the Debtors estates and its creditors and well within the range
of reasonableness. Accordingly, the Trustee hereby seeks approval of the Stipulation.
NOTICE AND PROCEDURE
26. Contemporaneously with the filing of the Application, the Trustee filed
with the Court and served by first class mail a notice of the relief requested in this Application
upon counsel to Relational, Relational, the United States Trustee and all creditors and parties in
interest who are entitled to notice pursuant to Bankruptcy Rule 2002, and all other parties as
approved by the this Courts Order, dated February 24, 2010, [DE #88], authorizing the Trustee

to limit notice in this case. The Trustee respectfully submits that notice of this Application has
complied with Bankruptcy Rule 2002 and is otherwise reasonable and appropriate, and that no
other or further notice of the relief requested herein is warranted or required.
NO PRIOR RELIEF
27. No previous application for the relief sought herein has been made to this
or any other court.
WHEREFORE, the Trustee respectfully requests that this Court enter an order:
(i) approving the Stipulation substantially in conformity with the proposed form of Order
annexed hereto as Exhibit B; and (ii) granting the Trustee such other and further relief as is just.

Upon the application, dated September 1, 2010 (the Application), of Yann
Geron, as chapter 7 Trustee of the estate of Thelen LLP, the above captioned debtor (the
Debtor), for an order approving a stipulation dated August 31, 2010 (the Stipulation),
between: the Trustee acting on behalf of Thelen LLP and Relational, LLC (Relational)
(collectively, the Parties), recognizing the lien of Relational on substantially all of the Debtors
remaining furniture and equipment (the Equipment), remitting twenty (20) percent of the net
proceeds of the sale of the Equipment to the Debtors estate and covering costs of Charyn
Auctions in the amount of $6,500 and settling all disputes between the Parties, as to the rightful
owner of the Debtors Equipment, as further detailed in the Application; and it appearing that
good and sufficient notice of the Application has been provided; and due consideration having
been given to any responses received; and for good and sufficient cause; it is hereby
ORDERED, that the Stipulation be, and it hereby is, approved to the extent
provided below; and it is further
