Debtors), on one hand, and Chiavatti, LLC (the Creditor), on the other hand, hereby enter into this stipulation (the

Stipulation) based on the following recitals of fact: A. On May 19, 2010 (the Petition Date), the Debtors each

filed voluntary petitions for relief under chapter 11 of title 11 of the United States Code, sections 101 et seq. in the United States Bankruptcy Court for the Central District of California, Santa Ana Division (the Court). The Debtors have continued to

manage their affairs as debtors in possession pursuant to 11 U.S.C. 1107 and 1108 since the Petition Date. B. Before the Petition Date, the Creditor, as lessor, and

Westcliff, as lessee, were parties to a real property lease (the Lease). C. Westcliff scheduled the Creditor with a general unsecured

claim in the amount of $0 (the Scheduled Claim). D. E. After the Petition Date, Westcliff rejected the Lease. The Creditor filed Proof of Claim No. 182 (Claim No.

182) asserting a general unsecured claim in the amount of claim in the total amount of $144,251.32 for alleged damages arising from the rejection of the Lease. F. Westcliff disputed Claim No. 182, because it appeared

that the Claimant had not applied the statutory cap under 11 U.S.C. 502(b)(6).
