EX PARTE MOTION FOR ORDER SHORTENING NOTICE PERIOD AND SCHEDULING AN EXPEDITED HEARING ON: MOTION FOR ENTRY OF AN ORDER AUTHORIZING THE TRANSFER AND LICENSE OF CERTAIN INTELLECTUAL PROPERTY RIGHTS OF THE DEBTORS The above-captioned debtors (collectively, the Debtors), for their ex parte motion (the Ex Parte Motion) for order shortening the notice period and scheduling an expedited hearing on the Motion for Entry of an Order Authorizing the Transfer and License of Certain Intellectual Property Rights of the Debtors (the IP Motion), respectfully state as follows:

Jurisdiction 1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334.

This matter is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). 2. 3. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are Rules 9006 and 9007

of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules) and Rule 9006-1(b) of the Local Rules of the United States Bankruptcy Court, Eastern District of Michigan (the Local Rules). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary

petitions for relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 5. On May 24, 2005, the United States trustee appointed an official

committee of unsecured creditors pursuant to section 1102 of the Bankruptcy Code (the Committee). 6. Contemporaneously with the filing of this Ex Parte Motion, the Debtors

filed the IP Motion, seeking authority to transfer and license certain intellectual property rights of the Debtors pursuant to sections 105(a) and 363(b) of the Bankruptcy Code. Relief Requested 7. The Debtors request that, pursuant to Bankruptcy Rule 9006(c) and Local

Rule 9006-1(b), the Court shorten the notice period for objecting or otherwise responding to the 2

IP Motion to February 6, 2006 at 4:00 p.m., prevailing Eastern Time, and schedule an expedited hearing to be conducted on February 9, 2006 at 2:00 p.m., prevailing Eastern Time, or as soon thereafter as counsel may be heard. Basis for Relief 8. On July 15, 2005 (the Administration Petition Date), certain of the

European subsidiaries of Collins & Aikman Corporation (the European Debtors) petitioned for administration orders pursuant to Schedule B1 of the English Insolvency Act 1986 (English Insolvency Law) in the Companies Court of the High Court of Justice, Chancery Division in London, England, thereby commencing administration proceedings in accordance with English Insolvency Law. After the Administration Petition Date, the administrators of the European Debtors (the Administrators) marketed the European Debtors assets in connection with a potential sale of such assets. 9. On November 28, 2005, the Administrators and IAC Acquisition

Corporation Limited (the Buyer) executed a master sale agreement, which contemplates the sale of substantially all of the European Debtors assets to the Buyer for a purchase price in excess of $100 million. As a condition precedent to the sale, however, the European Debtors must transfer and license their rights in certain intellectual property to the Buyer, a portion of which the Debtors own or have an interest in (the Intellectual Property Rights). Thus, the Debtors, the European Debtors and the Buyer have negotiated a settlement to govern the transfer and license of the Intellectual Property Rights. 10. The Debtors believe that the transfer and license of the Intellectual

Property Rights has two separate and important benefits to the estates. First, the Debtors will receive $12.5 million as part of the transfer and license, which will increase the value of the Debtors estates. Second, because the Debtors are one of the largest creditors of the European 3

Debtors, the Debtors stand to gain by consummation of a successful sale of the European Debtors assets. The sale of the European Debtors assets, however, is contingent upon the successful transfer and license of the Intellectual Property Rights. Therefore, the failure to hear and approve the transfer and license of the Intellectual Property Rights in a timely manner would place the consummation of the sale at risk, potentially resulting in a forced liquidation of the European Debtors assets at a significant loss of value to the Debtors (not only in the form of proceeds from the transfer and license of the Intellectual Property Rights, but also proceeds from the consummation of the sale of the European Debtors assets). 11. The Debtors believe that timing is of the essence. In particular, the

Debtors fear that if the Court does not hear and approve the transfer and license of the Intellectual Property Rights on an expedited basis, the Buyer may pull out of the deal, thereby terminating the potential sale of the European Debtors assets and the substantial benefits that the Debtors estates would receive as a result thereof. 12. Importantly, neither the Committee nor the Debtors prepetition secured

lenders object to the shortened notice sought in this Ex Parte Motion. 13. For the reasons set forth above and in the IP Motion, good and sufficient

cause exists to consider the IP Motion on an expedited basis. 14. Pursuant to Bankruptcy Rule 9007, the Court has authority to regulate the

time within which, the entities to whom and the form and matter in which, notice shall be given, which includes the authority to determine appropriate notice for conducting a hearing on the matters presented by the IP Motion.

WHEREFORE, the Debtors respectfully request the entry of an order, substantially in the form attached hereto as Exhibit A, (a) shortening the period for objecting or otherwise responding to the IP Motion to February 6, 2006 at 4:00 p.m., prevailing Eastern Time, (b) scheduling an expedited hearing on the IP Motion for February 9, 2006 at 2:00 p.m., prevailing Eastern Time, or as soon thereafter as counsel may be heard, and (c) granting such other and further relief as this Court deems appropriate. The Ex Parte Motion is granted in its entirety. A hearing on the IP Motion will be conducted before the Honorable Steven W.

Rhodes, on February 9, 2006 at 2:00 p.m., prevailing Eastern Time, or as soon thereafter as counsel may be heard in the United States Bankruptcy Courthouse, 211 W. Fort Street, Detroit, Michigan 48226. 3. The objection deadline for the relief requested by the Debtors in the IP Motion

shall be February 6, 2006 at 4:00 p.m., prevailing Eastern Time. 4. The Debtors shall immediately serve a copy of this Order and the IP Motion upon

the Core Group and Affected Parties.3 5. The Debtors are authorized and empowered to take all actions necessary to

implement the relief granted in this Order. 6. The terms and conditions of this Order shall be immediately effective and

enforceable upon its entry. 7. The Court retains jurisdiction with respect to all matters arising from or related to

the implementation of this Order.
