DEBTORS APPLICATION FOR ORDER AUTHORIZING THE EMPLOYMENT AND RETENTION OF HALEY & ALDRICH, INC. AS AN ENVIRONMENTAL CONSULTANT The above-captioned debtors (collectively, the Debtors) hereby apply to the Court (the Application) for the entry of an order, substantially in the form of Exhibit A, authorizing the employment and retention of Haley & Aldrich, Inc. (Haley & Aldrich) as an environmental consultant. In support of this Application, the Debtors respectfully state as follows:

Jurisdiction 1. The Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This

matter is a core proceeding within the meaning of 28 U.S.C. 157 (b)(2). 2. 3. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are sections 105(a), 327(a) and

328(a) of the Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), Rules 2014, 2016 and 5002 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules) and Rule 2014-1 of the Local Rules for the United States Bankruptcy Court for the Eastern District of Michigan (the Local Rules). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions

for relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 5. On May 24, 2005, the United States trustee appointed an official committee of

unsecured creditors pursuant to section 1102 of the Bankruptcy Code. 6. The Debtors and their non-debtor affiliates are leading global suppliers of

automotive components, systems and modules to all of the worlds largest vehicle manufacturers, including DaimlerChrysler AG, Ford Motor Company, General Motors Corporation, Honda Motor Company, Inc., Nissan Motor Company Unlimited, Porsche Cars GB, Renault Crateur DAutomobiles, Toyota SA and Volkswagen AG.

The Debtors have on-going environmental liabilities and commitments to

regulatory agencies. These commitments are required in response to court orders, existing permits and mandates by various regulatory agencies, some of which include stipulated penalties for not meeting prescribed deadlines. 8. Based on Haley & Aldrichs prior involvement as an environmental consultant on

several of these projects, the Debtors have determined that they require the services of Haley & Aldrich to provide environmental consulting support and continuity to these projects. As such, the Debtors have sought the services of Haley & Aldrich. Haley & Aldrich has indicated a willingness to continue to support existing environmental projects for the Debtors as described in the Engagement Letters (i.e., executed proposals and contracts) between it and the Debtors (attached hereto as Exhibit B). Haley & Aldrich has indicated a willingness to provide

additional environmental consulting services to the Debtors as requested by the Debtors. 9. Haley & Aldrich has provided environmental consulting services to the Debtors

throughout the bankruptcy period as an Ordinary Course Professional (OCP) and is approaching the $450,000 cap on labor fees. The Debtors have authorized Haley & Aldrich for services in excess of the $450,000 cap for the purposes of resolving environmental liabilities and responding to the mandates of the regulatory agencies. The Debtors have expended $419,304.06 to date, have authorized a total of approximately $319,000 in additional work and anticipate an additional $133,000 (not yet authorized) for environmental services through January 2007. Relief Requested 10. By this Application, the Debtors seek entry of an order pursuant to sections 327(a)

and 328(a) of the Bankruptcy Code, Bankruptcy Rules 2014(a), 2016 and 5002 and Local Rule 2014-1 authorizing the employment and retention of Haley & Aldrich as an environmental consultant to the Debtors in these cases upon the terms and conditions contained 3

in the Engagement Letters and approving the terms of Haley & Aldrichs employment, including the proposed fee structure, set forth in the Engagement Letters. Terms of the Engagement Letters 11. Haley & Aldrich has been retained by Collins & Aikman and is currently

providing environmental consulting services at the following locations: Cardinal Landfill, Farmington, New Hampshire Collins & Aikman Farmington Plant, Farmington, New Hampshire Collins & Aikman TEG Facility, Dover, New Hampshire Collins & Aikman ATC Facility, Dover, New Hampshire Former Wicks Manufacturing Facility, Mancelona, Michigan Former Bohn Heat Treatment Facility, Beardstown, Illinois 12. Haley & Aldrich is providing Collins & Aikman with a wide range of services

including site/remedial investigations; feasibility studies; remediation strategy; remediation design; long-term groundwater monitoring; remediation systems operation and maintenance assistance; and regulatory support. included in Exhibit B. Compensation 13. Haley & Aldrich will file Monthly Fee Statements, as defined in the Project-specific work scopes, terms and conditions are

Administrative Order Establishing Procedures for Monthly Compensation and Reimbursement of Expenses for Professionals and Official Committee Members entered on June 9, 2005 [Docket No. 290] (the Interim Compensation Order), for the allowance of compensation for services rendered and reimbursement of expenses incurred in accordance with applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and any applicable orders of the Court. performed by Haley & Aldrich during the period for which compensation is sought. Haley & Aldrich also will comply with all applicable provisions of the

Interim Compensation Order, the Bankruptcy Code, the Bankruptcy Rules and the Local Rules for compensation and reimbursement of expenses. Disinterestedness 14. As required by Bankruptcy Rule 2014 and Local Rule 2014-1, Haley & Aldrich

has submitted an affidavit setting forth its connections with the Debtors, creditors, parties in interest, the United States trustee and any person employed in the Office of the United States trustee (the Affidavit, which is attached hereto as Exhibit C). 15. To the best of Haley & Aldrichs knowledge and except as disclosed in the

Affidavit, Haley & Aldrich: (a) does not hold or represent an interest adverse to the Debtors estates; and (b) is a disinterested person as that term is defined in section 101(14) of the Bankruptcy Code, as modified by section 1107(b) of the Bankruptcy Code. 16. To the best of the Debtors knowledge, except as set forth in the Affidavit, Haley

& Aldrich: (a) does not have any connection with any of the Debtors, their affiliates, their creditors or any other party in interest or their respective attorneys and accountants; (b) is a disinterested person as that term is defined in section 101(14) of the Bankruptcy Code, as modified by section 1107(b) of the Bankruptcy Code; and (c) does not hold or represent any interest adverse to the Debtors or their estates. Basis for Relief 17. Section 327 of the Bankruptcy Code governs a debtors employment of

professional persons to represent the debtor in possession in carrying out its duties under the Bankruptcy Code. See 11 U.S.C. 327(a).

The Debtors seek approval of the Engagement Letters pursuant to section 328(a)

of the Bankruptcy Code, which provides, in relevant part, that the Debtors with the courts approval, may employ or authorize the employment of a professional person under section 327 . . . on any reasonable terms and conditions of employment. . . . 11 U.S.C. 328(a). 19. Section 328 of the Bankruptcy Code permits the compensation of professionals on As the

flexible terms that reflect the nature of their services and market conditions.

United States Court of Appeals for the Fifth Circuit recognized in In re National Gypsum Co.: Prior to 1978, the most able professionals were often unwilling to work for bankruptcy estates where their compensation would be subject to the uncertainties of what a judge thought the work was worth after it had been done. The uncertainty continues under the present 330 of the Bankruptcy Code, which provides that the court award to professional consultants reasonable compensation based on relevant factors of time and comparable costs, etc. Under present 328 the professionals may avoid that uncertainty by obtaining court approval of compensation agreed to with the trustee (or debtor or committee). 123 F.3d 861, 862 (5th Cir. 1997) (citations omitted). 20. Notwithstanding approval of their engagement under section 328 of the

Bankruptcy Code, Haley & Aldrich intends to apply to the Court for allowance of compensation and reimbursement of expenses pursuant to the procedures described in paragraph 12 and otherwise in accordance with the procedures set forth in the applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and any applicable orders of the Court. 21. Haley & Aldrich has significant experience in the environmental consulting field,

in both distressed and non-distressed situations. The Debtors believe that Haley & Aldrich is well-qualified and able to provide the services to the Debtors in a cost-effective, efficient and timely manner. Haley & Aldrich has indicated a willingness to act on behalf of the Debtors with respect to the services and to subject themselves to the jurisdiction and supervision of the Court.

The Engagement Letters and Affidavit appropriately reflect the nature and scope

of the services and Haley & Aldrichs substantial experience with respect to the services and is consistent with the fee structures typically utilized by Haley & Aldrich and other similar professionals. 23. The Debtors seek to address their environmental liabilities by complying with

existing environmental permits, administrative orders and mandates by regulatory agencies. Accordingly, the Debtors are requesting that the Court approve Haley & Aldrichs employment and retention. Notice 24. Notice of this Application has been given to the Core Group as required by the

Case Management Procedures.3 In light of the nature of the relief requested, the Debtors submit that no further notice is required. No Prior Request 25. court. No prior motion for the relief requested herein has been made to this or any other

environmental consulting services for several of the Debtors environmental projects, which are located in various jurisdictions within the United States. 4. Haley & Aldrich shall be retained and compensated pursuant to the terms of the

Engagement Letters as modified by the Application. 5. The Debtors are authorized to take all actions necessary to effectuate the relief

granted pursuant to this Order in accordance with the Application. 6. The terms and conditions of this Order shall be immediately effective and

enforceable upon its entry. 7. The Court retains jurisdiction with respect to the amount of fees to be paid to

Haley & Aldrich upon proper application and notice.

The Court retains jurisdiction with respect to all matters arising from or related to

the implementation of this Order and neither the Debtors nor Haley & Aldrich shall be required to seek authorization from any other jurisdiction with respect to the relief granted by this Order.

This affidavit is being submitted: (a) in support of the application for an order

authorizing the employment and retention of Haley & Aldrich as an environmental consultant to the above-captioned debtors (collectively, the Debtors); and (b) in accordance with sections 327 and 328 of title 11 of the United States Code, 11 U.S.C. 101-1330 (the Bankruptcy Code) and Rules 2014, 2016, and 5002 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules). 3. Haley & Aldrich provides client companies with comprehensive environmental

consultation services. 4. The Debtors have requested that Haley & Aldrich continues to provide engineering,

consulting and permitting services related to addressing the Debtors environmental liabilities. The majority of this work is being performed in response to court orders, existing permits and/or mandates by various regulatory agencies, some of which include stipulated penalties for not meeting prescribed deadlines. These serviced are currently being provided to the Debtors and Haley & Aldrich has consented to provide such services. 5. Haley & Aldrich may have performed services in the past, may currently perform

services, and may perform services in the future, in matters unrelated to the Debtors chapter 11 cases for persons that are parties in interest in the Debtors chapter 11 cases. Haley & Aldrich does not perform services for any such person in connection with the chapter 11 cases or have any relationship with any such person, their attorneys or accountants that would be adverse to the Debtors or their estates. 6. As part of its customary practice, Haley & Aldrich is retained in cases, proceedings

and transactions involving many different parties, some of whom may represent or be employed by the Debtors, claimants and parties in interest in the chapter 11 cases. 7. The Debtors have numerous creditors, stakeholders and other parties with whom they

maintain business relationships. In connection with its proposed retention by the Debtors in these 2

cases, Haley & Aldrich undertook to determine whether it had any conflicts or other relationships that might cause it not to be disinterested or to hold or represent an interest adverse to the Debtors. In connection with this inquiry, Haley & Aldrich obtained from counsel to the Debtors the names of individuals and entities that may be significant parties-in-interest in these cases (the Potential Parties-in-Interest), and such parties are listed in Schedule A attached hereto. Haley & Aldrich has researched its client files and records to determine its connections with the Debtors and any Potential Parties-in-Interest. 8. To the best of my knowledge and belief, insofar as I have been able to ascertain, none

of the employees of Haley & Aldrich working on engagements on the Debtors behalf has had, or will have in the future, direct contact concerning these cases with the Debtors creditors, equity holders, other parties-in-interest, the U.S. Trustee, or anyone employed in the Office of the United States Trustee, other than in connection with performing environmental consulting services on behalf of the Debtors. 9. To the best of my knowledge, Haley & Aldrich has not been retained to assist any

entity or person other than the Debtors on matters relating to, or in connection with, these cases. To the extent that I have been able to ascertain whether Haley & Aldrich has been retained to represent any of the Potential Parties-in-Interest in matters unrelated to these cases, such parties are listed in Schedule B hereto. Other than as listed in Schedule B, I am unaware of any relationships that Haley & Aldrich has had with Potential Parties-in-Interest, or their respective attorneys and accountants. 10. Neither I nor any officer or employee of, or professional employed by, Haley &

Aldrich has agreed to share or will share any portion of the compensation to be received from the Debtors with any other person other than the principal and regular employees of Haley & Aldrich. 11. Haley & Aldrich is conducting further inquiries regarding its retention by any

creditors of the Debtors, and upon conclusion of that inquiry, or at any time during the period of its 3

employment, if Haley & Aldrich should discover any facts bearing on the matters described herein, Haley & Aldrich will promptly file a supplemental disclosure with this Court. 12. Based upon the foregoing, I believe Haley & Aldrich is a disinterested person within

the meaning of section 101(14) of the Bankruptcy Code and does not hold or represent an interest adverse to the Debtors or their estates. 13. Haley & Aldrich agrees to provide assistance to the Debtors in accordance with the

terms and conditions set forth in the Application and the Engagement Letters, which are annexed to the Application as Exhibit B. Accordingly, I make this Affidavit in support of an order authorizing such retention. 14. As set forth in the Engagement Letters, the Debtors propose to provide payment for

the services described in the Engagement Letters in Exhibit B of the Application and for additional environmental services authorized by the Debtors through Engagement Letters which may be executed in the future, the payment of which is subject to limitations contained in the United States Bankruptcy Code, 11 U.S.C. 101, et seq. 15. It is the intention of Haley & Aldrich to seek compensation for its services as

described in the Application and Engagement Letters in accordance with the Bankruptcy Code, the Bankruptcy Rules, the U.S. Trustees Guidelines and any and all applicable orders or rules of this Court.
