The above-captioned debtors (collectively. the 'Debtors) hereby move the Court
(this 'Application) Ior the entry oI an order. substantially in the Iorm oI Exhibit A. authorizing the
employment and retention oI Greystone Private Equity. LLC. BranIord Auctions LLC. Myron
Bowling Auctioneers. Inc. and PerIection Plant Liquidations (individually and collectively.

with the sale oI certain assets (the 'Assets) located at the Debtors` Iacility in Americus. Georgia
(the 'Americus Eacility). upon the terms and conditions contained in an engagement agreement (the
'Engagement Agreement). substantially in the Iorm attached hereto as Exhibit B. In support oI this
Application. the Debtors respectIully state as Iollows:
3urisdiction
1. The Court has iurisdiction over this matter pursuant to 28 U.S.C. 1334. This matter
is a core proceeding within the meaning oI 28 U.S.C. 157(b)(2).
2. Venue is proper pursuant to 28 U.S.C. 1408 and 1409.
3. The statutory bases Ior the relieI requested herein are sections 105(a). 327(a) and
328(a) oI the Bankruptcy Code. 11 U.S.C. 101-1330 (the 'Bankruptcy Code). Rules 2014. 2016
and 5002 oI the Eederal Rules oI Bankruptcy Procedure (the 'Bankruptcy Rules) and Rule 2014-1
oI the Local Rules Ior the United States Bankruptcy Court Ior the Eastern District oI Michigan (the
'Local Rules).
Background
4. On May 17. 2005 (the 'Petition Date). the Debtors Iiled their voluntary petitions Ior
relieI under chapter 11 oI the Bankruptcy Code. The Debtors are operating their businesses and
managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 oI the
Bankruptcy Code. On the Petition Date. the Court entered an order iointly administering these cases
pursuant to Bankruptcy Rule 1015(b).
5. On May 24. 2005. the United States trustee appointed an oIIicial committee oI
unsecured creditors pursuant to section 1102 oI the Bankruptcy Code (the 'Committee).
6. On January 24. 2007. the Debtors Iiled the Eirst Amended Joint Plan oI Collins &
Aikman Corporation and Its Debtor Subsidiaries |Docket No. 3976| (the 'Plan). On January 26.
2007. the Court entered an order approving the Debtors` amended disclosure statement related to the

Plan |Docket No. 3988|. Pursuant to this order. the Debtors commenced the solicitation process in
connection with the Plan. The Plan is supported by the unoIIicial steering committee Ior the
Debtors` senior. secured prepetition lenders. the Committee and the Debtors` customers. This Court
has scheduled a hearing on conIirmation oI the Plan Ior June 5. 2007.
7. As the Debtors have disclosed publicly and to the Court. to maximize the value oI the
Debtors` estates and save iobs. the Debtors are pursuing a cooperative sale process. which the
Debtors expect will culminate with the conIirmation oI the Plan. Throughout this sale process. the
Debtors have marketed their businesses as going concerns to generate the highest returns to their
estates. The Debtors have Iurther endeavored to increase value by seeking to sell multiple related
units as a group. In particular. as oI the date hereoI. the Debtors have executed asset purchase
agreements subiect to higher and better oIIers Ior their carpet and acoustics group and interiors
plastics group and the Court has approved bidding procedures and other relieI related to these sales.

8. Despite their signiIicant marketing eIIorts. however. the Debtors have been unable to
sell their entire exteriors plastics group as a going concern given the state oI the market Ior such
businesses. As a result. the Debtors have begun. in cooperation with their customers and prepetition
senior. secured lenders. to wind-down certain Iacilities in their exteriors plastics group. including the
Americus Eacility.
9. The Debtors ceased production and closed the Americus Eacility in Eebruary 2007.
To protect potentially salable equipment at the Americus Eacility. the Debtors maintain minimal
personnel at the Americus Eacility. as well as insurance and utility services. The Debtors intend to

conduct an auction oI the equipment used at the Americus Eacility as soon as possible to (a) generate
proceeds Irom the Assets Ior the beneIit oI creditors and (b) Iacilitate the permanent shutdown oI the
Americus Eacility to avoid continued maintenance costs.
10. To provide Ior the disposition oI equipment at the Americus Eacility. the Debtors
invited a group oI liquidators to tour the Iacility and requested two proposals Irom each liquidator.
including: (a) the cost that the liquidator would incur to liquidate the Assets through an auction; and
(b) the purchase price that the liquidator would pay Ior the Assets in a one-time sale. AIter
analyzing the various proposals. the Debtors identiIied the Auctioneer`s proposal to liquidate the
Assets at the Americus Eacility through an auction to be the most Iavorable disposition oI the Assets.
11. The Auctioneer has specialized experience in selling equipment similar to the Assets.
The Debtors believe that the Auctioneer is well-suited to provide the types oI services required to
conduct an eIIicient auction at the Americus Eacility to obtain the highest value Ior the Debtors`
estates Irom the Assets. AIter signiIicant negotiations regarding the commission and expenses to be
paid to the Auctioneer. the Debtors entered into the Engagement Agreement.
Relief Requested
12. By this Application. the Debtors seek entry oI an order authorizing the employment
and retention oI the Auctioneer as sales consultants to the Debtors with respect to the Assets at the
Americus Eacility upon the terms and conditions contained in the Engagement Agreement.
13. The agent to the Debtors` prepetition senior. secured lenders has communicated to the
Debtors its approval oI the Engagement Agreement and the relieI requested in this Application.
14. In addition. the United States trustee has approved the employment and retention oI
the Auctioneer as the Debtors` sales consultants in connection with the sale oI the Assets at the
Americus Eacility. upon the terms and conditions contained in the Engagement Agreement and this
Application. In this regard. contemporaneously with the Iiling oI this Application. the Debtors have

Iiled a statement oI consent oI the United States trustee to the entry oI an order approving this
Application.
Services to Be Performed
15. The Debtors are retaining the Auctioneer to sell all oI the Debtors` personal property
located at the Americus Eacility. including the personal property that is listed and described on
Exhibit A to the Engagement Agreement. Pursuant to the terms oI the Engagement Agreement. the
deIinition oI Assets may be modiIied by the Debtors and the Auctioneer subsequent to the retention
oI the Auctioneer. but only to add or remove assets located at the Americus Eacility.
16. Under the Engagement Agreement. the Auctioneer has authority to conduct the sale in
any manner that it deems to be appropriate. in its proIessional iudgment; however. the Debtors and
the Auctioneer intend that the Assets will be sold through a single auction. The Auctioneer will be
responsible Ior preparing the Assets and conducting the auction. and the Debtors have no
responsibility in this regard other than to provide access to the Americus Eacility.
17. Pursuant to the Engagement Agreement. the Assets must be sold on or beIore
June 15. 2007. and all bills oI sale must provide Ior the removal oI the Assets Irom the Americus
Eacility at the purchaser`s expense no later than July 31. 2007. The Auctioneer`s retention will
terminate on the earlier oI July 31. 2007. and the removal oI all oI the equipment Irom the Americus
Eacility. These dates are subiect to modiIication by the Debtors and the Auctioneer under the
circumstances provided Ior in the Engagement Agreement.
Compensation
18. Pursuant to the Engagement Agreement and in consideration oI the services provided
by the Auctioneer. the Auctioneer will be entitled to receive as compensation Iive percent oI the
aggregate gross proceeds Irom the sale oI the Assets. In addition. the Debtors will reimburse the
Auctioneer Ior expenses incurred in connection with the sale oI the Assets in an amount not to

exceed $100.000. An itemized list oI the Auctioneer`s estimated expenses is attached hereto as
Exhibit C.
19. The Auctioneer will Iile interim and Iinal Iee applications pursuant to the
Administrative Order Establishing Procedures Ior Monthly Compensation and Reimbursement oI
Expenses Ior ProIessionals and OIIicial Committee Members entered by the Court on June 9. 2005
|Docket No. 290| (the 'Interim Compensation Order). Ior the allowance oI compensation Ior
services rendered and reimbursement oI expenses incurred in accordance with applicable provisions
oI the Bankruptcy Code. Bankruptcy Rules. the Local Rules and any applicable orders oI the Court.
The Iee applications will contain descriptions oI the services rendered and the work perIormed by
the Auctioneer during the period Ior which compensation is sought and. to the extent they are
collected in the ordinary course. hourly time records oI labor costs incurred.
Disinterestedness
20. As required by Bankruptcy Rule 2014 and Local Rule 2014-1. Greystone Private
Equity. LLC. BranIord Auctions LLC. Myron Bowling Auctioneers. Inc. and PerIection Plant
Liquidations have submitted aIIidavits setting Iorth their respective connections with the Debtors.
creditors. parties in interest. the United States trustee and any person employed in the OIIice oI the
United States trustee (individually and collectively. the 'AIIidavits). The AIIidavits are attached
hereto as Exhibits D-1, D-2, D-3 and D-4. respectively.
21. Except as set Iorth in the AIIidavits. to the best oI each Auctioneer`s knowledge. such
Auctioneer: (a) does not have any connection with any oI the Debtors. their aIIiliates. their creditors
or any other party in interest or their respective attorneys and accountants; (b) is a 'disinterested
person as that term is deIined in section 101(14) oI the Bankruptcy Code; and (c) does not hold or
represent any interest adverse to the Debtors or their estates.

Indemnification
22. The Engagement Agreement provides that the Debtors will indemniIy the Auctioneer
against: (a) any acts or omissions oI the Seller that result in (i) personal or property iniury
incurred at the Americus Eacility to the extent oI any Gross Proceeds net the Auctioneer`s Expenses.
(ii) a violation oI any governmental statute. ordinance or code related to the Assets or the Americus
Eacility or (iii) a violation oI any security interest. license agreement. patent or other encumbrance
restricting the Sale or the use oI the Assets; and (b) any environmental action being brought
(i) because the Assets allegedly were involved in. or are somehow related to. the storage. handling.
treatment. disposition. generation or transportation oI Hazardous Substances or (ii) against the
Auctioneer in connection with any remedial actions associated with the Assets or the Americus
Eacility.

Basis for Relief
23. Section 327 oI the Bankruptcy Code governs a debtor`s employment oI 'proIessional
persons to represent the debtor in possession in carrying out its duties under the Bankruptcy Code.
See 11 U.S.C. 327(a).
24. The Debtors seek approval oI the Engagement Agreement pursuant to section 328(a)
oI the Bankruptcy Code. which provides. in relevant part. that the Debtors. 'with the court`s
approval. may employ or authorize the employment oI a proIessional person under section 327 . . .
on any reasonable terms and conditions oI employment. . . . 11 U.S.C. 328(a).

25. Section 328 oI the Bankruptcy Code permits the compensation oI proIessionals on
Ilexible terms that reIlect the nature oI their services and market conditions. As the United States
Court oI Appeals Ior the EiIth Circuit recognized in In re National Gypsum Co.:
Prior to 1978. the most able proIessionals were oIten unwilling to
work Ior bankruptcy estates where their compensation would be
subiect to the uncertainties oI what a iudge thought the work was
worth aIter it had been done. The uncertainty continues under the
present 330 oI the Bankruptcy Code. which provides that the court
award to proIessional consultants reasonable compensation based on
relevant Iactors oI time and comparable costs. etc. Under present
328 the proIessionals may avoid that uncertainty by obtaining court
approval oI compensation agreed to with the trustee (or debtor or
committee).
123 E.3d 861. 862 (5th Cir. 1997) (citations omitted).
26. Notwithstanding approval oI their engagement under section 328. the Auctioneer
intends to apply to the Court Ior allowance oI compensation and reimbursement oI expenses
pursuant to the Interim Compensation Order and otherwise in accordance with the procedures set
Iorth in the applicable provisions oI the Bankruptcy Code. the Bankruptcy Rules. the Local Rules
and any applicable orders oI the Court.
27. The Debtors believe that the relieI requested herein will aid in the Debtors` eIIorts to
maximize the value oI the sale oI the Assets Ior the beneIit oI the Debtors` estates. their creditors and
other parties in interest. The Auctioneer has signiIicant experience in liquidating automotive parts
manuIacturing equipment. such as the Assets. in distressed situations. The Debtors believe that the
Auctioneer is well-qualiIied and able to provide the services to the Debtors in a cost-eIIective.
eIIicient and timely manner. The Auctioneer has indicated a willingness to act on behalI oI the
Debtors with respect to the services and to subiect themselves to the iurisdiction and supervision oI
the Court.

28. The Engagement Agreement and the AIIidavits appropriately reIlect the nature and
scope oI the services to be perIormed by the Auctioneer and the Auctioneer`s substantial experience
with respect to such services. The Iee structure set Iorth in the Engagement Agreement is consistent
with the Iee structures typically utilized by the Auctioneer and other similar proIessionals who do
not bill their clients on an hourly basis. Accordingly. the Debtors are requesting that the Court
approve the Auctioneer`s employment and retention.
Notice
29. The Application will be served upon the Core Group as required by the Case
Management Procedures.

1. The Application is granted in its entirety.
2. In accordance with 11 U.S.C. 327(a). 328(a) and 1107(a). the Debtors are
authorized and empowered to retain and employ the Auctioneer as the Debtors` sales consultants in
these cases pursuant to the terms set Iorth in the Application and the Engagement Agreement.
3. The Engagement Agreement is approved pursuant to 11 U.S.C. 328(a) and the
Debtors are authorized to pay. reimburse and indemniIy the Auctioneer according to the terms in the
Engagement Agreement.
4. The Auctioneer shall be compensated in accordance with the procedures set Iorth in
11 U.S.C. 330 and 331. the Bankruptcy Rules. the Local Rules and such other orders as may be
entered by this Court. including the Interim Compensation Order.
5. The Debtors are authorized to take all actions necessary to eIIectuate the relieI
granted pursuant to this Order in accordance with the Application.

EXHIBIT B
ENGAGEMENT AGREEMENT
This ENGAGEMENT AGREEMENT (this 'AGREEMENT) is eIIectively dated as oI
May 1, 2007, by and between COLLINS & AIKMAN CORPORATION and its controlled
subsidiaries that are debtors in possession in bankruptcy cases iointly administered under Case No.
05-55927 in the Bankruptcy Court Ior the Eastern District oI Michigan (the
'BANKRUPTCY COURT, and such debtors in possession collectively, the 'SELLER) and
GREYSTONE PRIVATE EQUITY, LLC, a Delaware limited liability corporation, BRANFORD
AUCTIONS LLC, a Connecticut limited liability corporation, MYRON BOWLING
AUCTIONEERS, INC, a Kentucky corporation and PERFECTION PLANT LIQUIDATIONS,
an Illinois corporation (collectively, the 'AUCTIONEER).
RECITALS:
On or about May 17, 2005, petitions were Iiled by the SELLER pursuant to Chapter 11 oI
Title 11 oI the United States Code, as amended (the 'BANKRUPTCY CODE). Subiect to the
approval oI the BANKRUPTCY COURT, the SELLER seeks to engage the AUCTIONEER to
conduct one or more public auction(s) and/or private sale(s) (individually and collectively, the
'SALE) oI certain property oI the SELLER (the 'ASSETS). The SELLER and the
AUCTIONEER (each a 'PARTY, and collectively the 'PARTIES) have agreed to execute this
AGREEMENT so as to document the terms oI the SELLER`s engagement oI the AUCTIONEER in
connection with the SALE.
NOW, THEREFORE, in consideration oI these premises, the terms and conditions set Iorth
herein, and other good and valuable consideration, the receipt and suIIiciency oI which are hereby
acknowledged, the PARTIES agree as Iollows:
Section 1. Purpose OI Agreement. Subiect to the approval oI the BANKRUPTCY
COURT, the SELLER hereby hires the AUCTIONEER, upon the terms and conditions set Iorth
herein, as the SELLER`s agent, to conduct the SALE oI the ASSETS.
Section 2. Assets To Be Sold By Auctioneer. The ASSETS shall include all oI the
SELLER`s personal property located at 100 Brady Road, Americus, GA (the 'PREMISES),
including the personal property that is listed and described on Exhibit A, attached hereto and made a
part hereoI: provided that, the ASSETS shall not include any personal property leased by the
SELLER Ior which the SELLER does not have the consent oI the lessor to sell, whether or not such
personal property is listed on Exhibit A: provided Iurther that, the SELLER may, by email notice to
the AUCTIONEER, and in the SELLER`s sole and absolute discretion, modiIy the deIinition oI
ASSETS at any time, where the eIIect oI such modiIication is to remove Irom the deIinition oI
ASSETS personal property that is not owned by the SELLER. The SELLER will provide the
AUCTIONEER with inIormation reasonably necessary to identiIy any personal property on the
PREMISES that is leased by the SELLER, but Ior which the SELLER does not have the consent oI
the lessor to sell.

Section 3. Manner OI Sale. The SELLER hereby authorizes the AUCTIONEER:
(a) to sell the ASSETS, in whole or in part, at public auction(s) and/or private sale(s) to the highest
bidder in respect thereoI: and (b) to include other assets in such auction(s) to increase public
attendance: provided that, the AUCTIONEER shall itemize and account Ior each and every ASSET
sold, including a description oI whether such ASSET is owned by the SELLER or leased and, iI
leased, the name oI the lessor. Although the AUCTIONEER shall endeavor to consult with the
SELLER regarding the manner and method oI the SALE, the AUCTIONEER shall have the
authority to conduct the SALE in the manner and utilizing the methods that the AUCTIONEER
deems, in its proIessional iudgment, to be appropriate. The SELLER shall have no obligation
arising Irom the preparation Ior or conduct oI any auction(s) or other means Ior SALE, except Ior
providing access to the PREMISES as contemplated in Section 8. The SELLER hereby agrees that
it will not eIIectuate any SALE oI any oI the ASSETS on its own without utilizing the services oI
the AUCTIONEER in connection therewith: provided that, nothing herein shall require the SELLER
to utilize the services oI the AUCTIONEER with respect to the sale oI any ASSETS that are not
owned by the SELLER.
Section 4. Time OI Sale. The AUCTIONEER shall eIIectuate the SALE on or
beIore the date that is Iorty-Iive (45) days Irom the date oI this Agreement (the 'AUCTION
DEADLINE): provided that, the AUCTIONEER or the SELLER may, by email notice to the other
PARTY, amend the deIinition oI AUCTION DEADLINE to a date that is more than Iorty-Iive (45)
days Irom the date oI this Agreement and on or beIore the date that is Iorty-Iive (45) days beIore the
EXIT DATE (as deIined below).
Section 5. Term OI Agreement. With the exception oI the agreements oI the
PARTIES described in Sections 7, 12, 18 and 19hereoI, the rights and obligations oI the PARTIES
under this AGREEMENT shall terminate upon the date (the 'TERMINATION DATE) that is the
earlier oI (a) completion oI the SALE oI all oI the ASSETS by the AUCTIONEER and the removal
oI all oI the ASSETS Irom the PREMISES and (b) the EXIT DATE (as deIined below). Following
the TERMINATION DATE, the AUCTIONEER shall have no obligation to remove unsold
ASSETS Irom the PREMISES, to disconnect any utilities to unsold ASSETS, or to repair any
damages to the PREMISES that are caused by the removal oI the sold ASSETS Irom the PREMISES
or the disconnection oI utilities to the sold ASSETS, unless the SELLER is able to prove that the
damages are the direct result oI the AUCTIONEER`s negligence or misconduct.
Section 6. Commission: Gross Proceeds: Expenses. The AUCTIONEER intends to
charge each purchaser oI ASSETS (the 'PURCHASER) a 'BUYER PREMIUM (as that term is
commonly understood in the context oI an auction) in an amount equal to ten percent (10) oI the
aggregate gross purchase price paid by the PURCHASER Ior the ASSETS (the
'GROSS PROCEEDS) and shall rebate IiIty percent (50) oI such BUYER PREMIUM back to
the SELLER. The SELLER shall reimburse the AUCTIONEER Ior all expenses incurred by the
AUCTIONEER in connection with the SALE (collectively, the 'AUCTIONEER`S EXPENSES),
including but not limited to ad placement Iees and all other advertising expenses, digital
photography oI the ASSETS, brochure and catalog production, print and electronic media
production, labor, creative services, telemarketing, data list purchases, Iacsimile charges, postage,
travel, accounting, equipment rental, insurance, permits, UCC searches, lien releases, reasonable
attorneys` Iees, security, and any other out-oI-pocket charges incurred by the AUCTIONEER or

otherwise relating to the SALE: provided that, any and all expenses shall be itemized and accounted
Ior in the Ioregoing categories with a description suIIicient to allow the SELLER to identiIy each
individual expense. The amount oI the AUCTIONEER`S EXPENSES Ior which the SELLER is
obligated to reimburse the AUCTIONEER (a) shall not exceed One Hundred Thousand Dollars
($100,000) and (b) shall be subiect to approval by the BANKRUPTCY COURT as reasonable
pursuant to the procedures set Iorth in the Administrative Order Establishing Procedures Ior
Monthly Compensation and Reimbursement oI Expenses Ior ProIessionals and OIIicial Committee
Members entered by the BANKRUPTCY COURT on June 9, 2005 (the 'INTERIM
COMPENSATION ORDER).
Section 7. Delivery OI Proceeds. All proceeds Irom any SALE oI all or any portion
oI the ASSETS, including any BUYER PREMIUM, shall be deposited into a bank account in the
name oI the SELLER that is controlled by the SELLER. The SELLER shall be responsible Ior
reporting and remitting to the appropriate taxing authorities all sales and similar taxes with respect to
any SALE: provided that, the AUCTIONEER shall collect such sales and similar taxes Irom buyers
oI ASSETS in the SALE and remit any amounts collected to the SELLER.
Within ten (10) business days Iollowing the date oI the SALE, the
SELLER shall provisionally reconcile and settle all amounts due to the SELLER by the
AUCTIONEER and to the AUCTIONEER by the SELLER pursuant to the terms oI this
AGREEMENT as oI such date ('RECONCILIATION DATE). Within ten (10) business days
Iollowing the TERMINATION DATE (the 'FINAL RECONCILIATION DATE), the
AUCTIONEER and the SELLER shall Iinally reconcile and settle all amounts due to the SELLER
by the AUCTIONEER and to the AUCTIONEER by the SELLER pursuant to the terms oI this
AGREEMENT. In the event any amount is due to the AUCTIONEER Irom the SELLER pursuant
to this AGREEMENT as oI the RECONCILIATION DATE or FINAL RECONCILIATION DATE,
the SELLER shall pay such amount to the AUCTIONEER in accordance with the INTERIM
COMPENSATION ORDER.
Section 8. Use OI Premises. The SELLER: (a) authorizes the AUCTIONEER to
enter and use the PREMISES Ior the purposes oI storing the ASSETS thereupon, preparing Ior and
conducting the SALE thereupon, and otherwise exhibiting the ASSETS: (b) shall not charge the
AUCTIONEER any Iees associated with the AUCTIONEER`s use oI the PREMISES in accordance
with the terms oI this Section: and (c) shall provide adequate utilities to the PREMISES, at the
SELLER`s sole expense, to allow the AUCTIONEER (i) to demonstrate and exhibit the ASSETS to
any prospective PURCHASER, and (ii) to conduct the SALE.
Section 9. Removal OI Assets. Any and all ASSETS sold in any SALE shall be
removed Irom the PREMISES no later than July 31, 2007 ('EXIT DATE): provided that, the
SELLER may, by email notice to the AUCTIONEER and in the SELLER`s sole and absolute
discretion, amend the deIinition oI EXIT DATE to a date: provided Iurther that, in the event
Bankruptcy Court approval oI (i) the retention oI the AUCTIONEER, or (ii) the SALE oI the
ASSETS is not obtained prior to June 1, 2007, the EXIT DATE shall be extended by one day Ior
each day aIter June 1, 2007, that such approval is not obtained. Any contract or agreement in respect
oI a SALE entered into by the AUCTIONEER on behalI oI the SELLER shall include a promise by
the PURCHASER thereunder to remove the ASSETS purchased Irom the PREMISES, at such

PURCHASER`s expense, on or beIore the EXIT DATE, and shall provide the SELLER with the
remedy oI speciIic perIormance to enIorce such promise.
Section 10. Liability And Workers` Compensation Insurance. Prior to entering and
using the PREMISES pursuant to the authority granted in Section 8, the AUCTIONEER shall
provide the SELLER with evidence that the AUCTIONEER has: (a) public liability and property
damage insurance -- (i) insuring the AUCTIONEER against loss as a result oI personal iniury or
property damage in connection with the ASSETS, the PREMISES and any SALE, (ii) with limits oI
not less than Two Million Dollars ($2,000,000.00) in the aggregate as to personal iniury, and (iii)
naming the SELLER as an additional insured: and (b) workers` compensation insurance with limits
oI coverage that comply with applicable laws and regulations. The AUCTIONEER shall maintain
the insurance described in this Section until the TERMINATION DATE.
Section 11. Casualty Insurance: Loss. Until such time as title to and possession oI the
ASSETS are delivered to the PURCHASER, the SELLER (and not the AUCTIONEER) shall
maintain those policies oI all-risk or Iire and extended coverage casualty insurance, and vandalism
and malicious mischieI, Ior the ASSETS as are currently held by the SELLER.
Section 12. DeIault: Termination OI Agreement. In the event that the SELLER
violates the terms oI, or Iails to perIorm its obligations under, this AGREEMENT, and such Iailure
is not cured within IiIteen (15) days Iollowing the delivery oI written notice thereoI to the SELLER
the AUCTIONEER may terminate the AUCTIONEER`s obligations under this AGREEMENT, upon
the delivery oI written notice thereoI to the SELLER, and the SELLER shall promptly pay to the
AUCTIONEER an amount equal to the AUCTIONEER`S EXPENSES. In the event that the
AUCTIONEER violates the terms oI, or Iails to perIorm its obligations under, this AGREEMENT,
and such Iailure is not cured within IiIteen (15) days Iollowing the delivery oI written notice thereoI
to the AUCTIONEER, the SELLER may terminate this AGREEMENT, upon the delivery oI a
subsequent written notice thereoI to the AUCTIONEER, and the AUCTIONEER shall promptly pay
to the SELLER an amount equal to the aggregate amount oI GROSS SALE PROCEEDS and any
BUYER PREMIUM that the AUCTIONEER has received prior to the date oI such termination, less
the amount oI the AUCTIONEER`S EXPENSES paid by the SELLERS prior to that date.
Section 13. Seller`s Authorizations Regarding Bills OI Sale. The SELLER hereby
authorizes the AUCTIONEER to execute, on the SELLER`s behalI, all bills oI sale, receipts and
other documents necessary to transIer title to the ASSETS to the PURCHASER upon payment oI the
SALE PROCEEDS.
Section 14. Representations OI Seller . The SELLER represents and warrants to the
AUCTIONEER that:
(a) on or beIore the time oI the SALE, the SELLER shall use its best eIIorts to obtain the
BANKRUPTCY COURT`s approval oI this AGREEMENT and authority to sell the
ASSETS pursuant to the BANKRUPTCY CODE, and/or such other applicable law,
Iree and clear oI all liens, claims and any other encumbrances ('LIENS):
(b) no brokerage Iees are due and owing in connection with the SALE:

(c) the person executing this AGREEMENT on behalI oI the SELLER is duly authorized
to do so:
(d) the terms oI this AGREEMENT are binding upon and enIorceable against the
SELLER:
(e) Iollowing the execution and delivery oI this AGREEMENT by the PARTIES and
until such time as the BANKRUPTCY COURT issues a non-appealable order
precluding the SELLER`s engagement oI the AUCTIONEER to conduct the SALE
pursuant to the terms oI this AGREEMENT, the SELLER -- (i) is obligated to
support any and all motions by or on behalI oI the AUCTIONEER or which
otherwise seek the retention oI the AUCTIONEER pursuant to the terms oI this
AGREEMENT, (ii) is prohibited Irom entertaining or supporting in the
BANKRUPTCY COURT any oIIer to sell or conduct a sale oI the ASSETS on
behalI oI the SELLER or any oIIer to purchase the ASSETS Irom the SELLER in
violation oI the terms oI this AGREEMENT (collectively, a 'COMPETING
OFFER), and (iii) must reIer each and every COMPETING OFFER to the
AUCTIONEER immediately Iollowing the SELLER`s receipt thereoI:
(I) the AUCTIONEER has no obligation whatsoever to purchase, sell, make, store,
handle, treat, dispose, generate, transport or remove any HAZARDOUS
SUBSTANCES that may be located at the PREMISES or otherwise associated with
the ASSETS.
The term 'HAZARDOUS SUBSTANCES means, collectively, any chemical, solid, liquid, gas, or
other substance having the characteristics identiIied in, listed under, or designated pursuant to -- (i)
the Comprehensive Environmental Response, Compensation and Liability Act oI 1980, as amended,
42 U.S.C.A. 9601(14), as a 'hazardous substance, (ii) the Resource, Conservation and Recovery
Act, 42 U.S.C.A. 6903(5) and 6921, as a 'hazardous waste, or (iii) any other laws, statutes, or
regulations oI a government or political subdivision or agency thereoI, as presenting an imminent
and substantial danger to the public health or welIare or to the environment, or as otherwise
requiring special handling, collection, storage, treatment, disposal, or transportation.
Section 15. Representations OI Auctioneer. The AUCTIONEER represents and
warrants to the SELLER that:
(a) all necessary authority to conduct the SALE has been obtained by the
AUCTIONEER:
(b) the person executing this AGREEMENT on behalI oI the AUCTIONEER is duly
authorized to do so: and
(c) the terms oI this AGREEMENT are binding upon and enIorceable against the
AUCTIONEER.

Section 16. Assignment OI Service Agreements, Manuals. The SELLER agrees to
assign to the PURCHASER, without additional consideration Irom the AUCTIONEER or the
PURCHASER, any and all service agreements, warranties, operating agreements, maintenance
agreements, manuals, plans, and all similar and other documents relating to the ASSETS or the
SALE which are in the possession or under the control oI the SELLER (collectively, the 'SERVICE
AGREEMENTS). The SERVICE AGREEMENTS shall be delivered to the PURCHASER at the
time oI the consummation oI the SALE, unless otherwise agreed to by the PARTIES and the
PURCHASER in writing. Notwithstanding any oI the terms oI this Section to the contrary, the
SELLER is not obligated to deliver any SERVICE AGREEMENT that is not in the possession or
under the control oI the SELLER.
Section 17. Advertising: Disclaimers OI Warranties. The SELLER hereby authorizes
the AUCTIONEER: (a) to use the SELLER`s name, without additional consideration Irom the
AUCTIONEER, in promotional materials pertaining to the SALE (and not Ior any other reason): and
(b) to state both in its advertising oI the SALE and at the SALE that -- (i) all ASSETS are being
sold, ~AS IS, WHERE IS, AND WITH ALL FAULTS, and otherwise to include any disclaimers
oI warranty, including but not limited to disclaimers oI the warranties oI merchantability and Iitness
Ior a particular purpose or use, and (ii) ~THERE IS NO WARRANTY RELATING TO TITLE,
POSSESSION, QUIET EN3OYMENT, OR THE LIKE IN THE DISPOSITION OF ANY OF
THE ASSETS.
Section 18. IndemniIications By The SELLER. The SELLER hereby indemniIies,
deIends and agrees to hold harmless the AUCTIONEER and the AUCTIONEER`s oIIicers, agents
and employees, Irom and against any and all claims, demands, liabilities, iudgments, damages,
settlements, costs and expenses (including but not limited to court costs and attorneys` Iees) that
may be sustained or incurred by the AUCTIONEER as a result oI:
(a) any acts or omissions oI the SELLER that result in -- (i) personal or property iniury
incurred at the PREMISES: (ii) a violation oI any governmental statute, ordinance or
code related to the ASSETS or the PREMISES, or (iii) a violation oI any security
interest, license agreement, patent or other encumbrance restricting the SALE or the
use oI the ASSETS:
(b) any environmental action being brought -- (i) because the ASSETS allegedly were
involved in, or are somehow related to, the storage, handling, treatment, disposition,
generation, or transportation oI HAZARDOUS SUBSTANCES, or (ii) against the
AUCTIONEER in connection with any remedial actions associated with the
ASSETS or the PREMISES:
provided that, the aggregate indemniIication obligations in paragraphs (a) and (b) shall be limited to
the value oI any GROSS PROCEEDS net oI the AUCTIONEER`S EXPENSES.
Section 19. IndemniIications By The AUCTIONEER. The AUCTIONEER hereby
indemniIies, deIends and agrees to hold harmless the SELLER and the SELLER`s oIIicers, agents
and employees Irom and against any and all claims, demands, liabilities, iudgments, damages,

settlements, costs and expenses (including but not limited to court costs and attorneys` Iees) that
may be sustained or incurred by the SELLER as a result oI:
(a) any acts or omissions oI the AUCTIONEER that result in -- (i) personal or property
iniury incurred at the PREMISES, or (ii) a violation oI any governmental statute,
ordinance or code related to the ASSETS or the PREMISES:
(b) any material misrepresentation oI the warranties more Iully described in Section 15
hereoI.
Section 20. Dispute Resolution. Any controversy or claim arising out oI or related to
this AGREEMENT, or any alleged breach oI the terms hereoI, shall be adiudicated by the
BANKRUPTCY COURT.
Section 21. Binding Obligation: Assignment. This AGREEMENT shall be binding
upon the PARTIES and their respective successors and assigns. Neither PARTY may assign its
interest in this AGREEMENT without the prior written consent oI the other PARTY: provided that,
the SELLER may assign this Agreement to a trust provided Ior in a chapter 11 plan conIirmed in
their chapter 11 bankruptcy cases without prior written consent oI the AUCTIONEER.
Section 22. Final Agreement. This AGREEMENT -- and any and all (i) exhibits that
are attached hereto and made a part hereoI, and (ii) side agreements, letter agreements, and
amendments (iI any) that are executed by the SELLER and the AUCTIONEER in Iurtherance oI this
AGREEMENT -- contains the Iinal and entire agreement and understanding oI the PARTIES, and any
terms and conditions not set Iorth in this AGREEMENT (or in such exhibits, side letters, letter
agreements, and amendments) are not a part oI this AGREEMENT and the understanding oI the
PARTIES. This AGREEMENT may be amended or altered only in writing signed by the PARTY to
be bound by the change or alteration.
Section 23. Time. Time is strictly oI the essence oI this AGREEMENT.
Section 24. Number, Gender, And Captions. As used herein, the singular shall include
the plural and the plural may reIer to only the singular. The use oI any gender shall be applicable to
all genders. The captions contained herein are Ior purposes oI convenience only and are not a part oI
this AGREEMENT.
Section 25. Force Maieure. Notwithstanding any oI the terms oI this AGREEMENT to
the contrary, the AUCTIONEER shall not be deemed in deIault with respect to the perIormance oI
any oI the terms, covenants and conditions oI this AGREEMENT, and the TERMINATION DATE
shall be extended accordingly, iI the AUCTIONEER -- (i) is unable to conduct the SALE, (ii)
determines that the SALE should be postponed, or (iii) otherwise is unable to IulIill its obligations
hereunder -- due to or because oI any: (a) civil commotion, war-like operation, invasion, rebellion,
terrorist act, hostilities, military or usurped power, sabotage, or governmental regulation or control: or
(b) hurricane, tornado, Ilood, mudslide, Iire, act oI God, or any other cause that is beyond the control
oI the AUCTIONEER.

Section 26. Notices. Any notice required or permitted by or in connection with this
AGREEMENT, without implying the obligation to provide any such notice, shall be in writing and
shall be made by email, by Iacsimile (conIirmed on the date the Iacsimile is sent by one oI the other
methods oI giving notice provided Ior in this Section) or by hand delivery, by Federal Express, or
other similar overnight delivery service, or by certiIied mail, unrestricted delivery, return receipt
requested, postage prepaid, addressed to the respective PARTIES at the appropriate address set Iorth
below or to such other address as may be hereaIter speciIied by written notice by the respective
PARTIES. II notice is tendered pursuant to the provisions oI this Section and is reIused by the
intended recipient thereoI, the notice, nevertheless, shall be considered to have been given.
