STIPULATION BY AND BETWEEN DEBTORS AND BECKER PROPERTIES, LLC TO THE ENTRY OF ORDER RESOLVING THE OBJECTION OF BECKER PROPERTIES, LLC TO DEBTORS MOTION FOR ENTRY OF AN ORDER AUTHORIZING DEBTORS TO REJECT CERTAIN UNEXPIRED LEASES OF NONRESIDENTIAL REAL PROPERTY WITH BECKER PROPERTIES, LLC This Stipulation resolving the objection of Becker Properties, LLC (Becker) to the motion of the above-captioned debtors (collectively, the Debtors) for the entry of an order authorizing the Debtors to reject certain unexpired leases of nonresidential real property with Becker [Docket No. 7430] (the Motion) is made as of July 3, 2007, by and between the Debtors and Becker.

WHEREAS, on May 17, 2005, the Debtors filed petitions for relief under chapter 11 of title 11 of the United States Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), in the United States Bankruptcy Court for the Eastern District of Michigan (the Bankruptcy Court); and WHEREAS, on June 6, 2007, the Debtors filed the Motion; and WHEREAS, on June 19, 2007, Becker filed its objection to the Motion

[Docket No. 7596] (the Objection). NOW, THEREFORE, in consideration of the mutual premises contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, it is hereby stipulated and agreed to by and between the parties as follows: 1. The Motion and the Objection are hereby resolved in their entirety pursuant to the

terms of the order attached hereto as Exhibit A, and the undersigned stipulate to its entry. 2. The Bankruptcy Court shall retain jurisdiction (and the Debtors and Becker

consent to such retention of jurisdiction) to resolve any disputes or controversies arising from or related to this Stipulation. Any request for relief brought before the Bankruptcy Court to resolve a dispute arising from or related to this Stipulation shall be brought on proper notice and in accordance with relevant Federal Rules of Bankruptcy Procedure and Local Rules for the Bankruptcy Court of the Eastern District of Michigan. 3. This Stipulation may be executed in multiple counterparts, any of which may be

transmitted by facsimile, and each of which shall be deemed an original, but all of which together shall constitute one instrument.

This Stipulation shall not be modified, altered, amended or vacated without

written consent of all parties hereto. Any such modification, alteration, amendment or vacation, in whole or in part, shall be subject to the approval of the Bankruptcy Court. 5. The signatories to this Stipulation represent that they have been duly authorized

it appearing that this proceeding is a core proceeding pursuant to 28 U.S.C. 157(b)(2); it appearing that venue of this proceeding and the Motion in this District is proper pursuant to 28 U.S.C. 1408 and 1409; it appearing that notice of the Motion and the opportunity for a hearing on the Motion was appropriate under the particular circumstances and that no other or further notice need be given; Becker Properties, LLC (Becker) withdraws its objection to the Motion [Docket No. 7596] subject to the provisions of this Order; and after due deliberation and sufficient cause appearing therefor, it is hereby ORDERED 1. 2. The Motion is granted as set forth herein. The Havre de Grace Lease is rejected effective as of the earlier of (a) the

Effective Date (as defined in the Plan) and (b) July 31, 2007. The automatic stay under 11 U.S.C. 362, as it applies to (a) Becker with respect to 1601 Clark Road, Havre de Grace, Maryland (the Havre de Grace Premises) and (b) any action by Becker with respect to the Havre de Grace Premises, is vacated as of the effective rejection date set forth in this paragraph. 3. To the extent Becker maintains any claims based on (a) rejection of the Havre de

Grace Lease, or (b) postpetition obligations allegedly owed to Becker by the Debtors under the Havre de Grace Lease, such claims must be filed on or before August 31, 2007 and the Debtors and Becker reserve their rights and defenses to any such claims. 4. The Sterling Heights Lease is rejected effective as of August 31, 2007. The

automatic stay under 11 U.S.C. 362, as it applies to (a) Becker with respect to 6600 E. 15 Mile Road, Sterling Heights, Michigan (Sterling Heights Premises) and (b) any action by Becker with respect to the Sterling Heights Premises, is vacated as of August 31, 2007. The Debtors shall vacate and surrender the Sterling Heights Premises to Becker on August 31, 2007; provided, however, that Becker acknowledges and agrees that in exiting the Sterling Heights

Premises, the Debtors have the right to seek to abandon at the Sterling Heights Premises any of the Debtors assets located at the Sterling Heights Premises in accordance with (a) the Order Authorizing and Approving Expedited Procedures for the Sale or Abandonment of De Minimis Assets [Docket No. 445] (with notice given to Becker under that order) or (b) any other order of the Court approving such abandonment after notice to Becker and an opportunity for a hearing, subject to any rights, claims and defenses of Becker or the Debtors with respect thereto. 5. To the extent Becker maintains any claims based on (a) rejection of the Sterling

Heights Lease or (b) postpetition obligations allegedly owed to Becker by the Debtors under the Sterling Heights Lease, such claims must be filed on or before September 30, 2007 and the Debtors and Becker reserve their rights and defenses to any such claims. 6. The Debtors monthly rental obligations for each of July 2007 and August 2007

with respect the property leased by the Debtors under the Sterling Heights Lease shall be $209,643.42, which shall be paid by the Debtors in accordance with the terms of the Sterling Heights Lease. 7. The Debtors reserve their rights to, and do not by this Order waive, any claims

that they have or may have against Becker, whether or not such claims are related to the rejection of the Sterling Heights Lease or the Havre de Grace Lease. 8. The Debtors are authorized to take all actions necessary to effectuate the relief

granted pursuant to this Order in accordance with the Motion. 9. The terms and conditions of this Order shall be immediately effective and

enforceable upon its entry. 10. The Court retains jurisdiction with respect to all matters arising from or related to

the implementation of this Order.
