SALES CONTRACT
A Contract made on 16 of Januar, 2012 by and between RICHTER RUBBER TECHNOLOGY SDN BHD (hereinafter referred to as RICHTER), and RD MARKETING doo PROIZVODNO TRGOVINSKO PREDUZEE, (hereinafter to as RD MARKETING). Whereas, RD MARKETING desires to purchase, subject to the terms and conditions as herein below described, of the Male Latex Condoms ONE DON JUAN NATURAL to be sale in SERBIA only: and Whereas, RICHTER desires to sell to RD MARKETING, subject to the terms and conditions as herein below described. It is Mutually Agreed As Follows: 1. PRODUCT. All products to be supplied by RICHTER pursuant to this Contract and for the purpose of this Contract, the term product shall mean Male Latex Condoms, manufactured must fully complied with ISO 4074: 2002 Standards as well as where applicable, with WHO 2003 Specification and Guidelines. 2. PRICE. Price is understood on FOB BELGRADE-SERBIA(BY AIRPLANE) basis (INCOTERMS 2000). The prices shall not change for a period of twelve (12) months from the date of this Contract, for all orders placed within said twelve (12) months period. Thereafter, prices may be increased OR BE LESS by RICHTER upon thirty (30) days written notice to RD MARKETING, and shall be proportionately based upon increases in cost of latex, raw materials (compounding chemicals), additives and packing materials. 3. SUPPLY. During the term of this Contract, RICHTER shall supply product in lot amounts and types as per order by RD MARKETING. RICHTER will ship product within the mutually agreed period of delivery to BELGRADE-SERBIA, DELIVERY BY AIR PLANE. Orders shall be made by written purchase Order via telex or e-mail to RICHTER s offices in Kuala Ketil, Kedah, Malaysia or such other site as per written direction of RICHTER. RD MARKETING covenants to purchase a minimum order not less than 144.000 pcs of ONE DON JUAN NATURAL Male Latex Condom for complete consumer-packed for each types comprised of any combination as described.

4. PACKAGING. The quality of packaging must be fully comply with the design of which is given by RD MARKETING and pallets of colors which will be on condom, and also number of colors which will be use. A card box of the artwork decided must be provided to RD MARKETING for approval. 5. TERM AND TERMINATION. The term of this Contract shall be from the terminated as Follows. a. By mutually written Contract of the both parties; b. Upon the filing of any voluntary petition under any bankruptcy law by any party; c. Upon the filing any party of an involuntary petition under any bankruptcy or insolvency law which petition remains un dismissed and un stayed. d. Upon breach of any covenant, condition of term of this Contract by any party, condition that non-breaching party shall retain all remedies and rights under this Contract, and further remedies available by law and the provisions of this Contract shall survive to non-breaching party. SHIPMENT. The product shall be delivered to AIRPORT BELGRADE-SERBIA. RICHTER shall provide the following documents upon shipment: 1. Commercial Invoice 2. Bill of Lading 3. Packing list 4. Insurance certificate 5. A certified copy of ISO 13485 certificate 6. A certified copy of manufacturer registration certificate 7. Inspection certificate 8. Certificate of Origin PAYMENT. Upon confirmation of order BUYER must obtain a Irrevocable Letter of Credit at sight made payable to RICHTER on products being duly delivered to RD MARKETING specified destinations. CLAIMS. If there is a claim regarding quality, RICHTER commits himself to accept the result of analysis carried out by recognized laboratory and replace the material with no extra charge.

GENERAL PROVISIONS. a. POWER TO AMEND. This contract may be amended in part only by execution a written instrument signed by all the parties of this Contract . b. NOTICE. Any and all notices, designation, consents, offers, acceptances, or any other communications provided for herein shall be given in writing to its principal office or such other address as such party may designate in writing via e-mail or telex, with a copy mailed via first-class mail. c. JOIN EFFORT. This Contract has been the joint effort of both RICHTER and RD MARKETING. This contract shall not be construed more strongly against any party hereto than any other hereto. d. In case of any dispute each party will appoint one or common arbitrator his award will be binding to both the parties. e. MUTUAL COVENANT. This parties agree that during the term of this Contract and for a period of (60) months thereafter, neither party will directly or indirectly solicit or sell any product as defined herein to any customer of the other party, which customer has purchased product during the term of this CONTRACT. Any non-breaching party shall be entitled to injunctive relief as well as damages for a breach hereof. f. RD MARKETING will decide for each order for the distribution in REPUBLIC SERBIA However this Contract may be extended further with mutual consent.
