Press Release Prima BB and Utraco Investment in Big Box Project

SGX-Listed TT International Announces Financial Commitment of S$92.0 Million By Prima BB And Utraco Investment To Develop Big Box Retail Project in Singapores West
SINGAPORE, 14 December 2012 TT International Limited (TT International or the Company) announced today that it has entered into an investment agreement (investment agreement) with Prima BB Limited (Prima) and Utraco Investment Pte Ltd (Utraco) for a combined financial commitment of S$92.0 million to develop Big Box, an iconic mega warehouse retail project in Singapore. Under the agreement SGX-listed TT International will first assign all its interests in the proposed eight-story project to be built on a 5.6 hectare plot of land for S$95.0 million in exchange for 5,099,998 million shares of S$1.00 each to be issued by its special purpose vehicle, Big Box Pte Ltd (BB), and record liabilities and indebtedness to TT International amounting to S$89.9 million. Prima and Utraco will then subscribe 646,130 and 1,053,870 preference shares in BB at par, respectively, and extend unsecured loans to BB amounting to S$34.4 million and S$55.9 million, respectively. The aggregate amount of cash and loans totaling S$92.0 million will be used to fund initial development costs and the differential premium in respect of the property located at Jurong East Street 11. BB shall also grant options for Prima BB and Utraco to subscribe for 1,216,000 and 1,984,000, respectively, in preference shares. These options can be exercised in the three month period after the second anniversary of the agreement, which is subject to the project receiving by 12 March 2013 all regulatory approvals from the Economic Development Board (EDB) and Jurong Town Corporation as well as approvals from creditors under a Scheme of Arrangement sanctioned by the Singapore High Court. Assuming full exercise of the options, the equity holders of the BB will comprise TT International (51%), Prima (18.6%) and Utraco (30.4%). Concurrently, TT International said it has received commitment for project financing amounting to S$125.0 million for the project which will have a gross floor area of approximately 1.3 million square feet. Big Box will be the last and largest of four warehouse retail projects approved by EDB under the Warehouse Retail Scheme, the other three being outlets for IKEA, Courts and Giant in Singapores East.

TT International has to date invested approximately S$95.0 million in the Big Box project, including acquiring the land and undertaking some foundation works. Construction work halted during the 2008-2009 global financial crisis as TT International underwent a financial restructuring that led to the Scheme of Arrangement which became effective from 19 April 2010. Incorporated in the British Virgin Islands, Prima BB is an investment company under Prima Limited which began operations as a flour miller in Singapore in 1961. The Utraco Group was started by Dr Tan Ta Sen in 1967 as a water well drilling and installation company. Its business has since diversified to include geotechnical specialist contracting, post tensioning specialist construction, land and sea logistics, offshore and marine engineering, property development and green technology research and development. Singapore-headquartered Utraco Group comprises more than ten subsidiaries and associates with business operations in Malaysia, Indonesia, Vietnam, China, Sri Lanka and the Middle East. The investment agreement underscores the faith of the investors in the potential of Big Box.
