FAMILY MEMBERS AGREEMENT

This Agreement made and signed this 2nd day of May 2011 in the City of Makati, Philippines by and between Ms. Magdalena Calimag (mother) hereafter called the 1st party, of legal age, married and residing at No. 114 Zero St., Blk 4, West Rembo, Makati City and Joselene, Yanglee and Jose, Jr. all surnamed Calimag hereafter called the SECOND PARTY.

WITNESSETH: FIRST: That the fiirst and second party entered into an agreement that the real party consist of a House and Lot (8 doors apartment units) put under the name of JOSELENE CALIMAG under O.C.T. No. ___________ located at 114 Zero St. Blk. IV West Rembo, Makati City can never be sold or transferred to any body without the approval of Ms. Magdalena Calimag (mother), Ms. Yanglee and Mr. Jose Calimag Jr.; SECOND: That the parties also agreed that the other twelve (12) doors apartment units together with the land where the improvement is being constructed which is still pending for titling purposes before the office of the DENR under the name of Yanglee Calimag cannot also be sold or transffered without also the approval of Joselene Calimag and Jose Calimag Jr. (brother and sister) and Ms. Magdalena Calimag (mother). THIRD: That the parties also agreed that proceeds or net income of all the rented apartment units will still be remitted or given to the first party (MS. MAGDALENA CALIMAG) in a manner provided by her; FOURTH: That it is also understood by all the parties herein that the abovementioned properties will only be awarded or equally distributed to the three children namely; Joselene Calimag, Yanglee Calimag and Jose Calimag, Jr. after the death of their mother (Ms. Magdalena Calimag). FIFTH: That it was also agreed upon by the parties that Jose Calimag, father of the three (3) children and husband of Magdalena Calimag waived all his rights and claims over the said properties infavor of his three (3) children Joselene, Jose and Yanglee Calimag. SIXTH: That this agreement is hereby accepted by all the parties herein and they also agreed to carry out the provisions and terms thereof and anybody who will violate this agreement and if sale is executed over the subject property the same shall be considered null and void.
