No. 2009-242 LIFE INSURANCE Council Contract 2009 Section 4E - $5M Premium - City is 50% Beneficiary DUES AND SUBSCRIPTIONS Council Contract 2008 Section 13 - Organizations chosen currently are La Cima and Four Seasons which are used for City Business meetings. VACATION ADJUSTMENT ANNUALLY Council Contract 2009 Section 3(a) - Employee shall be paid each year for any accruals of vacation that exceed the Employee's Maximum cap up to a $ maximum of 80 hours. These are vacation hours earned but were not able to be used because of unavailability due to City obligations. INSURANCE BENEFITS 2008 Contract Section 12 - Employer pays for Employees Medicare contribution. 2008 Contract Section 12 - Employer pays for Employees annual contribution to SBP. 2008 Contract Section 12 - Employer pays for Employees annual contribution to TMRS. 2008 Contract Section 11 - Employer agrees to pay monthly premiums of Employee and Employee's Family vision, dental, medical, vision and disability insurance. Employer agrees to provide an eligible 457 compensation plan. Employer agrees to contribute the maximum amount according to annually adjusted IRS guidelines. Employer agrees to contribute the maximum contribution amount according to annually adjusted IRS guidelines into Employees 401(a) account annually during the month of January of each month of the agreement. City Council Resolution No. 2008-192, Employment Agreement Section 2A City shall accrue for Employee a retainage fee of $30K per year for a total of $150K of which will be conditioned upon Employee meeting $ 47,250.00 performance goals and serving continuously as the City Manager. Payment will be paid as follows: 35% of total fee paid 5/1/10, 25% of total fee paid 5/1/11 and 40% of total fee paid on 5/1/13.

HOUSING ASSISTANCE GRANT * Employee shall receive an annual housing assistance grant of $41,210.86 if Employee remains continuously employed with Employer through each of the first, second, third, fourth and fifth annual anniversaries of June 11, 2009. Payment schedule (6/19/10, 7/1/11, 6/27/12, 6/13/13, 6/13/14). $ 41,210.86 Grant amount is calculated to include all taxes and withholdings required by law so total employee receives matches annual loan repayment amount of $32,045.77.

*The housing assistance grant received by the Employee is paid back to the City of Irving to retire the loan of $150,000. By agreement the loan is to be paid back by Employee in equal installments of $32,045.77 over a five year period to cover the principal and interest accrued. Repayment began on June 29, 2010 and is due on each subsequent June 29 through June 29, 2014.
