INTRODUCERE Avand in vedere c: Beneficiarul intenioneaz s . (v rog completai), Contractorul i asum responsabilitatea de a presta activitile solicitate de ctre Beneficiar, conform tuturor standardelor profesionale aplicabile, conform instruciunilor Beneficiarului i prevederilor prezentului Contract. n cele ce urmeaz, Prile sunt de acord s ncheie prezentul Contract n urmtoarele condiii: 1. DEFINIII 1.1 Contract nseamn acordurile curprinse n acest document ncheiat ntre Beneficiar i Contractor, conform prezentului nscris, incluznd toate amendamentele i anexele alturate.

PREAMBLE Considering that: As the Beneficiary intends to (please fill in), Contractor undertakes to perform the activities required by Beneficiary, according to all professional standards applicable, to all Beneficiary instructions and to the provisions of this Agreement.

NOW, THEREFORE, Parties agree to conclude this Agreement under the following terms and conditions: 1. DEFINITIONS 1.1 Agreement means the understanding embodied in this document hereby entered into by the Beneficiary and the Contractor, as recorded in the current document, including all amendments and appendices thereto.

1.2 Acceptance Minute - shall mean the protocol signed by both Parties without objections, which confirms that Contractors performance is completed according to the provisions of this Agreement and that no Defects subsist at the respective signing date upon the Deliverables. 1.3 Applicable Law shall be the Romanian law. 1.4 Deliverables shall mean reports, documents, templates, studies, strategies, operating models, technical architectures, specifications, documentation, abstracts and summaries, thereof and other work product and materials, as the case maybe, which are prepared in accordance with the provisions of this Agreement for the Beneficiary and delivered by Contractor (either independently or in concert with third parties). 1.5 Day shall mean a calendar day, unless otherwise stated hereunder. 1.6 Defects - shall mean poor workmanship or deficiencies, which infringe the safety, quality or applicable technical and professional requirements related to the Project or make it unfit for its stipulated purpose as well as any deviation from the requirements set forth hereunder and any deviation from the objectives outlined in this Agreement. 1.7 Order shall mean the document issued by the Beneficiary on the basis of this Agreement and submitted to the Contractor by any means ensuring confirmation of receipt. The Order will have the written form indicated in Appendix 4 attached hereto. 1.8 Party - shall mean either Contractor or Beneficiary and Parties means both of them. 1.9 Project shall represent the object of an Order issued based on the Agreement and all the activities and results (including Deliverables) performed by the Contractor in order to accomplish the object of Agreement. 1.10 Project Manager shall mean the person appointed by each Party as its representative and empowered to sign and make decisions regarding the Project. 1.11 Consolidated Report shall be the written document prepared by Contractor and submitted monthly to Beneficiary, representing the consolidation of the Weekly Activity Reports issued for the respective month. If signed by the Beneficiary Project Page 2 of 36 1.2 Proces verbal de recepie nseamn protocolul semnat de ctre ambele Pri, fr obiecii, care confirm c serviciile Contractorului s-au finalizat conform prevederilor prezentului Contract i c niciun Defect nu subzista dupa data semnarii acestuia cu privire la Rezultatele Serviciilor. 1.3 Legea aplicabila legea Romna. 1.4 Rezultatele Serviciilor nseamn rapoarte, documente, studii, strategii, modele de operare, planificatoare tehnice, specificaii, documentaii, extrase i rezumate, alte produse legate de lucrari i materiale, dup caz, care sunt elaborate conform prevederilor prezentului Contract pentru Beneficiar i predate acestuia de ctre Contractor (independent sau cu ajutorul unor teri). 1.5 Zi va nsemna o zi calendaristic, dac nu se stabilete altfel. 1.6 Defecte - nseamna execuia de slab calitate sau deficiente care ncalc sigurana, calitatea sau cerinele tehnice i profesionale aplicabile Proiectului sau care l fac necorespuntor scopurilor prevzute ale acestuia, precum i orice abatere de la cerinele stabilite mai jos i orice abatere de la obiectivele conturate n prezentul Contract. 1.7 Comanda va nsemna documentul emis de ctre Beneficiar n baza prezentului Contract i trimis ctre Contractor prin intermediul oricrui mijloc care asigur confirmarea primirii. Comanda va fi emis n forma scrisa indicat n Anexa 4 ataat. 1.8 Parte - va nsemna fie Contractorul, fie Beneficiarul, iar Pri va nsemna ambii. 1.9 Proiect va reprezenta obiectul unei Comenzi emise n baza Contractului i toate activitile i rezultatele (inclusiv Rezultatele Serviciilor) prestate de ctre Contractor cu scopul de a ndeplini obiectul Contractului. 1.10 Manager de Proiect nseamna persoana desemnat de fiecare Parte ca reprezentant al su i mputernicit s semneze i s ia decizii cu privire la Proiect. 1.11 Raport Consolidat nseamn documentul scris pregtit de Contractor i transmis lunar Beneficiarului, reprezentnd consolidarea Rapoartelor de Activitate Sptmnale, aferente unii respective. Manager for acceptance, without objections, it shall represent the basis of the payment of the Contractors invoice. 1.12 Services shall mean all the activities performed by the Contractor in accordance with the Order placed by the Beneficiary, as well as with the object of the Agreement. 1.13 Specialist means Contractors employees, agents, representatives and Subcontractors engaged in rendering services to Beneficiary. 1.14 Subcontractor - shall mean a physical person or legal entity, party to a direct contractual relationship with Contractor for performing works in connection with the performance of the Agreement, without being a party to the Agreement. 1.15 Standards - shall mean the professional requirements in respect of the quality of the Project, that would be respected by any diligent contractor performing similar activities and by which Contractor is bound in performance of all Project activities. In the event of discrepancies between Applicable Law and professional Standards requirements, Contractor shall comply with the higher quality requirements. 1.16 Term for Completion shall mean the maximum period within which all Project activities assumed by Contractor must be completed in accordance with Beneficiarys requirements and the provisions of this Agreement. 1.17 Working day shall mean any day of the week in which one person regularly performs Project specific tasks for at least 8 hours. 2. GENERAL REPRESENTATIONS AND WARRANTIES 2.1 Each Party represents and warrants to the other Party that, at the time of this Agreement and at any time thereafter: (i) it is a company duly incorporated and validly existing under the laws of . (please fill in) and it has the capacity to own its assets, conduct its business as presently conducted and to enter into, observe, and perform its obligations under this Agreement; (ii) this Agreement and the transactions contemplated thereby have been duly authorized by all requisite corporate action of Contractor and that this Agreement constitutes its valid and legally binding obligation, enforceable in accordance with its Page 3 of 36 acceptrii de ctre Managerul de Proiect al Beneficiarului, fr obiecii, acesta va reprezenta baza plii facturii Contractorului. 1.12 Servicii nseamn toate activitile prestate de ctre Contractor conform Comenzii Beneficiarului i obiectului Contractului. 1.13 Specialist nsemn angajaii Contractorului, agenii, reprezentanii i Subcontractorii angajai n furnizarea serviciilor ctre Beneficiar. 1.14 Subcontractor va nsemna persoana fizic sau juridic, parte a unei relaii contractuale directe cu Contractorul cu scopul de a presta lucrri legate de desfurarea Contractului, fr a fi parte a Contractului. 1.15 Standarde - nseamn cerinele profesionale legate de calitatea Proiectului, care ar fi respectate de ctre orice Contractor diligent care presteaz activiti similare i pe care Contractorul este obligat s le respecte n prestarea tuturor activitilor aferente Proiectului. n cazul n care exist discrepane ntre Legea n vigoare i cerinele Standardelor profesionale, Contractorul va aciona n conformitate cu cele mai nalte cerine de calitate. 1.16 Termene de Finalizare nseamn perioada maxim n care toate activitile Proiectului asumate de ctre Contractor trebuie finalizate conform cerinelor Beneficiarului i prevederilor prezentului Contract. 1.17 Zi lucrtoare nseamn orice zi a sptmnii n care o persoan presteaz sarcini specifice Proiectului timp de cel puin 8 ore. 2. PREVEDERI GENERALE I GARANII 2.1 Fiecare Parte declar i garanteaz celeilalte Pri c, la momentul incheierii prezentului Contract i n orice moment ulterior: (i) este o societate nfiinat i organizat conform legilor n vigoare din .. (v rog completai) i are capacitatea de a deine n proprietate bunuri, de a conduce afacerile ca pn n prezent i de a asuma, respecta i executa obligaiile prevzute de prezentul Contract; (ii) prezentul Contract i tranzaciile consemnate alturat au fost autorizate corespunztor prin toate aciunile corporative necesare ale Contractorului, iar acest Contract constituie obligaia sa legal i valid care intr n vigoare Copy _ of 2

terms, except as such enforceability may be limited by applicable insolvency, bankruptcy, reorganization, moratorium or other similar laws affecting creditors rights generally; (iii) neither the making of this Agreement, nor the compliance with its terms will conflict with or constitute a default of any of the terms, conditions or provisions of any pledge, mortgage, agreement or other instrument or arrangement which it has entered into or by which it is bound or result in their nonperforming or require any consent under, for the execution of this Agreement, as well as compliance with its terms will not violate any of the terms or provisions of its by-laws or any judgment, jurisdictional administrative act, decree or order or rule or regulation or instruction applicable to it; conform condiiilor acestuia, exceptnd cazul n care o astfel de intrare n vigoare ar putea fi limitat de insolvabilitate, faliment, reorganizare, moratorium sau alte legi similare care afecteaz n general drepturile creditorilor. (iii) nici incheierea prezentului Contract, nici respectarea clauzelor sale nu vor intra n conflict cu sau nu vor constitui o incalcare a vreuneia dintre prevederile unui gaj, ipoteci, contract sau unui alt instrument prin care s-au asumat obligaii i nu pot avea ca efect o neexecutare a lor sau solicitarea vreunui consimmnt pentru ndeplinirea prezentului Contract, asa cum i conformitatea cu termenii si nu va nclca nici o prevedere a actelor lor constitutive sau a oricrei horatari judectoreti, act administrativ jurisdictional, decrete sau ordin ori reguli i regulamente sau instruciuni aplicabile acestuia; (iv) nu ncalc nici un statut sau reglementre ale nici unei autoriti i nici nu a fost emis vreo hotarare judecatoreasca sau ordin care este probabil s aib orice efect advers asupra perspectivelor sale de afaceri sau financiare sau care s determine imposibilitatea acestuia de a-i respecta sau executa obligaiile potrivit prezentului Contract; 3. NCREDEREA PRILOR 3.1 Prile recunoasc c dau declaratiile i garantiile din Art. 2 cu intenia de a determina cealalta Parte s ncheie prezentul Contract, precum i c cealalt Parte a ncheiat acest Contract n baza i cu ncrederea deplin n fiecare dintre aceste declaratii i garanii. 3.2 Fiecare Parte garanteaz celeilalte Pri c fiecare dintre aceste declaratii sunt adevrate i corecte din toate punctele de vedere in acest moment, precum si pe durata Contractului i c nici una dintre ele nu omite nici un aspect care are putea sa induca n eroare. 4. DREPTURI I MSURI DE REMEDIERE 4.1 Drepturile unei Pri i msurile de remediere legate de orice interpretare eronat sau nclcare a garaniei de ctre celealalt Parte nu sunt prejudiciate: (i) de nici o investigaie a sau n numele unei Pri n afacerile celeilalte Pri; (ii) de nici o executare a prezentului Copy _ of 2

(iv) it is not in violation of any statute or regulation of any authority and no judgment or order has been issued which has or is likely to have any materially adverse effect on its business prospects or financial condition or make it improbable that it will be able to observe or perform its obligations under this Agreement.

3. PARTIES RELIANCE 3.1 Both Parties acknowledge that they make the representations and warranties in Art. 2 with the intention of inducing the other Party to enter into this Agreement and that the other Party has entered into this Agreement on the basis of, and in full reliance on, each of such representations and warranties. 3.2 Each Party warrants to the other Party that each of such representations is true and correct in all material respects as of the date, and during the term hereof and that none of them omits any matter the omission of which makes any of such representations misleading. 4. RIGHTS AND REMEDIES 4.1 A Party's rights and remedies in relation to any misrepresentation or breach of warranty on the part of the other Party are not prejudiced: (i) by any investigation by or on behalf of one Party into the affairs of the other Party; (ii) by the execution or the performance of Page 4 of 36

this Agreement; or (iii) by any other act or thing which may be done by or on behalf of a Party in connection with this Agreement and which might, apart from this Section, prejudice such rights or remedies. 5. ENTERING INTO FORCE / DURATION 5.1 This Agreement shall enter into force when signed by both Parties, but the performance of obligations, and satisfaction and enforcement of rights hereunder may only be sought after delivery by Contractor to Beneficiary, cumulatively, of the original bank guaranties and of the insurance policies requested hereby. 5.2 Agreement shall be valid for a period of 1 year as of its signing date. Should no termination event occur before expiry date, the Agreement may be extended for another period of 1 (one) year from the expiry date by an addendum signed by both Parties. 6. SCOPE OF THE AGREEMENT 6.1. The purposes of the Services performed by the Contractor are specified in Annex no. 1 6.2 The scope of the Contract is . 6.3 This Agreement may be utilized by any subsidiary or affiliate of the Beneficiary and the Contractor agrees to provide Services to any such subsidiary or affiliate in accordance with the terms and conditions of this Agreement. 6.4 All work results hereunder, tangible media in which are fixed data, test results, reports of whatever nature and services performed according to this Agreement, shall vest in Beneficiary with effect from the date of respective payment. 6.5 Except if otherwise expressly specified, this Agreement does not give to the Beneficiary the right for the use of, or the right to use any copyright of scientific work, know-how, including any patent, trademarks or other like property or rights, design or model, plan, secret formula or process or any information concerning industrial, commercial or scientific experience belonging to the Contractor. 6.6. INTRAREA N VIGOARE / DURATA 5.1 Prezentul Contract va intra n vigoare la data semnarii de ctre ambele Pri dar executarea obligaiilor i a drepturilor prevzute de prezentul poate fi cerut numai dup predarea de ctre Contractor Beneficiarului, n mod cumulativ, a originalului scrisorii de garanie i a polielor de asigurare solicitate prin Contract. 5.2. Prezentul Contract va rmne n vigoare pentru o perioad de 1 an de la data semnrii sale. n cazul n care Contractul nu nceteaz nainte de data expirrii sale, poate fi prelungit pentru o perioad de 1 (un) an de la data expirrii, prin act adiional, semnat de ambele Pri. 6. SCOPUL / OBIECTUL CONTRACTULUI 6.1. Scopurile Serviciilor prestate de ctre Contractor sunt mentionate in Anexa nr. 1. 6.2. Scopul Contractului este 6.3 Prezentul Contract poate fi folosit de ctre oricare dintre filialele sau afiliatii Beneficiarului, iar Contractorul este de acord s presteze Servicii oricrei filiale sau afiliat conform prevederilor i condiiilor prezentului Contract. 6.4 Toate rezultatele lucrrilor efectuate n baza Contractului, suporturile media pe care sunt fixate datele, rezultatele testelor, rapoarte de orice natur i serviciile prestate conform prezentului Contract vor deveni proprietatea Beneficiarului de la data plii aferente. 6.5 Cu excepia cazului n care se prevede n mod explicit altfet, prezentul Contract nu d Beneficiarului dreptul de a folosi dreptul de autor al oricrei lucrri tiinifice, secret profesional, inclusiv orice licen, marca nregistrata sau altele precum drepturi de proprietate sau drepturi, proiecte sau modele, planuri, formule secrete ori procese sau orice informaie cu privire la experiene industriale, comerciale sau tiinifice aparinnd Contractorului. 6.6. task by task basis by way of separate Orders in accordance with the provisions, specifications, conditions, warranties and agreements set forth herein and in the appendices hereto. For the rendered and accepted Services, Contractor shall be entitled to receive the price of the Services established in accordance with the fees mentioned in the price list detailed under Appendix 1. 6.7. The Beneficiary shall specify in each Order the details of the requested Services (e.g. specifications, subject, deadline etc). The details of each Order have to be acknowledged by the Contractor in writing, within 30 minutes as of the receipt of the Order. Should the Contractor not issue any written acknowledgment, the Order shall be considered as fully accepted by the Contractor. 6.8 . The Contractor must verify with due diligence the details of the Services requested in each Order. The Contractor shall immediately inform the Beneficiary of any objections / comments related to the requested Services. The Contractor must submit to the Beneficiary its objections / comments or any motivated proposal for changing the details of the requested Services (if deemed necessary) within the above mentioned time period of 1 Working Day. Should the Contractor not inform the Beneficiary of its objections / comments / changing proposal, the Contractor must deliver the Services with the exact details as stipulated in the Order. The Order must indicate the quantity, value, kind and description of Deliverable / Services and expected date of delivery / execution of the Service and shall be binding for Contractor once accepted. The Purchase Orders issued by the Beneficiary based on the Agreement shall represent an estimation of the value of the Services needed by the Beneficiary for the next period and shall not be deemed as an engagement from the part of the Beneficiary with respect to the effective use and payment of such Services. 6.9. Beneficiary reserves the right to withdraw totally or in part any Order, without reason, but only for the part of the Services not effectively performed up to the moment of rejection. Pentru Serviciile prestate i acceptate, Contractorul va fi ndreptit s primeasc preul Serviciilor stabilit n conformitate cu onorariile menionate n lista de preuri detaliat n Anexa 1. 6.7. Beneficiarul va specifica n fiecare Comand detaliile Serviciilor solicitate (ex. specificaii, subiect, termen etc.). Detaliile fiecrei Comenzi trebuie confirmate de ctre Contractor n scris, n termen de 30 min. de la data primirii Comenzii. n cazul n care Contractorul nu confirm n scris Comanda, aceasta va fi considerat ca fiind acceptat n totalitate. 6.8. Contractorul trebuie s verifice cu maxim diligen detaliile Serviciilor solicitate prin fiecare Comanda. Contractorul va aduce imediat la cunotina Beneficiarului orice obieciuni / comentarii privind Serviciile solicitate. Contractorul trebuie s aduc la cunotina Beneficiarului obieciile / comentariile sale sau orice propunere motivat de schimbare a detallilor Serviciilor solicitate (dac se consider necesar) n cadrul perioadei menionate mai sus de 1 Zi Lucrtoare. n cazul n care Contractorul nu l informez pe Beneficiar de obieciile / comentariile / propunerile de modificare, Contractorul trebuie s presteze Serviciile n condiiile exacte stipulate n Comand. Comanda trebuie s indice cantitatea, valoarea, felul i descrierea Rezultatelor Lucrrilor / Serviciilor i data prognozat de livrare / execuie a Serviciilor i va fi obligatorie pentru Contractor, odata acceptat. Comanda emis de Beneficiar n baza Contractului va reprezenta o estimare a valorii Serviciilor necesare Beneficiarui n perioada urmtoare i nu va fi considerat un angajament din partea Beneficiarului cu privire la folosirea efectiv i plata Serviciilor respective. 6.9. Beneficiarul i rezerv dreptul de a retrage total sau n parte o Comand, fr justificare, dar numai pentru aceea parte a Serviciilor ce nu a fost efectiv prestat pn la momentul retragerii. Beneficiarul va fi exonerat de orice rspundere cu privire la retragerea comenzilor.

6.10. For the avoidance of doubt, particular efforts (or costs) which are necessary to achieve the scope of the Agreement as stated within the Agreement shall not be deemed to constitute a change in the scope of the Agreement. 6.11. However, in case of any change in the scope of the Agreement is required by Beneficiary the unitary prices agreed hereunder shall apply. If no unitary prices have been established the price for such changes shall be settled through negotiations and shall be established in an addendum signed by both Parties. 7. OBLIGATIONS OF THE CONTRACTOR The Contractor shall have the following obligations: 7.1 To properly fulfill its obligations in accordance with the object of the Agreement within the Project timetable set forth hereunder and / or within the Term for Completion of the Project. 7.2 Should an error occur in the performance of the Services due to the Contractor, the Contractor should remedy, at its exclusive expense, such errors within 1 (one) calendar day as of receiving the Beneficiarys written notification in this respect. The Contractor shall remedy such error without causing any prejudice to the Beneficiary. The Contractor has to remedy any malfunction caused by his fault, in accordance with the Beneficiarys needs and requirements. 7.3 The Contractor shall be liable for the compliance with any type of regulation by all its Specialists, Subcontractors and suppliers, as well as their respective employees. 7.4 Contractor shall provide the Deliverables to the Beneficiary within agreed terms and deadlines and shall respect the Term for Completion of the Project. 7.5 During the progress of the Services, Contractor will draft and send consolidated reports presenting the status of undertaken activities, the time allocated and the results achieved under the assignment. 7.6 BENEFICIARY undertakes to keep confidentiality with regard to the financial agreements with SERVICE PROVIDER, including towards the translators / interpreters appointed by SERVICE PROVIDER. In case of a breach of the clause 7.6 the BENEFICIARY shall pay to the SERVICE Page 7 of 36 6.10. Pentru evitarea oricarui dubiu, eforturile particulare (sau costurile) care sunt necesare pentru realizarea obiectului Contractului, asa cum se mentioneaza in Contract, nu vor fi considerate ca fiind o modificare a obiectului acestui Contract. 6.11. In cazul in care survin modificari ale obiectului Contractului cerute de Beneficiar, preturile unitare agreate si mentionate in acest Contract se vor aplica. Daca nu sunt mentionate preturi unitare, preturile pentru astfel de modificari se vor stabili prin negocieri urmand ca ambele Parti sa semneze un Act Aditional. 7. OBLIGAIILE CONTRACTORULUI Contractorul va avea urmtoarele obligaii: 7.1 De a-i ndeplini obligaiile in conformitate cu obiectul prezentului Contract inauntrul Planificarii Proiectului conform Contractului i / sau in cadrul Termenului de Finalizare al Proiectului. 7.2 Dac intervine o eroare n prestarea Serviciilor din cauza Contractorului, Contractorul o va remedia, exclusiv pe cheltuiala proprie, n termen de 1 zi calendaristic de la primirea sesizrii scrise din partea Beneficiarului n acest sens. Contractorul va remedia eroarea fr a cauza orice alte prejudicii Beneficiarului. Contractorul trebuie s remedieze orice defect cauzat din vina sa, conform nevoilor Beneficiarului i solicitarilor acestuia. 7.3 Contractorul va fi rspunztor pentru conformarea cu orice fel de reglementare de catre oricare Specialist, Subcontractor i furnizor al su, precum i pentru angajaii acestora. 7.4 Contractorul va pune la dispoziia Beneficiarului Rezultatele Serviciilor inauntrul termenelor agreate i a termenelor limit i va respecta Termenul de Finalizare a Proiectului. 7.5 Pe durata prestrii Serviciilor, Contractorul va elabora i trimite rapoarte consolidate pentru a prezenta stadiul activitilor asumate, timpul alocat i rezultatele obinute conform Contractului. 7.6 BENEFICIARUL se oblig s pastreze confidenialitatea acordurilor financiare cu PRESTATORUL, inclusiv fa de traducatorii / interpreii desemnai de PRESTATOR. OBLIGAIILE BENEFICIARULUI Beneficiarul va avea urmtoarele obligaii: 8.1 S pun la dispoziia Contractorului toate datele i informaiile pe care le deine i care sunt necesare prestrii Serviciilor. 8.2 S plteasc facturile emise conform prezentului Contract pentru Serviciile efectiv prestate si acceptate. 9. PLANIFICAREA SERVICIILOR 9.1 Partile de comun acord vor pune la punct o Planificare a activitatilor pentru fiecare etapa de lucru , avand la baza solicitarile Beneficiarului. Planificarea activitatilor, precum si termenul pentru finalizarea acestora sunt incluse in Anexa nr. 4 (Procedura de lucru) 10. TERMENE DE REALIZARE 10.1 Contractorul va presta Serviciile conform Standardelor i cerinelor Beneficiarului, nauntrul Termenului de Finalizare agreat i conform prevederilor prezentului Contract. Contractorul nelege c respectarea datelor de livrare / prestare agreate este esena Contractului. 10.2 n caz de nerespectare a termenelor limit agreate, se va considera c Contractorul nu a respectat Contractul i va fi raspunzator pentru toate efectele adverse cauzate astfel Beneficiarului. n caz de ntrziere, Contractorul va informa Beneficiarul despre motivele i perioada de ntrziere estimat. Totui, o astfel de ntiinare nu va fi interpretat ca o renunare a Beneficiarului la drepturile sale n caz de executare cu ntrziere din partea Contractorului. 10.3 Beneficiarul va avea dreptul, fr a avea obligaia motivrii, s pretind Contractorului ntreruperea livrrii sau finalizrii i s reprogrameze datele i termenele limit agreate pentru acele servicii a cror prestare nu fusese nceput la momentul ntreruperii. 10.4 Contractorul i va executa mandatul conform nivelului general acceptat pentru lucrarea respectiv, reglementrilor relevante i Standardelor. 10.5 Toate documentele, standardele, specificaiile, graficeele, calculele i alte modele i unelte nelese prin prezentul Copy _ of 2

8. OBLIGATIONS OF THE BENEFICIARY The Beneficiary shall have the following obligations: 8.1 To provide the Contractor with all data and information in its possession, that is necessary for the performance of Services. 8.2 To pay the invoices issued in accordance to this Agreement, for the effectively rendered and accepted Services. 9. WORKFLOW 9.1 The Parties mutually agree to draw up a Workflow for each stage of work, based on the Beneficiarys needs. Said Workflowas well as the shall be contained in the Appendix no 4 (Workflow).

10. PERFORMANCE TERMS 10.1 Contractor shall perform the Services according to the Standards and Beneficiarys requirements, within the agreed Term for Completion and in accordance with the provisions of this Agreement. Contractor acknowledges that compliance with the agreed delivery / performance dates and deadlines is of the essence of the Agreement. 10.2 In case of non-compliance with agreed dates or deadlines Contractor shall be deemed as not performing in conformity with the Agreement and shall be liable for any and all adverse effects caused to the Beneficiary thereby. In case of delay, Contractor shall inform Beneficiary of reasons and estimated delay period. However, such notice will not be deemed as a waiver of Beneficiarys rights in case of delay of Contractors performance. 10.3 The Beneficiary shall be entitled, without obligation to give reasons, to demand Contractor to interrupt delivery or completion and to reschedule agreed dates and deadlines for those services where performance has not commenced at the time of interruption. 10.4 Contractor shall execute his mandate in accordance with the state of the art generally accepted for the respective work, the relevant applicable regulations and Standards. 10.5 All documentations, standards, specification, drawings, calculations and the like as well as models and tools hereinafter Page 9 of 36

referred to as documentation provided by Beneficiary to Contractor shall remain property of Beneficiary and shall be returned without delay upon completion of the Agreement, in a maximum period of 10 Working Days. They shall neither be copied nor stored or otherwise in whatsoever format remain with Contractor; nor made by Contractor accessible to third parties (excluding Contractors subcontractors, if applicable); nor used for purposes other than for the fulfillment of legal or contractual obligations to Beneficiary. Any retention right of the Contractor, of whatsoever nature or origin, is excluded. 10.6 The Contractor shall provide the Beneficiary with complete Weekly Reports in order to inform the Beneficiary of the status of the performance of the Services. The Weekly Reports shall be sent to the Beneficiarys Project Manager. 11. COMPLIANCE 11.1 The Contractor shall carry out, at its own cost and expense, all measures which are necessary to establish compliance with the requirements laid down by the applicable laws, Beneficiary requirements and the provisions of this Agreement. 11.2 The Contractor shall examine the Beneficiary's requirements as to whether they are consistent with the applicable laws, as well as with the purposes disclosed by the Beneficiary to the Contractor. 11.3 If the Contractor believes that there is no compliance with the applicable laws it shall immediately inform the Beneficiary thereof and it shall make proposals in order to achieve compliance. 11.4 If the effects of proposals made by the Contractor in order to achieve legal compliance extend the time required to execute a Project by more than 5 days , Beneficiary may terminate the Agreement. In case of such rescission, the provisions hereof referring to termination shall apply mutatis mutandis. 11.5 The Contractor undertakes to obtain, at its own expense, all necessary permits (if any) for accomplishment of the object of the Agreement. 11.6 Contractor shall fulfill or remedy within required time all conditions imposed and complaints raised by the authorities based on applicable laws or standards, as far as they relate to the object of the Agreement. Acestea nu vor fi copiate sau salvate n vreun format de orice fel care s rmn n posesia Contractorului, nu vor fi fcute cunoscute de ctre Contractor unor tere pri (excluznd Subcontractorii Contractorului, dac este cazul), nu vor fi folosite n alte scopuri dect pentru ndeplinirea obligaiilor legale sau contractuale fata de Beneficiar. Orice drept de retentie de al Contractorului, de orice natur, este exclus. 10.6 Contractorul va pune la dispoziia Beneficiarului Rapoarte Sptamanale de activitate complete pentru a informa Beneficiarul despre stadiul prestarii Serviciilor. Rapoartele Saptamanale vor fi trimise Mangerului de Proiect al Beneficiarului. 11. CONFORMITATE 11.1. Contractorul va lua, pe cheltuiala sa, toate msurile necesare pentru a asigura conformitatea cu cerinele impuse de Legile Aplicabile, cu solicitarile Beneficiarului i prevederile Contractului. 11.2 Contractorul va examina solicitarile Beneficiarului pentru a determina dac acestea respect legile aplicabile, precum i scopurile dezvaluite de ctre Beneficiar acestuia. 11.3 Dac Contractorul consider c nu exist conformitatea cu Legile Aplicabile, va informa imediat Beneficiarul despre aceasta i i va face propuneri pentru a se realiza conformitatea cu acestea. 11.4 Dac efectele propunerilor fcute de Contractor pentru intrarea in legalitate prelungesc timpul necesar execuiei Proiectului cu mai mult de 5 zile, Beneficiarul poate rezilia Contractul. n cazul unei astfel de rezilieri, prevederile prezentului contract referitoare la incetare se vor aplica mutatis mutandis. 11.5 Contractorul se oblig s obin, pe cheltuial proprie, toate autorizaiile necesare (dac este cazul) pentru ndeplinirea obiectului Contractului. 11.6 Contractorul va ndeplini sau remedia nauntrul perioadei de timp solicitate toate condiiile impuse i reclamaiile facute de autoriti n baza Legilor Aplicabile sau a Standardelor, n msura n care acestea au legtur cu Copy _ of 2

obiectul Contractului. 12. CONTRACTORS PERSONNEL 12.1 The Contractor warrants that it and / or its Subcontractors have an adequate number of appropriately trained and experienced employees available to carry out the desired work. 12.2. Contractor warrants that the personnel assigned for Services performance will be properly trained, skilled, experienced and specialized in their respective fields and capable of performing the Services. 12.4 Beneficiary reserves the right to reject the Specialists at its sole discretion and without any justification. 12.5 In cases the allocated personnel is no longer available for justified reasons (e.g. illness), the Contractor may propose to Beneficiary replacement personnel with similar qualification within such period as may be reasonable, but no more than 5 Working Days. 12.6 The Contractor has the obligation, and the Beneficiary has the right to reject the employees that do not comply with the Romanian legal provisions in force. Any delay or cost of any nature entailed by failure to comply with this provision shall be borne by the Contractor. 12.7 In all cases, the Contractor shall make sure that its employees have all the necessary documents (passport, employment approval, labor permit, residence permit and other similar documents) and that they are able to show these documents to the Beneficiary or other verifying bodies upon their request, without any delay. A similar obligation applies to the Subcontractors of the Contractor, as well as their respective employees. 12.8 Vacation of Contractors personnel must be coordinated with the Beneficiarys Project Manager. 12.9 Contractor is bound to ensure that the Specialists shall not be replaced without Beneficiarys prior written consent. Should a Specialist be unavailable for certain justified reasons Contractor may propose for replacement another Specialist with similar qualification within a period of 1 working day as of the moment the initial Specialist became unavailable. 13. REPRESENTATIVES 13.1 Each Party shall appoint a Project Manager (the Project Manager), who shall Page 11 of 36 12. PERSONALUL CONTRACTORULUI 12.1 Contractorul garanteaz c are / Subcontactorii sai au un numar adecvat de angajati instruii corespunztor, experimentati, disponibili sa presteze Serviciile. 12.2 Contractorul garanteaz c personalul desemnat pentru prestarea Serviciilor va fi instruit corespunzator, antrenat, experimentat i specializat n domeniile respective i capabili sa presteze Serviciile. 12.4 Beneficiarul i rezerv dreptul de a respinge Specialitii la propria alegere i fr vreo justificare. 12.5 n cazul n care personalul alocat nu mai este disponibil din motive ntemeiate (de ex. boal), Contractorul poate propune Beneficiarului personal nlocuitor cu calificare similar ntr-o perioad rezonabil de timp, dar nu mai mult de 5 Zile Lucrtoare. 12.6 Contractorul are obligaia, iar Beneficiarul are dreptul s resping angajaii care nu corespund cerinelor legilor romne n vigoare. Orice ntrziere sau costurile de orice natur care rezult din neconformarea cu aceast prevedere va fi suportat de ctre Contractor. 12.7 n toate cazurile, Contractorul se va asigura c angajaii si dein toate documentele necesare (paaport, acord de angajare, permis de munc, permis de reziden i alte documente similare) i c sunt n msur a prezenta aceste documente Beneficiarului sau altor organe de verificare la cerere, fr nici o ntrziere. O obligaie similar se aplic i Subcontractorilor Contractorului, precum i angajailor acestora. 12.8 Concediul personalului Contractorului trebuie organizat mpreun cu Managerul de Proiect al Beneficiarului. 12.9 Contractorul este obligat s se asigure c Specialitii nu vor fi nlocuii fr acordul prealabil scris al Beneficiarului. Dac un Specialist nu este disponibil din motive ntemeiate, Contractorul poate propune nlocuirea acestuia cu un alt Specialist cu o calificare similar n termen de 1 zi lucratoare de la momentul la care primul Specialist a devenit indisponibil. 13. REPREZENTANI 13.1 Fiecare Parte va desemna un manager de proiect (numit Manager de Copy _ of 2

be the contact person on behalf of the respective Party, and shall submit this information to the other Party in written within 1 day after the Agreement conclusion. 13.2 The Project Manager shall be empowered with full authority to coordinate the Project and give instructions, opinions or make proposals in this respect unless otherwise notified to the other Party in writing. However, oral instructions and agreements between the Beneficiary and the Contractor shall not be binding, unless they are confirmed in writing. 13.3 The Project Manager shall deal with any problems raised in connection with the performance of this Agreement and he shall be primarily contacted by the other Party for any issues related to this Agreement. 13.4 The Project Manager shall have the authority to make specialized technical decisions and to make statements that entail obligations under this Agreement provided that such decisions / statements are in the normal agreed course of execution according to this Agreement. 13.5 Following the initiation of the Services, Parties may jointly set up, by written notices agreed by the other Party, a project team (Project Team) in order to perform the obligations established under this Agreement. The Project Team shall be headed by both Project Managers. 13.6 All the decisions adopted by the Project Team or Project Manager have to be recorded in writing. 13.7 Once agreed, the members of the Project Team and the Project Manager of Contractor may be replaced only upon obtaining the written consent of the Beneficiary. 14 SUBCONTRACTORS 14.1 Should the Contractor intend to subcontract to third parties the performance of certain Services, such Subcontractors and such specific Services must be previously notified to the Beneficiary. Totui, instruciunile verbale i acordurile dintre Beneficiar i Contractor nu vor deveni obligatorii dect dac sunt confirmate n scris. 13.3 Managerul de Proiect se va ocupa de orice probleme aprute n legtur cu executarea prezentului Contract i va fi contactat de ctre cealalt Parte pentru orice probleme cu legtur la prezentul Contract. 13.4 Managerul de Proiect va avea autoritatea de a lua decizii tehnice specializate i de a da dispoziii obligatorii sub incidena acestui Contract cu condiia ca astfel de dispoziii s fie circumscrise cursului convenit de executare potrivit acestui Contract. 13.5 Dupa nceperea Serviciilor, Prile pot stabili, prin notificri scrise i agreate de cealalt Parte, o echip de proiect (numit Echipa de Proiect) pentru a executa obligaiile stabilite conform Contractului. Echipa de Proiect va fi condus de ambii Manageri de Proiect. 13.6 Toate deciziile adoptate de ctre Echipa de Proiect sau Managerul de Proiect trebuie consemnate n scris. 13.7 Odat stabilii, membrii Echipei de Proiect i Managerul de Proiect al Contractorului pot fi nlocuii doar dup obinerea acordului scris al Beneficiarului. 14 SUBCONTRACTORI 14.1 Dac Contractorul intenioneaz s subcontracteze prestarea anumitor Servicii ctre tere pri, respectivii Subcontractori i respectivele Servicii specifice trebuie comunicate anterior Beneficiarului. Nici un subcontractor nu va fi implicat n Proiect fr acordul scris anterior al Beneficiarului. 14.2 Pentru a emite un acord scris de acceptare, Beneficiarul poate solicita, iar Contractorul trebuie s-i pun la dispoziie pri relevante ale acordurilor ncheiate cu Subcontractorul (Subcontractorii) propui. 14.3 Beneficiarul poate solicita Contractorului renunarea imediat la un Copy _ of 2

Specialist, without the possibility for the Contractor to issue any claims against the Beneficiary for this reason. 14.4 The Contractor undertakes to hire only licensed professionals for the Project. In performing the Agreement, Contractor also undertakes to comply with and to procure compliance by the Subcontractors with the relevant laws, particularly with the labor law and social security provisions as well as with labor protection laws. 14.5 The Contractor undertakes to enter into contracts only with Subcontractors which agree to comply with the contractual obligations assumed hereby. 14.6 The Contractor shall seek the best possible technical and time-wise consensus with all Subcontractors, Specialists and other persons involved in the Project in order to ensure a smooth progress of the Project. 14.7 The Contractor shall be liable for the work performed by its Subcontractors as if such work has been performed by itself. 15. PAYMENT 15.1. The agreed compensation consists of a determined and unconditional price established in the Appendix 1. The price covers all costs required by Contractor from the Beneficiary in order to perform the scope of the Agreement. For Services rendered by SERVICE PROVIDER according to Article 1 of this Agreement, BENEFICIARY shall pay the prices mentioned in Annex no. 1 per page target language (one page having 2,000 characters with spaces) VAT not included (hereinafter referred to as the Price). For the certified translations, the BENEFICIARY will also pay the price asked by the notary office for the legalization of the respective translation. 15.2. The Contractor shall issue the invoice(s) in RON and the invoices shall be due and payable, by payment order, within a period of 45 (forty-five) days as of receipt of the invoice against the following documents: original invoice specifying the performed and accepted Services; Order(s) number requesting the invoiced Services. PLATA 15.1. Contraprestaia agreat const n preul determinat i necondiionat stabilit n Anexa 1. Preul acoper toate costurile solicitate de Contractor de la Beneficiar pentru a executa obiectul Contractului. Pentru prestarea Serviciilor de ctre PRESTATOR potrivit Art. 1 din prezentul Contract, BENEFICIARUL va plti tariful menionat in Anexa nr. 1 pentru o pagin limba tinta (pagina fiind contorizata la 2.000 de caractere cu spatii) fara TVA (numit in continuare Pretul). Pentru traducerile legalizate, BENEFICIARUL va plati si pretul perceput de biroul notarial pentru legalizarea respectivei traduceri. 15.2. Contractorulul va emite facturile in RON iar facturile vor avea data scadent i vor fi pltite prin ordin de plat n termen de 45 (patruzeci i cinci) de zile de la data primirii facturii i n baza urmtoarelor documente: Factura n original care s menioneze Serviciile prestate i acceptate; Numar Comand / Comenzi solicitnd Serviciile facturate. Contractorul convine prin prezenta ca Beneficiarul nu va raspunde in nici un mod fata de Contractor, inclusiv fara a se limita la plata de dobanzi de orice natura sau penalitati, in cazul in care instructiunile de plata pentru orice obligatie asumat prin prezentul Contract sunt transmise de Beneficiar in ultima zi de plata si ca urmare contul Contractorului este creditat in termen de 5 Zile Lucratoare dupa ultima zi de plata. 15.4. Beneficiarul va plti doar serviciile prestate efectiv i indicate propriu-zis de ctre Contractor, n baza Rapoartelor Consolidate ale Serviciilor respective, semnate de ctre Beneficiar fr obiecii i n baza facturii emise de ctre Contractor. 15.5. Plile vor fi fcute doar dup receptia deplin. Recepia deplin nu va fi amnat sau refuzat n mod nejustificat. Serviciile nefinalizate, dac nefinalizarea se datoreaz Contractorului, nu vor fi pltite de ctre Beneficiar. 15.6. Prile vor respecta reglementrile legale n materie de facturare i TVA aplicabile Serviciilor ce fac obiectul Contractului, inclusiv dar fr a se limita la regulile privind locul prestrii Serviciilor. Astfel: - n cazul n care Contractorul nu se nregistreaz n scopuri de TVA n Romnia, pentru Serviciile prestate nu va fi facturat TVA dar Contractorul va apliva TVA conform legilor romne prin mecanismul de taxare invers; - n cazul n care Serviciile sunt facturate prin intermediul unei entiti locale, (ex. Filial romn, sucursal, afiliat, reprezentant fiscal, etc.) prevederile legislaiilei romne n materie de TVA vor trebui de asemenea s fie respectate de Contractor. 15.8. Nici un cost suplimentar (ex. Bilete de avion, cazare, mas etc) nu poate fi facturat Beneficiarului, n plus fa de onorariile agreate pentru prestarea Serviciilor. 15.9 Prile declar expres c onorariul agreat corespunde valorilor reale de pe pia i este considerat a fi serioas i cinstit potrivit voinei ambelor Pri. 15.3. Contractor hereby agree s that the Beneficiary shall bear no liability towards the Contractor, including but not limited to the payment of any interest or damages, in case payment instructions for any due obligations hereunder are given by the Beneficiary on the last day of the payment period at the latest and due to such Contractors account is credited within the next 5 Working Days from the last day of the respective payment period. 15.4. The Beneficiary shall pay only for the Services effectively and properly rendered by the Contractor, based on the Consolidated Reports of the respective Services, signed by the Beneficiary without objections, and based on the invoice issued by the Contractor. 15.5. The payments shall be made only after full acceptance. Full acceptance shall not be unreasonably withheld or delayed. Services not completed, where the failure to complete is due to the default of the Contractor, shall not be paid by the Beneficiary. 15.6. All invoices must specify the number and date of the related Order(s), the type of Service performed its respective corresponding value and shall evidence VAT according to applicable fiscal regulations. 15.7. The Parties shall observe the relevant VAT and invoicing legal requirements applicable to the Services covered by this Agreement, including but without being limited to the rules regarding the place of supply of the Services. Thus: - In case the Contractor shall not register for VAT purposes in Romania, no VAT shall be charged for the Services provided, but Beneficiary shall apply Romanian VAT under the reverse-charge mechanism; - In case the Services are invoiced through a local entity (e.g. a Romanian branch, subsidiary, affiliate, fiscal representative, etc.), the Romanian VAT and invoicing legislation shall also be observed by the Supplier. 15.8. No additional costs (e.g. flights, meals, accommodation etc) may be invoiced to the Beneficiary, except for the fees agreed for performing the Services. 15.9 The Parties expressly state that agreed compensation corresponds to the fair market value of the agreed work and it is considered to be serious and honest according to both Parties' will. amount of monez received from the Beneficiary for illegal or immoral puroses. In addition, the Contractor expressly waives its right to adjust the agreed price on the basis of any indices whatsoever. 15.10 Contractor shall keep true and accurate books and records in such detail as necessary to identify the costs related to rendering the Services / works and it shall give possibility to the Beneficiary, upon its request, to inspect at any time these books and records. In case the selected Contractor will be a nonresident company the following tax clauses (15.11. 15.16.) shall be included in the Agreement: 15.11. All payments to the Contractor shall be made without set-off or counterclaim. If any deduction is required by law to be made from a payment hereunder, by way of tax, the Beneficiary shall deduct the withholding tax out of the amount stipulated on the corresponding invoice. At the request of Contractor, the Beneficiary will provide in an 120 days term (since the date of request) a certificate or any other form of documentary evidence issued by the relevant Romanian tax authorities which shall attest the payments made by the Beneficiary in respect of withholding taxes related to this Agreement. 15.12 For the implementation of the Double Tax Treaty concluded between Romania and .. (please insert the residence country of the Contractor) the Contractor will provide to the Beneficiary an . (please insert the residence country of the Contractor) fiscal residency certificate in original, before the first payment is made to the Contractor. 15.13. In case the Contractor is organized as a partnership or any other similar legal form, the Contractor shall provide to the Beneficiary together with the aforementioned fiscal residency certificate, the list of all partners and their participation percentages to the Contractors share capital. 15.15 Failure to observe the above mentioned provisions shall give the right to the Beneficiary to apply the relevant withholding taxes as per Romanian legislation in force without giving to the Contractor any rights to request the refund from the Beneficiary of the amounts withheld. For the application of the provisions of the current paragraph the parties will understand through the term "Romanian fiscal year" the calendar year (1 January -31 December). In case the relevant Romanian legislation will be changed and the Romanian fiscal year used by the Beneficiary will be different of calendar year, the Beneficiary shall inform the Contractor in writing in maximum 20 days from such a change. 15.16 In case the Contractor will create a Permanent Establishment according to the Romanian Fiscal Code provisions, the Contractor is responsible to register the Permanent Establishment in Romania for profit tax and income tax purposes and to observe the specific tax rules. The Contractor is also responsible for observing the Romanian immigration legislation regarding its employees carrying out activities in Romania and to ensure the compliance with the Romanian social security legislation. The Beneficiary shall not be liable to pay any tax or fines resulting from non-observance by the Contractor of the Permanent Establishment rules provided by the law and of the Romanian immigration and social security regulations.

ACCEPTANCE 16.1 Following the delivery of the Services by the Contractor, the respective Services shall be verified for acceptance by the Beneficiary within 2 days after notice of completion has been given by the Contractor. On the notified date, the complete documentation shall be made available to the Beneficiary for examination of its completeness. 16.2 Should the Beneficiary have any objections, such objections must be inserted in the body of the Consolidated report. Should the Consolidated report not be signed by the Beneficiarys Project Manager, the Beneficiary shall inform the Contractors Project Manager of its objections within 2 Working Days as of the receipt of the Consolidated report, by submitting said document by fax or by any mean ensuring confirmation of receipt. Within1 Working Days as of the moment when the Contractors Project Manger becomes aware of the Beneficiarys objections, the Contractor shall analyze them and must send its response containing possible remedies / solutions and estimated deadline of remediation. Upon receiving an acceptable remedy proposal and deadline, Beneficiary shall issue a notification containing the approval of such proposal. Following the performance of such remedies, a new acceptance shall be performed. Should the Beneficiary still have any objections, the entire procedure must be reiterated until the Services shall be accepted without any objections. Yet, no more than 3 acceptance procedures may take place. In case that after three acceptance procedures the Beneficiary still has objections, it shall be deemed that Contractor did not perform its obligations hereunder and it shall be liable for the breach hereof. 16.3 Until concluding the Consolidated report Page 17 of 36

without any objections, the Contractor may not issue an invoice for the rendered but not fully accepted Services. 16.4. The Contractor shall bear any risk related to its performance until Acceptance. This includes in particular any destruction (loss), damage or theft and applies also to materials provided, components and other items the Contractor accepted from the Beneficiary or third parties. 17. WARRANTY 17.1 The Contractor warrants that the Services shall be properly performed, with maximum diligence, in a professional manner by adequately qualified personnel, in sound condition, with due care and diligence and shall satisfy the requirements contractually agreed upon. The Services shall fully comply with the details of the Scope of Work, received Orders, Beneficiarys instructions and the provisions of this Agreement. 17.2 In the event of a Defect or inconsistency in the Services, notified by the Beneficiary to the Contractor, Contractor shall promptly rectify such Defects or inconsistencies, at its own expense and without any additional charge, within a period of 3 days from the notification hereof, without prejudice to all further rights of the Beneficiary. If the defect / inconsistency has not been remedied at the end of the mentioned period, Beneficiary is, with respect to the faulty Deliverables, entitled to a proportionally reduction in the remuneration or to lawfully terminate the Agreement with a prior notification and without the court intervention or other formalities being necessary and ask for damages for the prejudice caused hereby. The burden of proof in this instance lies with the Contractor. 17.3 Contractor shall immediately inform the Beneficiary without delay, in writing and accompanied by an appropriate explanation, of all facts, events or circumstances that may affect the successful performance of the Services. 19. Serviciile vor corespunde deplin detaliilor din Obiectul Contactului, Comenzilor primite, instruciunilor Beneficiarului i prevederilor prezentului Contract. 17.2 n cazul aparitiei unui Defect sau neconcordane n Servicii, notificate de ctre Beneficiar Contractorului, Contractorul va rectifica imediat aceste Defecte sau neconcordane pe cheltuiala proprie i fr nici un cost suplimentar, n termen de 3 zile de la notificare, fr nici un prejudiciu asupra drepturilor Beneficiarului. Dac defectul / neconcordana nu a fost remediat() la finalul perioadei menionate , Beneficiarul este, cu privire la Rezultatele Serviciilor care sunt deficiatare, ndreptit la reducerea proporional a remunerrii sau la rezilierea de plin drept a Contractului cu o notificare scris prealabil i fr intervenia instanelor sau alte formaliti i poate cere despgubiri pentru prejudiciul adus. Sarcina probei n acest sens revine Contractorului. 17.3 Contractorul va informa imediat i fr ntrziere Beneficiarul n scris i cu ataarea unei note explicative adecvate, despre toate faptele, evenimentele sau situaiile care pot afecta prestrea Serviciilor cu succes. 19. RSPUNDERE: 19.1 Contractorul va rspunde i va despgubi integral Beneficiarul pentru orice Defecte, neconcordane, erori sau omisiuni ale prestatiilor sale n baza prezentului, precum i pentru orice nclcare a Contractului. 19.2 Contractorul va fi rspunztor Copy _ of 2

and fully indemnify the Beneficiary for any damage which is caused by acts or omissions of all Specialists as well as their representatives and servants. 19.3 Contractor shall be fully liable and shall defend, hold harmless and immediately fully indemnify the Beneficiary for and against all damages that may arise from Contractor's failure to fulfill his contractual obligations, in particular from the assertion of claims by third parties. 19.4 Contractor shall be fully liable and shall defend, hold harmless and immediately fully indemnify the Beneficiary for damages to life, body and health of Beneficiarys employees, representatives, consultants and agents caused by the Contractor (or by its employees, subcontractors etc.). 19.5 In case of any breach of the confidentiality obligation Contractor shall hold harmless and fully indemnify the Beneficiary in respect of the damages caused by such breach. 20. PENALTIES 20.1 For delayed or bad performance or nonperformance of the object of the Agreement and assumed contractual obligations, for each day of delay the Contractor shall pay penalties of 0.06 % out of the value of these Services. 20.2 Should the Beneficiary delay the payment of the invoices for the performed Services due to unjustified reasons, for each day of delay the Beneficiary shall pay penalties of 0.06 % out of the value of the matured unpaid amounts. The aggregate value of the penalties shall not exceed the value of the matured unpaid amounts. 20.3 The penalties shall be paid on demand and can be set-off against any payment due in favor of the Party claiming such penalties. 21. PROPERTY RIGHTS 20.1 Beneficiary acquires unrestricted ownership of the subject matter of the Agreement and of all the documents pertinent to it, no matter of their type or nature or stage of finalisation, immediately upon their preparation. PENALITI 20.1 Pentru executarea cu ntrziere sau necorespunzatoare ori pentru neexecutarea obiectului Contractului i a obligaiilor contractuale asumate, Contractorul va plti penaliti de 0.06 % din valoarea Serviciilor nerealizate n termen pentru fiecare zi de ntrziere. 20.2 Dac Beneficiarul ntrzie plata facturilor pentru Serviciile prestate din motive nejustificate, Beneficiarul va plti penaliti de 0.06 % din valoarea sumelor nepltite pentru fiecare zi de ntrziere. Penalitile convenite nu vor depi valoarea sumelor nepltite, scadente. 20.3 Penaliti vor fi pltite la cerere i pot fi compensate cu orice plata scadenta n favoarea Prii care le solicita. 21. DREPTURI DE PROPRIETATE 20.1 Beneficiarul dobndete drepturi de proprietate nelimitate asupra obiectului Contractului i asupra tuturor documentelor aferente, indiferent de tipul, natura sau stadiul de finalizare, imediat dup pregtirea acestora. Orice drepturi de autor poteniale , vor aparine necondiionat i exclusiv Beneficiarului, cu excepia situaiei n care plata Serviciilor aferente nu este fcut sau este ntziat cu mai mult de 60 de zile Copy _ of 2

days for reasons which are not imputable to the Contractor. The Contractor is entitled to use all results developed for the Beneficiary under this Agreement. 21.2. Notwithstanding anything to the contrary under this Agreement, the Beneficiary is not granted with the right to use any know-how belonging to the Contractor. This Agreement does not give the Beneficiary the right for the use of, or the right to use any copyright of scientific work, including any patent, trademarks or other like property or rights, design or model, plan, secret formula or process or any information concerning industrial, commercial or scientific experience belonging to the Contractor. 21.3 The Contractor remains the owner of all methodologies, know-how, ideas, inventions, patents, and pre-existing software used to perform the Services under this Agreement. 21.4 Contractor shall, at its own expense, defend, fully indemnify and hold harmless the Beneficiary against all claims, demands, causes of action, alleged debts or liabilities brought against the Beneficiary that may arise from an alleged infringement, misappropriation or violation of any industrial / intellectual property rights or copyrights in relation with the Services performed by the Contractor, and the Contractor shall reimburse to the Beneficiary all costs, including legal expenses, related to such infringement, claims, demands, causes of action. 21.5 Beneficiary shall notify Contractor of such claims demands, causes of action, alleged debts or liabilities as soon as possible and in writing. Contractor shall provide appropriate support for defense. 21.6 In the event of an infringement of any industrial / intellectual property rights or copyrights, without exclusion of further Beneficiarys claims based on third parties claims in relation to such infringement, Contractor shall, at its own expense, alter or replace the respective results of its performance in such a way that there is no longer an infringement of industrial / intellectual property rights or copyrights of third parties. If none of these alternatives is reasonably available, Beneficiary will be able to terminate the Agreement in accordance with the provisions of chapter 28. Prezentul Contrat nu d Beneficiarului dreptul de a se folosi sau dreptul de a dispune de orice drept de autor, lucrare tiinific, inclusiv orice brevet, marc sau alte drepturi precum drepturi de proprietate, design sau planuri, formule secrete sau procese sau orice informaii de interes industrial, comercial sau experimente tiinifice aparinnd Contractorului. 21.3 Contractorul rmne proprietarul tuturor metologiilor, know-how-ului, ideilor, inveniilor, brevetelor i programelor informatice existente anterior i folosite pentru prestarea Serviciilor potrivit prezentului Contract. 21.4 Contractorul va apra, despgubi integral i va proteja Beneficiarul pe cheltuiala proprie mpotriva tuturor reclamaiilor, cererilor, aciunilor sau debitelor pretinse impotriva Beneficiarului care s-ar putea ivi din pretinse contrafaceri, folosiri fara drept sau nclcri ale oricror drepturi de proprietate industrial sau intelectual ori drepturi de autor cu legtur la Serviciile prestate de ctre Contractor, iar Contractorul va rambursa Beneficiarului toate costurile, inclusiv cheltuieli legale, aferente respectivelor contrafaceri, reclamaii, cereri, aciuni. 21.5 Beneficiarul va notifica n scris Contractorul despre astfel de reclamaii, cereri, aciuni sau datorii pretinse ct mai curnd posibil. Contractorul va furniza suportul necesar aprrii. 21.6 n caz de nclcare a oricrui drept de proprietate industrial / intelectual sau de autor, fr excluderea viitoarele reclamaii ale Beneficiarului n baza reclamaiilor terilor n legatura cu o astfel de nclcare, Contractorul va modifica sau nlocui pe cheltuiala sa proprie respectivele urmri ale prestatiilor sale, astfel nct s nu mai existe nici o nclcare a drepturilor de proprietate intelectual i industrial sau a drepturilor de autor ale terilor. Dac nici una dintre aceste alternative nu este realizabil, Beneficiarul va putea rezilia Contractul n conformitate cu prevederile capitolului 28. n acest caz, Contractorul Copy _ of 2

ASIGURRI 22.1 Contractorul va ncheia i menine o Asigurare de Rspundere Comerciala Generala, ntr-un cuantum minim i pentru riscurile menionate n Anexa 7 sau proportional cu riscurile aferente serviciilor efectuate i va prezenta Beneficiarului dovezi n acest sens n termen de 15 Zile Lucrtoare dup semnarea Contractului, n caz contrar Contractorul va fi considerat a fi n culp iar Beneficiarul va fi ndreptit fie s rezilieze Contractul conform prevederilor capitolului 28 sau s amne emiterea Comenzilor pentru o perioad nelimitat de timp, fr a putea depi momentul la care dovezile privind asigurarea au fost transmise. In cazul in care asigurarile sunt prezentate, Compania isi rezerva dreptul de a le verifica si stabili daca acoperirile furnizate sunt conforme cu prevederile contractuale si riscurile specifice prestatiilor respective. Obtinerea asigurarilor solicitate, nu va influenta, altera sau limita in nici un fel obligatiile Contractorului stabilite in acest contract. Orice suma neasigurara sau neacoperita de catre asigurator va fi suportata de catre Contractor in conformitate cu raspunderile si obligatiile sale. 22.2. Asigurarea de rspundere va include urmtoarele: a) Rspunderea terilor, b) Rspunderea pentru daune aduse proprietii, c) Rspunderea profesional pentru daune. 22.3 Dincolo de asigurarea solicitat, Contractorul trebuie s ncheie i s pstreze toate asigurrile obligatorii impuse de legile locale 23. SECURITATE/ PREVENTIE: 23.1 Contractorul i asum responsabilitatea de a respecta i a aciona conform Cererilor Beneficiarului HSEQ descrise n Anexa 2 a prezentului Contract i de a informa Beneficiarul imediat de orice nclcare a acestora. 22. INSURANCE 22.1. The Contractor is obligated to have and maintain a business liability insurance with the minimum insurance coverage as stipulated in Appendix 7 or proportionately to the extent of the contract and the risk entailed by making delivery r and shall provide evidence thereof to the Beneficiary in 15 Working Days after the signature of the present Agreement, otherwise, the Contractor shall be considered in default and the Beneficiary shall be entitled either to terminate the Agreement in accordance with the provisions of chapter 28 or to postpone any Order for an unlimited period of time, however not exceeding the moment when such a confirmation of insurance has been submitted. If the case, the Company shall reasonably determine on his own whether the presented proofs of insurance establish appropriate coverage with respect to the subject of the contract and the risks entailed by making delivery. Obtaining the insurance required by this clause shall not in any way limit, alter or affect the liability and obligations of the Contractor under this Contract anyhow. Any amounts not insured or not recovered from the insurer shall be borne by the Contractor in accordance with its obligations and liabilities.

22.2. The liability insurance shall cover the following: a) Third Parties Damages, b) Third Party Property Damages, c) Professional Liability for Damages. 22.3. Beyond the above requested insurance, Contractor has to conclude and maintain all other insurances mandatory requested by the local law. 23. SECURITY/ PREVENTION: 23.1 Contractor undertakes to observe and comply with Beneficiarys HSEQ Requirements which are presented in the Annex 2 to the Agreement and to inform the Beneficiary promptly of any violations thereof. requirements, receipt thereof shall be confirmed by e-mail, fax or in another written form and, to the extent that no specific date is indicated, they shall become binding effective immediately after notification. 23.2 Prevention of accidents: Contractor shall take and permanently check compliance with all safety measures to prevent working accidents, in accordance with the laws applicable in Romania. 23.3. Contractor shall be liable that all of his employees have received proper safety training and personal protective equipment and that he has taken all reasonable and necessary safety precautions in relation to its employees and equipment. 23.4. Mandatory social security: All Contractor employees, representatives, agents etc shall be fully covered by Romanian social security insurance. 23.5. Compliance with the law: Only persons who fulfill all current statutory and regulatory provisions (e.g. proof of qualification for the work provided; working permit) may be involved in performance this Agreement. 23.6. To the extent that special security measures are used, such as passwords, copy protection, etc., these shall be defined jointly with the Beneficiary. The Contractor undertakes to not install any access rights for which the Beneficiary is not authorized. 23.7. In the event that security requirements are not complied with, this shall result in the non-fulfillment of this item of the Agreement which constitutes a major violation of the Agreement, having as possible effect the termination of the Agreement, according to Beneficiarys option. 24. DATA PROTECTION 24.1 Parties hereto undertake to comply with legal requirements in Romania concerning data protection. 24.2 Contractor declares that it is aware of restrictions imposed by capital market legislation in Romania related to privileged information use and dissemination and confirms that it will comply with such restrictions. 24.3 Contractor hereby undertakes to deliver to Beneficiarys Project Manager the list of their Specialists, Subcontractors and the Page 22 of 36 cerinele privind securitatea, primirea ulterioar trebuie confirmat prin e-mail, fax sau alte forme n scris i n cazul n care nici o dat specific nu este indicat, acestea vor deveni efective imediat dup notificare. 23.2 Prevenirea accidentelor: Contractorul va verifica permanent respectarea msurilor de siguran pentru prevenirea accidentelor de munc, conform legilor n vigoare din Romnia. 23.3. Contractorul va fi rspunztor pentru toi angajaii acestuia, i se va asigura c acestora li s-a fcut instructajul de protecia muncii i c au primit echipamentul de protecie necesar i c s-au luat toate msurile rezonabile de preventive n legtur cu angajaii i cu echipamentele. 23.4. Asigurarile sociale obligatorii: Toi angajaii Contractorului, reprezentanii, agenii, etc. trebuie s fie asigurai conform asigurrilor sociale din Romnia. 23.5. Conformitatea cu legea: Doar persoanele care ndeplinesc toate prevederile statutare i de reglementare (de ex. calificarea pentru lucrarea prestat, permis de munc) pot fi implicate n derularea prezentului Contract. 23.6. n msura n care sunt folosite msuri speciale de siguran, precum parole, copii pentru protecie, etc. acestea vor fi definite mpreun cu Beneficiarul. Contractorul i asum responsabilitatea de a nu instala nici un drept de acces pentru care Beneficiarul nu este autorizat. 23.7 n cazul n care cerinele de securitate nu sunt respectate, aceasta va avea ca rezultat nendeplinirea acestui articol al Contractului ceea ce constituie o nclcare grav a prezentului Contract, avnd ca posibil urmare rezilierea Contractului conform cu opiunea Beneficiarului. 24. PROTECIA DATELOR 24.1 Prile prezentului se oblig s respecte prevederile legale din Romnia referitoare la protecia datelor. 24.2 Contractorul declar c are cunotin despre restriciile impuse de legislaia pieei de capital din Romnia cu privire la folosirea i difuzarea informaiilor privilegiate i confirm c va respecta aceste restricii. 24.3 Contractorul se oblig prin prezenta s livreze Managerului de Proiect al Beneficiarului lista cu Specialitii, Copy _ of 2

Subcontractors employees, who have access to Beneficiarys privileged information, in order for such list to be notified to the competent authority. 25. CONFIDENTIALITY 25.1 The Contractor shall keep strictly confidential and shall not disclose this Agreement, including all annexes and addendums, the execution of the Project, including all plans, descriptions of equipment, photos, drawings etc, any data, information, and software disclosed in connection with the Agreement, as well as any information it may become aware of by virtue of or in connection with the business relationship hereby entered into, regardless of whether the data and / or information have been conveyed by oral, written, and / or electronic means and in the later case regardless of the nature of the medium or data carrier (Confidential information). 25.2 The Contractor shall in particular not use this Project for advertising purposes or as reference project without the Beneficiary's prior written consent (in particular not on its website or in the course of personal contacts with potential clients, or media representatives). 25.3 Contractor shall treat Confidential Information with strict confidence and refrain from disclosing it to third parties. Contractor may disclose information about this Agreement and the Project only to persons involved in the Project execution and only to the extent this is absolutely necessary for the performance of Project tasks. Such information shall first be reported to the Beneficiary, who may decide at its free discretion whether and to who said information shall be disseminated. 25.4 Contractor undertakes towards the Beneficiary to impose the confidentiality obligation, as written hereunder, upon his Specialists and Subcontractors. 25.5 It is understood that neither Party will make any media release, public announcement or other public disclosure relating to the subject matter of this Agreement without having obtained the prior written approval by the other Party. 25.6 Such Confidential Information includes, but is not limited to, data and information of any kind. Without prejudice to contrary provisions set forth in this Agreement, information shall not be regarded as Confidential Information for the purposes of Page 23 of 36 Subcontractorii i angajaii Subcontractorilor care au acces la informaiile privilegiate ale Beneficiarului cu scopul de a pune aceast list la dispoziia autoritii competente. 25. CONFIDENIALITATEA 25.1 Contractorul va pstra confidenialitatea strict si nu dezvalui prezentul Contract inclusiv toate anexele i actele aditionale, executarea Proiectului, incluzand toate planurile, descrierile echipamentelor, fotografii, desene, etc, orice date, informaii i softuri dezvaluite n legatur cu Contractul precum i orice informaii care au ajuns la cunotina sa prin sau n legtur cu relaiile comerciale aferente prezentului Contract, indiferent dac datele i / sau informaiile au fost transmise verbal, scris i / sau electronic n ultimul caz indiferent de natur i mediul sau purttorul de date (Informaii Confideniale). 25.2 Contractorul nu va folosi acest Proiect in scop publicitar sau ca proiect de referin, fr acceptul scris n prealabil al Beneficiarului (n special nu pe pagina sa de internet sau n derularea contactelor personale cu potenialii clieni ori cu reprezentanii media) 25.3 Contractorul va trata Informaiile Confideniale cu strict confidenialitate i nu le va divulga terilor. Contractorul poate dezvlui informaii despre acest Contract i despre Proiect doar persoanelor implicate n derularea Proiectului i doar in masura n care este absolut necesar pentru ndeplinirea sarcinilor legate de Proiect. Aceste informaii vor fi raportate iniial Beneficiarului care va decide n mod discretionar dac i ctre cine vor fi comunicate aceste informaii. 25.4 Contractorul se oblig fa de Beneficiar s impun obligatia de confidenialitate, asa cum e mentionata aici Specialitilor i Subcontractorilor si. 25.5 Se nelege c nici o Parte nu va trimite comunicate de pres, anunuri publice sau altele dezvaluiri publice legate de prezentul Contract fr a avea acordul prealabil n scris al celeilalte Pri. 25.6 Aceste Informaii Confidentiale includ dar nu se limiteaz la date i informaii de orice fel. Fr a prejudicia prevederile Contractului, informaiile nu vor fi tratate ca i confideniale n sensul prezentului Contract dac: Copy _ of 2

this Agreement if: - it is or becomes generally known for reasons that are not otherwise attributable to fault on the part of a Party; - it was already in the possession of a Party prior to the conclusion of this Agreement without any legal obligations being violated and it is subject to no restrictions as to its use or disclosure; - it was independently developed by a Party without such a circumstance constituting a breach of this Agreement. 25.7 The disclosure of information shall entitle the Beneficiary to demand compensation from the Contractor and / or to terminate the Agreement. 25.8 Contractor shall be entirely liable for any of the Specialists breach of the confidentiality obligation and it is fully responsible for binding the Specialists to such confidentiality obligation. 25.9 The confidentiality obligations shall remain in force after the termination of the Agreement, irrespective of its termination reasons for an indefinite period of time. 25.10 Upon termination of this Agreement, Contractor is bound to hand over to the Beneficiary all available documentation and materials provided by Beneficiary or solely created for the Beneficiary based on this Agreement or necessary for operating the already performed object of Agreement. - devin general cunoscute din motive care nu in de vinovia uneia dintre Prile; - sunt deja n posesie uneia dintre Pri nainte de semnarea Contractului, fr nclcarea vreunei obligaii legale i nu se supun nici unei restricii cu privire la folosirea sau divulgarea acestora; - au fost independent dezvoltate de o Parte fr ca o aa situaie s constituie o nclcare a prezentului Contract. 25.7 Divulgarea informaiei va ndrepti Beneficiarul s cear compensaii de la Contractor i / sau sau s rezilieze Contractul; 25.8 Contractorul va fi rspunztor integral pentru nclcarea obligaiei de confidenialitate de ctre Specialiti i este pe deplin responsabil pentru obligarea Specialitilor la respectarea acestor obligaii de confidenialitate. 25.9 Obligaia de confidenialitate va rmne n vigoare dup incetarea Contractului indiferent de motivele ncetarii pentru o perioad nedeterminat de timp. 25.10 La ncetarea Contractului, Contractorul este obligat s returneze Beneficiarului toat documentaia i materialele obinute de la Beneficiar sau create special pentru Beneficiar pe baza acestui Contract sau necesare valorificarea obiectului Contractului deja realizate. 26. FORA MAJOR 26.1 n cazul n care un eveniment considerat fora major mpiedic o Parte s-i ndeplineasc obligaiile contractuale, ndeplinirea obligaiilor va fi amnat pe durata existentei forei majore. Aceste evenimente scutesc Partea ndeplinirea obligaiilor sale doar dac determin imposibilitatea indeplinirii cerinelor Contractului nu i dac executarea devine mai dificil sau mai costisitoare. 26.2 Partea care invoc fora major trebuie s urmeze procedura urmatoare pentru a fi exonerat de obligaiile sale pe perioada evenimentului ce reprezint for major: a. Partea respectiva trebuie s anune cealalt Parte de nceperea i sfritul evenimentului care constituie fora major, n timp de 5 (cinci) zile de la nceperea sau de la incetarea acestuia; b Parte respectiva trebuie s trimi t celeilalte Pari n timp de 15 Copy _ of 2

26. FORCE MAJEURE 26.1 Should an event considered as force majeure prevent a Party from executing its obligations under the Agreement, the execution of the obligations shall be postponed as long as the force majeure persists. Such events will release a Party from its obligations only if it causes the impossibility of performance of the requirements of this Agreement and not simply if the event causes performance to be more difficult or more costly. 26.2 The Party invoking the force majeure occurrence must follow the following procedure in order to be exonerated of its obligations for the period of the event constituting force majeure: a. said Party must notify the other Party the beginning and the end of the event constituting force majeure, within 5 (five) days as of the beginning and the end of said event; b. said Party must sent to the other Party within 15 (fifteen) days after notification a Page 24 of 36

certificate issued by competent authorities, certifying the beginning and respectively the end of the event constituting force majeure. Without such certificate, the respective case of force majeure may be considered irrelevant by the other Party. 26.3 For the purpose of this paragraph, competent authorities are, in particular, a government administration and / or a chamber of commerce. 26.4 In case of non-observance of the above, it shall be impossible to invoke the event of force majeure and it shall not be considered as such. 26.5 Events constituting force majeure shall consist in circumstances independent of the Parties will and they shall include, but without limitation to: disasters, earthquakes, typhoons, national and branch strikes, floods. 26.6 Should the duration of the event constituting force majeure exceed 30 (thirty) consecutive days, the other Party is entitled to terminate the Agreement without the intervention of a court of law or any further formalities by sending to the other Party a written notification in this respect. 26.7 For the duration of force majeure event, no penalty, interest or fines can be claimed by either Party. 27. TERMINATION 27.1 This Agreement may be terminated: a. by mutual consent amongst the Parties, b. at the expiry date, if applicable; c. by Beneficiarys unilateral denunciation through the submission of a Beneficiarys written notice to the Contractor. In such case the Agreement will be deemed terminated on the submission date of the notification; d. lawfully, with immediate effect, without any other formality, except for a written notice from the other Party in this respect and without the Court intervention, should either Party, at any time during this Agreement, become insolvent as per any of the provisions of any applicable insolvency act or makes a voluntary assignment of its assets for the benefit of creditors or is adjudged bankrupt; e. lawfully, with immediate effect, without any other formality except for a written notice from the other Party in this respect and without the Court intervention, if Force Majeure prevents either Party from fulfilling its contractual obligations, under this Agreement for a period of over 30 days from the date of the force majeure event notification; f. by lawful termination, with immediate Page 25 of 36 (cincisprezece) zile dup notificare, un certificat emis de autoritile competente, atestnd nceperea i sfritul evenimentului care constituie fora major. Fr acest certificat cazul de for major va fi considerat irelevant de ctre cealalt Parte. 26.3 Potrivit acestui paragraf, autoritatea competent este o administraie guvernamental i / sau camera de comer. 26.4 n caz de nerespectare a celor de mai sus, evenimentul de for major va fi imposibil de invocat i nu va fi luat n considerare. 26.5 Evenimente de for major sunt situaiile independente de vointa Partilor si vor include, fr limitare: dezastre, cutremure, taifun, greve naionale i ale filialelor, inundaii. 26.6 Dac durata unei eveniment de fora major depete 30 (treizeci) de zile consecutive, Partea cealalt va putea rezilia Contractul fr intervenia instanei sau alte formaliti, trimind celeilalte Pri o notificare scris n acest sens. 26.7 Pe durata forei majore, nu vor putea fi solicitate penaliti, dobnzi sau alte sume de ctre oricare dintre Pri. 27. NCETARE 27.1 Prezentul Contract poate inceta: a. prin acordul Prilor, b. la expirarea duratei, dac e cazul; c. prin denuntarea unilaterala din partea Beneficiarului, prin trimiterea ctre Contractor a unei notificri scrise. Contractul va fi considerat incetat in ziua trimiterii notificarii; d. prin desfiintarea de plin drept cu efect imediat, fr alta formalitate cu exceptia unei notificari scrise din partea celeilaltei Pri in acest sens i fr intervenia instantei, dac oricare dintre Pri, oricand pe durata prezentului Contract, devine insolvabil conform oricror prevederi ale legii privind insolventa sau cesioneaza voluntar activele sale ctre creditori sau este declarat falimentar; e. prin desfiintarea de plin drept, cu efect imediat, fr alta formalitate cu excepia unei notificari scrise din partea celeilaltei Pri in acest sens i fr intervenia instantei, dac Fora Major mpiedic oricare dintre Pri s-i ndeplineasc obligaiile contractuale pentru o perioad de peste 30 de zile de la data notificrii evenimentului de for major; f. prin desfiintarea de plin drept, fr Copy _ of 2

effect, without the intervention of a Court and without a period of grace, based on a written termination notice submitted to the Contractor as from the submission date of such notice, in the event: the Contractor failed to fulfill, inappropriately fulfilled or fulfilled with delay its contractual obligations or - Contractor discontinues his activities for more than one month without justification; - Contractor loses its entitlement to trade or sells its business, 27.2 In the event this Agreement has been terminated in conformity with the abovementioned provisions, all rights and obligations ensuing from this Agreement shall become null and void. 27.3 The Party in fault with respect to termination shall be liable towards the other Party for all damages provoked (including all additional expenses for the completion of the object of the Agreement). 27.4. In case of termination by Contractors fault, the Contractor is obliged to pay to the Beneficiary a contractual penalty of 20% of the total Agreement value accrued up to that time, in addition to the damages paid according to Clause 19 of this Agreement. intervenia instantei i fr alta formalitate, n baza i de la data trimiterii unei notificri de reziliere scrise, n cazul n care: - Contractorul nu i-a ndeplinit, i-a ndeplinit nesatisfctor sau cu ntrziere obligaiile contractuale sau - Contractorul a ntrerupt activitatea mai mult de o lun fr justificare; - Contractorul isi pierde autorizarea de a desfasura acte de comert sau isi vinde afacerea. 27.2 n cazul n care acest Contract a fost reziliat conform prevederilor menionate mai sus, toate drepturile i obligaiile ce decurg din acesta vor deveni nule. 27.3 Partea in culpa n ceea ce privete rezilierea va rspunde n faa celeilalte Parti pentru toate daunele provocate (inclusiv toate cheltuielile suplimentare pentru realizarea obiectului Contractului). 27.4. n cazul rezilierii Contractului din culpa Contractorului, Contractorul este obligat s pltesc Beneficiarului o penalitate contractual n cuantum de 20% din valarea total a Contractului actualizat pn la momentul rezilierii, n plus fa de despgubirile pltite conform Art. 19 din Contract. 27.5 Pn la ncetarea Contractului, Prile trebuie s-i ndeplineasc toate obligaiile potrivit prezentului Contract. ncetarea acestuia nu va exonera nici una din Pri de obligaiile sale sau de rspunderile decurgnd din acesta pn la data ncetrii. 27.6 Toate Serviciile efectiv prestate potrivit Contractului pn la momentul ncetrii efective, acceptate de Beneficiar, dar nefacturate inc, vor fi remunerate. Facturile pentru Serviciilor prestate nainte ca acest Contract s devin nul, vor fi emise i pltite conform acestui Contract. 28. NOTIFICRI / COMUNICRI 28.1 Toate notificrile sau alte comunicri destinate a fi trimise de fiecare dintre Pri ctre cealalt Parte sub incidena acestui Contract vor fi fcute n limbile Romn sau Englez, dac nu se stipuleaz altfel mai jos, i vor fi considerate a fi trimise n mod satisfctor dac sunt n form scris i inmanate pe baz de confirmare scris sau dac sunt trimise prin pot sau fax unei Pri la adresa acesteia menionat Copy _ of 2

27.5 Up to the termination of this Agreement, both Parties shall fulfill all their obligations under this Agreement. The termination of this Agreement shall not release either Party from its obligations or liabilities under this Agreement arising up to the date of termination. 27.6 All the Services effectively provided according to the Agreement up to the effective time of the termination, accepted by Beneficiary, but not yet invoiced shall be remunerated. The invoices for Services performed prior to this Agreement having become null and void shall be issued and payable as written in this Agreement. 28. NOTIFICATIONS / COMUNICATION 28.1 All notices or other communications to be sent to by either Party to the other Party under this Agreement shall be in the Romanian or English language and shall, unless provided otherwise herein, be deemed to have been sufficiently given if in writing and delivered by hand against written receipt or if sent by (registered) post, or fax to a Party at its address given here below, provided that either Party may at any time designate a different or further address to which notices Page 26 of 36

Aceeai procedur se aplic oricrei omisiuni a acestui Contract sau n cazul unor prevederi insuficiente ce decurg din acesta 32. ARBITRAJ 32.1 Prile, la libera lor alegere, pot ncerca soluionarea disputelor n prim faz de un Comitet de Soluionare a Disputelor (CSD). CSD este format din trei mediatori. Fiecare Parte este ndreptit s nominalizeze un reprezentant iar al treilea mediator va fi numit de ctre reprezentanii deja numii. Decizia CSD nu este obligatorie pentru Pri cu excepia cazului n caze Prile, n scris au decis altfel. Dac disputa nu este soluiona prin intermediul CSD, va fi conferit spre rezolvare instanelor judectoreti competente din Bucureti, Romnia. 32.2 Prezentul contract va fi construit i interpretat conform legilor romne. 33. LIMBA CONTRACTULUI 33.1 Limba care prevaleaza in prezentul contract este limba romana. Anexe pot fi ataate la Contract i sunt obligatorii n msura n care nu contrazic acest Contract

31.2 The invalid term shall be deemed replaced by a valid term which closest reflects the technical and economic purpose of the invalid term. The same shall apply to any gap of this Agreement or to insufficient provisions hereof. 32. ARBITRATION 32.1 In the first instance the Parties, at their free choice, can seek settlement of their disputesthrough a Dispute Resolution Board (DRB). The DRB consists of three mitigators. Each Party is entitled to nominate its representative and the third mitigator is appointed by the already appointed representatives. The DRBs decision is not binding for the Parties unless otherwise agreed in writing between the Parties. Should the dispute not be solved by way of DRB, it shall be finally settled by the competent Court located in Bucharest, Romania. 32.2 This agreement shall be constructed and interpreted pursuant to the laws of Romania. 33. GOVERNING LANGUAGE 33.1 The governing language of agreement is Romanian. Appendices can be annexed to the Agreement and binding to the extent that they do contradict this Agreement. the also are not

34. AGREEMENT AMENDMENTS 34.1 This Agreement may be amended by way of a written additional act signed by both Parties; this shall in particular apply to any waiver of this form requirement. Statements made by e-mail shall not satisfy the written requirement. Contractor waives his right to avoid or modify the Agreement for mistake (including calculation mistake). 34.2 The Beneficiary may request further details of the Services already performed, and the Contractor must provide the Beneficiary with such details, without any additional costs. 34.3 The Beneficiary is entitled to modify its Order until receiving and accepting the Services contemplated in such Order. If, regardless of their cause, modifications lead to a reduction of costs for the Contractor, the Contractor shall reduce the value of the invoice submitted to the Beneficiary. 35. SUSPENSION: 35.1 In case of any dispute, the Contractor may not suspend his contractual obligations in whole or in part and it may not assert any other right of retention. 36. LEGAL SUCCESSOR 36.1 Should the Contractors legal form change in any way, the Contractor shall promptly notify the Beneficiary in written form and provide evidence thereof; all its duties and rights shall be transferred to the legal successor. 36.2 The Beneficiary, however, reserves the right to denounce the Agreement within three (3) months after receipt of such a notification, without the possibility to be penalized by Contractor hereunder. 37. ASSIGNMENT: 37.1 A Party may not assign or delegate any of its rights or obligations hereunder in whole or in part without the written consent of the other Party. The rights and obligations hereunder shall be transfered to the Parties' legal successors as provided herein. However, the Beneficiary may assign its rights and obligations hereunder to any of its affiliates, at any time, without the consent of the Contractor being required. 38. ENTIRE AGREEMENT: 38.1 This Agreement (with attachments and applicable terms and conditions) is the entire Agreement between Contractor and Beneficiary with respect to its subject matter Page 29 of 36 34. SUSPENDARE: 35.1 in caz de disput, Contractorul nu poate suspenda obligaiile sale contractuale nici parial nici total i nu poate invoca nici un drept de retentie. 36. SUCCESORI LEGALI 36.1 Dac forma legal a Contractorului se modific n vreun fel, acesta l va notifica imediat pe Beneficiar n scris fcnd dovada n acest sens; toate datoriile i drepturile sale se vor transfera succesorilor si legali. 36.2 Beneficiarul totui i rezerv dreptul de a denuna Contractul n termen de trei (3) luni de la primirea unei astfel de notificri, fr posibilitatea de a fi penalizat de ctre Contractor. 37. CESIUNEA: 37.1 O Parte nu poate cesiona sau delega nici unul dintre drepturile sau obligaiile sale din prezentul Contract, parial sau total, fr consimmntul scris al celeilalte Pri. Drepturile i obligaiile se vor transfera succesorilor legali ai Prilor, dup cum este mentionat n prezentul Contract. Totui Beneficiarul i poate cesiona drepturile i obligaiile oricrui afiliat al su, oricnd, fr a fi nevoie de consimmntul Contractorului. 38. and supersedes all prior verbal and written understandings, communications or agreements between Contractor and Beneficiary. 38.2 In addition, it is consensually stated that aside from this Agreement and the Annexes hereto, any documents or papers which do not expressly constitute a basis of this Agreement do not form the basis hereof. 38.3 This shall apply in particular to the general terms and conditions of any of the two Parties, even if one Party refers thereto in a standard order form or otherwise the other Party does not expressly contradict said reference. 39. HEADINGS: 40.1 The headings herein shall be for convenience only and shall not be used for the interpretation of the contents hereof. 40. FINAL CLAUSES 40.1 During the term of this Contract and for 12 months following its termination, the Supplier or their subsidiaries or affiliates or related parties of the Supplier shall not employ, solicit or make any offers to employ any employees or partners used by the Beneficiary in the performance under this Agreement, without the prior written consent of the Beneficiary. Atat pe toata durata Contractului, cat si 12 luni dupa incetarea acestuia, Contractorul, filialele sale, afiliatii lui sau tertii cu care contracteaza acesta nu vor angaja, nu vor solicita nici o oferta sau nu vor face nici o oferta de angajare niciunui salariat sau partener al Beneficiarului care a participat la derularea prezentului Contract, fara a avea in prealabil acordul scris al Beneficiarului. Annex 1 Scope of Work 1. Authorized translation for documents legislation, correspondence, documents, contract, and technical specifications in Oil, Gas & Power, chemicals, refinery and constructions, finance, domain. Languages: English, French, German, Spanish, Russian, Greek, Italian, etc. Deadlines 1 10 pages maximum 4 hours - 11 20 pages maximum 12 hours - for translations up to 100 pages maximum 4 days for translations over 100 pages the shortest term mutually agreed

For certified translations, the Petrom will also pay the price of the notary office for the legalization of the respective translation (notary fee, legal stamps and any taxes that are required). Transportation of the translated documents will be free of charge. 2. Urgent translations page of 2000 characters with spaces/ page. Anexa 2 HSEQ Requirements for CONTRACTS

CONTRACTS

1. CONTRACTOR shall when providing on-location consultancy services or to CLIENTS other contractors office or facilities comply fully with CLIENTs policy, any applicable legislation and site regulation regarding security, health, safety and environment. Contractor shall ensure compliance to PETROM HSEQ Manament System brief outline as Annexure 2. Major areas of concern are as follows: Accident / incident reporting and investigation First aid requirements Emergency response Personnel Protective Equipment compliance Environmental Compliance Safe Driving practices 2. Every accident and/or injury which has involves personnel and/or machinery and equipment at the CONTRACTORs work site or at that of any Subcontractor shall be reported to PETROM as per PETROM policy. The CONTRACTOR shall submit a monthly report to the COMPANY about the situation of any accidents which have occurred at the worksite, specifying the following information: Personnel involved in the Contract (both worksite operators and staff); Number of hours worked by the above personnel; Number of injuries which have caused absence from work in the days after the injury; Number of days absence as a result of the above injuries; Number of injuries which have not caused absence from work; Each action or situation which has not caused injuries, but could have caused them in unfavorable circumstances. The CONTRACTOR is responsible, through his organisation, for applying Safety measures required to carry out the work assigned to him by the COMPANY so as to prevent accidents/incidents or events which jeopardize the Safety of all personnel present and of the installation. And have in place an HSE Officer to ensure compliance

The CONTRACTOR is also responsible for the correct selection of personnel to be assigned to the jobs. The CONTRACTOR shall possess all the equipment needed to carry out the work (appropriate for the given work environment) as well as all the clothing, safety devices and personal and collective protection devices required.

7. The CONTRACTOR shall plan all actions, controls and inspections aimed at ensuring that safety requirements are observed, applying the measures defined in his own HSE Manual. The CONTRACTOR shall be audited at a regular frequency on the HSE Plan submitted to the company with the contract. The CONTRACTOR shall state in the Preliminary Plan, how he intends to organize responsibilities and duties of the Job Order, in relation to environmental issues. The CONTRACTOR shall indicate the HSE related training and experience of the resources he has assigned to supervise and execute Job Order activities (professional skills, attendance specialist courses, etc) in order to fulfill ISO 14001 standard requirements. The CONTRACTOR shall have in place medically screened personnel before undertaking work at an PETROM Site, to ensure that they are medically fit as per PETROM Health Policy. Have in place adequate medical coverage at all times through an appropriate clinic / medic at the site.(Dependant on the contract). The CONTRACTOR shall also describe the environmental-related competencies of any subcontractors. At the end of the works, the CONTRACTOR shall assist the company in producing the following specific information in order to comply with Regulations and ISO 14001 requirements (wherever applicable): Energy consumption (electricity, fossil fuels, other energy sources), type of use (e.g. diesel, gas engines), unit values, excise rate. Water consumption (water which has been supplied, drawn from wells).
