Dear Sirs We are writing to advise you of a change of ownership of the shares in Compass Costs Consulting Limited (CCCL).

As of 02.04.13 CCCL became wholly acquired by Quindell Portfolio PLC (QPP). Please be assured that this change of ownership will not have any effect on the day to day operations at CCCL and that it is very much business as usual. The Sale and Purchase Agreement specifically provides that operational control of CCCL remains with the original Board of Directors and the current management team. As a publicly listed company, QPP will confirm this structure in its announcement to the London Stock Exchange today. CCCL will continue to operate from its existing premises and will become part of QPPs ABS. This change will mean that from the date of transfer CCCL will be regulated by the SRA and all the associated client protections there under will apply to the services provided to you by us. CCCL already has regulated solicitors and costs lawyers as part of the existing board and management team and so there will be no direct interference with the day to day operation by QPP. QPP have no desire to change the operation, service levels or charging structures of CCCL and have taken the decision to purchase CCCL in order to reduce their future operating overhead at their ABS Quindell Legal Services (QLS), who themselves and their predecessor Silverbeck Rymer solicitors have been a client of CCCL for the last 7 months. We have taken the decision to sell in order to gain access to unrivalled funding within the QPP Group, to enable us to best meet the challenges posed by the Jackson Reforms and the implementation of LASPO and to continue to expand and meet our Professional Clients needs, which are considerable given the current upheaval.
