WHEREAS the Settlor is desirous to establish a Charitable Trust for use of general public Motto as Co-existence of all faiths as one race for welfare of humanities. The Trustees have to request Settlor and agree to act as Trustees on the terms and provisions hereinafter contained. NOW THIS TRUST DEED WITNESSES AS FOLLOWS: 1. In order to effectuate the said object of creating and establishing a Public Charitable Trust, the Settlor has delivered to and made over to the Trustees a sum of Rs.2100/- (Rupees Two thousand one hundred Only) with intent to part with all his rights, title and interest claim therein and vest the same in the Trustees to have and to hold the same and the investment or investments for the time being representing the same and all other properties that may for the time being represent the Trust estate together with all additions and accretions thereto and all accumulated income thereof and all other property or properties that may be acquired out of the same or otherwise may hereafter be subject to the Trust( hereinafter referred to as THE TRUST FUND) for the charitable objects and purposes and uses hereinafter expressed with the powers and on the terms and conditions herein contained of the concerning the same, NAME OF THE TRUST SHALL BE: MOTHER INDIA PARIVAR

REGISTERED OFFICE: Registered office of the Trust shall be situated at Flat No-7 & 7A, Third Floor, A-86A, Chanakya Place, Part-I, New Delhi-110059, which may be changed from time to time to such other place or places, as the Trustees may deem fit and proper at their discretion. Trust may have in future its unit offices at any place in India and Abroad. Those who are Trustees for the purpose and, it is declared that, the Founder MR. BIDYADHAR PRADHAN will continue to be the Executive Trustee of the Trust and one of the Trustees for his lifetime. The objects of the Trust shall be: To start, establish, run take over or manage and maintain institute in the field of Computer science and Engineering, University) programs etc. and to acquire land from concerned authorities for the same purpose. To maintain and promote and propagate world peace through different sets of peace related programmes and activities at local, regional, national and international level. To establish educational institutions and coaching centres including civil services and other competitive examinations. To promote right to education as per the constitution of India that will help job seekers and other competitive examinees towards their life time goals and careers. To start, establish, run, take over or manage and maintain schools, with an object to provide sound pre-primary, secondary, senior secondary and higher education to children by seeking recognition and affiliation from the education departments and concerned Govt. Authorities. To establish occupational training centers, polytechnics, engineering institutes for upliftment of younger generation of economically weaker section of Indian society, without discrimination of caste, creed and region. To carry on community development program/activities and also construct, maintain and develop the Ashram, Old Age Homes, Charitable Dispensaries, Hospitals, Libraries, and other training and research institutes for the attainment of Aims and objects of the Trust.

To establish educational institutions and coaching centres including civil services and other competitive examinations. To promote right to education as per the constitution of India that will help job seekers and other competitive examinees towards their life time goals and careers.

6.10. To start, establish, run take over or manage and maintain technical education such as B.Ed / B.P. Ed, BCA/ MCA/ BBA/ MBA/ LLB/ and B. Tech. (Electronics and Communications Engineering, and Computer science and Engineering), M. Tech (Information Technology) programes etc. and to acquire land from concerned authorities for the same purpose. 6.11. To start, establish, run, manage and control various Orphanage, Anath Ashram, Old Aged Home, Children Home (under the banner of MY DAUGHTERS HOME) all over in India as and when the Board of Trustees may decide from time to time. 6.12. To organize meetings, seminars, discussion and press conference to raise legal demands and fundamental rights provided by the `Constitution of India`. 6.13. To make best efforts to provide security, shelter, respect, employment and other required facilities to the prostitutes and their dependent children. 6.14. To open, found, establish, promote, set up, run, maintain and manage, Night/Day Shelters, Health Care Centers (MOTHER INDIA PARIVAR HEALTH POINT), Yoga Training Centers, Gymnasiums, Music and Dance Training Centers and other building/Institutions. 6.15. To take up effective but reasonable & lawful steps for eradication of social evils such as Dowry System, Child Marriage, Child Labor, Wastage of money in the various functions and use of intoxicated drugs/wine/smack etc. 6.16. To make adequate arrangements and start rehabilitation centers for destitute, widows, old men and women, poor, beggars, blinds, handicapped, deaf, dumb, mentally retarded and for other needy people. 6.17. To rehabilitate destitute women like young and old widows, unmarried mothers, victims of abduction and their dependent children through residential care and vocational training. 6.18. To approach and to encourage the people to donate Dhoties, Blankets, Rugs, Cloths and/or other articles of necessary and also provide the same to the needy men, women and children.

To help poor and indigent person in marriages of their sons and daughters by way of cash donation or otherwise and to distribute clothes, food and other necessaries of daily life amongst the poor, orphan and indigent persons. 6.20. To meet traveling, boarding and lodging expenses for students going abroad for higher education and help them, in all possible ways under the scheme MOTHER INDIA PARIVAR PRIVILEGE CARD. 6.21. To offer prizes, grant scholarship to deserving students, and also provide all possible facilities to the students who are interested to go abroad for higher education. 6.22. To provide information and education/useful knowledge and the medical advise, to general public regarding the vices of the Trust like Smack, Smoking, Use of Alcohol/wine, AIDS etc. through holding awareness camps for De-Addiction and also organize the lectures by expert team of doctors, Journalists, Advocates, professionals and other learned persons. 6.23. To open centers/institutes for diagnostic curative and research of Cancer, AIDS, T.B. and other deadly diseases. 6.24. To arrange and organize EYE and BLOOD donation camps all over in India and also in the other countries of the World under the scheme MOTHER INDIA PARIVAR PRIVILEGE CARD. 6.25. To revive and encourage the Indian Art, Culture and Literature. 6.26. To promote literacy, cultural and other social Activities by Awareness programmes, Adult Education Classes, Lectures, Essay Competitions Exhibitions, Symposiums, Cultural programs, press Conferences and Seminars. 6.27. To make adequate arrangements and start/run the rehabilitation centers for destitute, widows, old men & women, poor, handicapped, and for mentally retarded persons for their social upliftment. 6.28. To take-up effective, reasonable and lawful steps for the solution of the problems relating to the blind, handicapped, mentally retarded, deaf, dumb and other disabled, by providing them all required facilities. 6.29. To provide free legal, medical and socio-economic help/assistance to the poor and needy persons. 6.30. To conduct training and research programs for control of the pollution, polluted diseases and to maintain/develop/secure the Herbs, Forests, Environment, Species of Animals, Bird, Wild life etc.

6.31. To create a forum for Senior Citizens where they can exchange their various views and experiences, which may be, make available to younger generation. 6.32. To establish & manage various kinds of educational, cultural, social and welfare, vocational training centers in the field of Industrial Scientific, medical, technical, agricultural research training institutes to introduce and develop professional courses. 6.33. To establish and run orphanage centers crches for the children and working women and hostels for working women. 6.34. To provide and help/assistance to the physically handicapped people/children in respect of artificial limbs and to give them vocational training on different technical/nontechnical/professional/industrial and on the other subjects/fields which will make them independent. 6.35. To prepare the awareness generation kits posters, banners, Audiovideo Cassette, puppet shows, skits, documentaries etc regarding various social issues and for the attainment of the aims and objects of the above society. 6.36. To arrange and manage the training institutions in Typing, Short-Hand, Computer, Fine Arts, Crafts, Music, Painting, Modeling, Dancing, Yoga, physical Education and in other professional training subjects. 6.37. To approach the farmers and provide them the latest technology and the research information in the fields of agriculture for the betterment of farmers/agriculturists. 6.38. To make best efforts and organize various kinds of programs and/or activities relating to Family planning and to diffuse the useful knowledge about the medicines, equipment, method used for family planning also provide the Family Counseling facilities. 6.39. To give, provide and/or render monetary and/or other help and assistance for the relief of persons and animals affected by natural and other calamities such as flood, fire, famine, cyclone, earth quake, storm, accident, pestilence, drought, epidemic, unbearable cost of living and the like, to give donations, subscriptions or contributions to institutions, establishments, centers or persons doing relief work on such occasion. 6.40. To make arrangement for mobile emergency VAN/AMBULANCE for the victims of road accidents, to provide help to pregnant ladies to shift them to nearby hospital, also to provide assistance to the old people for the emergency.

6.41. To bring under productive use of the vast land through a massive programs of forestation and tree plantation. 6.42. To arrange welfare and research programs for the Indian public and also provide necessary help/assistance. 6.43. To promote establishment of centers for screening treatment and research of cancer patient and assist other organizations which are involved in the similar activities. 6.44. To establish, support, and grant aid and other financial assistance to Para-Medical Institution, Hospitals, Research laboratories and other research centers or and other scientific research institutes for development of the knowledge of human being in subject. 6.45. To establish, promote, set-up, maintain and held the institutions/hospitals for the purpose of spreading the sense/sex education and aids awareness among the common man to implement the schemes of sex education and aids prevention, organize sex education and aids awareness camps, circulate literature and educate the masses. 6.46. To give medical aid or any other relief to the public at large and in particular to the poor and the destitute persons of all casts and creeds and patients needing pathological investigation, establishing, arranging and running hospitals, dispensaries, clinics, laboratories, research centers and pharmacies in various parts of India. 6.47. To promote, advance and encourage and or aid in helping the common man from the abuse of drugs and formulate the schemes for ameliorating the drug addicts from the deadly mean of drugs. 6.48. Grant of medical help to the poor, and grant of medical help to persons effected during famine, floor, earthquake or any calamity or war of warlike operations. 6.49. To provide proper water for irrigation and dig of Wells/Canals to remove the scarcity of the water required by the farmer/agriculturists for tilling the land well in time. 6.50. To provide seeds/fertilizers to the farmer/agriculturists for growing the good-grains/flower etc and provide the same on competitive rates to the members. 6.51. To invest the Trust fund in the various Financial Gain projects/schemes for raising funds of the Trust to spend the same for the fulfillment of objects of the Trust. 6.52. Aims and objects of the Trust shall be purely for ` Charitable Purpose`.

6.53. To accept donations, grants, presents, gifts, and other offerings in the shape of movable or immovable properties for the attainment of the aims of the Trust. 6.54. To erect, construct, alter, maintain improve, develop, manage and control all or any part of the property or the building of the above society, necessary or convenient for the purpose of the attainment of the aims of the Trust. 6.55. To organize meetings, seminars, discussion and press conference to raise legal demands and fundamental rights provided by the `Constitution of India`. 6.56. To make best efforts to provide security, shelter, respect, employment and other required facilities to the prostitutes and their dependent children. 6.57. To collect information, Notices, Notifications, Policies from the Government, Semi Government, National/International Agencies and N.G.Os, and also provide the same to the members of the Trust and also to the general public. 6.58. To approach to the competent court/courts to safeguard the rights of the general public and for the public interests from time to time as the Trust may deem fit and proper. 6.59. To receive financial and non-financial assistance/loan from Govt. NonGovt. organization, International Agencies, Banks and any other legal entity or individual. 6.60. To accept donations, grants, presents, gifts, and other offerings in the shape of movable/immovable properties for the attainment of the aims and objects of the Trust. 6.61. To purchase/acquire the land and/or building in the name of the Trust for the upliftment and fulfillment of the aims and objects of the Trust. 6.62. To hold and manage the assets and properties acquired/inherited or purchased by the Trust as may be necessary or appropriate for the achievement of the objectives of the Trust. 6.63. To erect, construct, alter, maintain, sell, lease, mortgage, transfer, improve, develop, manage and control all or any part of property or building of the above Trust, necessary or convenient for the purpose of the attainment of the Aims and Objects of the Trust. 6.64. To publish Books, Charts, Illustrations, Journals, Magazines, periodicals, New Letters/papers and other publications in the different languages and on the different subjects.

6.65. To assist and co-operate the other Association, Trust and the various N.G.Os. Whose aims are same like this Trust. 6.66. To do such other things/acts/activities, which are, necessary and which may be incidental or conducive to the attainment of any of the objects of the Trust. 6.67. The activities and the branches shall spread all over in India and also in the different countries of World, where the Trust may decide from time to time. 6.68. Trust will invest its money and funds according to Section-11(5) of the Income Tax Act 1961. 7. The founder shall appoint any employee i.e. Manager, Supervisor, legal advisor and legal assistant, accountant, Treasurer, peon, Chowkidar etc. He has also the powers to terminate the services of any staff, as he may deem fit and proper for the benefit of the Trust. 8. During the lifetime of Founder, he can appoint his nominee and after his death the appoint, nominee and in case none is appointed then the legal heir will enjoy all the rights of founder as presently the Founder is enjoying. This process of nomination or successor shall continue until the working of the Trust. To repeat the Settlor or the nominees shall continue to hold all those powers at present enjoyed by the Settlor. 9. The founder shall appoint the sub-committee/ committees for different project i.e. Manav Mission and Manav shiksha etc. 10. The Founder (MR. BIDYADHAR PRADHAN) will be the absolute incharge of the Trust and will exercise all the Discretionary and Sovereign powers. It is hereby declared that no part of Trust property or its income shall be applied for any purpose other than the objects of the Trust as understood under the Income Tax Act, for the time being in force, and the surplus funds if any of the Trust shall be invested as per the provided the Income Tax Act. Number of the Trustees shall not be less than three and not more than twenty one. Trustees shall be the Trustees for their life time but any Trustee may resign by giving in writing to the Co-Trustees, Appointment of Trustees shall be only with the final approval of Settlor/his Nominees or the Successors.

13.The General management and control of the Trust properties and its affairs shall be vest in the Trustees and Trustees shall have power to do the all such acts as may be considered necessary for the benefit of the Trust and/or management of its properties and affairs. Veto power shall always remain with Settlor/founder, Nominees or Successors.

14.Rules and Regulation: These rules shall be called the rules of the Trust, which shall herein after be referred to as the rules of the trust. 15.The following shall be the authorities of the trust: a. Board of Management, b. Planning Committee, c. Finance Committee d. Advisory Committee e. Any such other Committees as may be deemed necessary by the board of management from time to time. 16. TERMS OF MEMBERSHIP OF THE TRUST: The trust shall be managed by managing trustee under the guidance of Board of Trustees. Other than board of management other trustees, if any, shall hold office for terms of three years and shall be eligible for re-appointment. Trustee for life shall be entitled to nominate their successors to office of a trustee and event of a vacancy arising in the office of a trustee for life, the managing trustee should nominate successor of the life trustee causing vacancy in his place. The managing trustee of the trust shall have, subject to the control, direction and superintendence of the board of trustees, all and every power for the purpose of managing, conducting and administering the affairs of the trust and the institutions and establishment, owned, run or conducted by the trust. The board of trustees shall be competent to transact every and all business by the majority. The managing trustee shall have casting vote. MEETINGS OF THE BOARD: a. That board of management shall meet at least two times in a year time to time or found by trust. Not less than 15 days notice shall be given of a meeting of the board of management. In case of urgency, the managing trustee may call the meeting by giving a notice of 24 hours. b. Each member of the above body including the chairman/managing trustee shall have one vote and decision at the meeting of the board shall be taken by majority. In case of a tie, the chairman shall have casting vote. c. Every meeting of the above body shall be prescribed over by the chairman and in his absence member respective to preside the meeting. d. Any business necessary may be carried out by circulatory an appropriate resolution among its member and resolution had been passed at the meeting of the board of the management.

FUNDS, ACCOUNTS, & AUDIT: a. The account of the trust shall be maintained in the name of the trust. The accounts of the trust shall be kept in such forms as may be laid down by the board of the management. It shall conform to the rules, if any prescribed by the respective governments. Wherever the accounts are opened and maintained. b. The funds of the trust shall be utilized solely for the purpose of the trust. c. Annual report and the audit reports shall be submitted to the board of the management within three months of the closure of the accounting year for the needful. BANKING NORMS: The bank account (Saving/Current) shall be opened in any nationalized bank/schedule bank and operated by joint / single signature of the Managing Trustee/ Settlor any one trustee authorized by the management of trust. 17. Without prejudice to any of the powers that the Trustees may have under any law for the time being in force or to their general powers for management, the Trustees shall have the following powers: A. To manage the Trust, the Trust fund, Trust property and other affairs relating to the Trust and to do all acts, deeds and things necessary for the preservation, maintenance and management thereof and the affairs relating thereto or connected therewith, including the making of Rules and Regulations from time to time. To apply any part of the Trust fund in acquiring movable and/or immovable properties and sell, mortgage, alienate or otherwise dispose offer the same as they may thing fit and proper. To take on rent or lease, purchase or construct building and to construct, add, alter demolish, maintain, sell, dispose offer, or otherwise deal with any property comprising the Trust Fund, for the achievement of objects of the Trust. To acquire purchase, very, sell convent, change, transfer, transpose or otherwise deal with all or any of the investments including shares, stocks, debentures, Govt. Securities belonging to the Trust or representing the Trust Fund and to re-invest the same as the Trustees may deem fit and proper in accordance with the provisions of Income Tax Act. To let out, demise any property comprised in the Trust fund for such period and at such rent discretion may think fit.

To apply and get registered under Section 80-G and 12-A, of the Income Tax Act. To accept donations, contributions, gifts and/or other grant-inaid either in money or in kind. To enter into any contract and borrow money from bank and any other source for the purposes of the Trust and management of its properties and assets. To open accounts and give directions to transfer, endorse and sign government securities, promissory notes, shares, debentures, securities, instruments etc. and all these accounts shall be operated by the Trustees jointly and/or severally as decided by them but the decision of the Founder/Nominees or the Successors shall be final. To appoint Sub-Trustee comprising for carrying out the objects and purposes of Trust and/or matters connected with the Trust and/or its affairs. To institute suits, actions and legal proceedings, to prefer appeals, to make applications or defend or compound, compromise, abandon, submit to arbitration or otherwise settle any suit, action claim, legal proceedings, appeal, demand or dispute relating to Trust. To apply to whole or any part of the Trust Fund ( corpus and/or income) or property for the objects and purposes of the Trust and to set apart the whole or part of the income of the corpus or part thereof for any of the objects of the Trust. To keep proper accounts of the Trust Fund and its property. To amalgamate the Trust with other institution, association, Trust, or organization having Public Charitable objects and purposes with the consent of two third of Trustees in writing. To nominee, appoint and constitute attorney(s), agents, legal practitioners etc. and to delegate the duties and powers vested in them (Trustees) with regard to the management of the Trust property including starting or defending of legal proceedings or for opening or operating upon accounts with any bank(s), person(s), Firm(s) or to do such other acts and duties relating to or connected with the Trust property as may be deemed necessary. To appoint/nominate patrons and to give such other designations to various persons extending help for the running or for the case of the Trust.

And generally to do all acts, deeds and things as may be necessary for administration of the Trust.

18.Trustees will not be entitled to receive the remuneration as Trustees but may reimburse themselves of all expenses actually incurred by them in connection with Trust or their dues thereto. 19.The Trustees may from time to time, frame Rules for the conduct of the administration of the Trust and regulating the meeting of Trustees. In the absence of such regulations:[I] [ii] all the matters will be decided by majority and the quorum for the meeting shall be two third. a resolution circulated to all Trustees and signed by the majority of such Trustees shall be as void and effectual as resolution duly passed at a meeting of the Trustees.

20.That regular accounts will be maintained relating to all receipts, payments, income, expenditure or any property or liabilities relating to the Trust. Further the accounts of the Trust will be audited by a qualified accountant. 21.At least 2/3rd Trustee of the Trust may decide dissolve the Trust and accordingly its dissolution may be given immediately, by a decision of the majority of members present or person or through their representatives be handed over to the Government for being given to some Trust/society/association having similar objective as for its uses in some public purpose. 22.The Board of Trustees shall be entitled to sue in the name of Trust and may similarly be sued in the name of Trust.
