TERMS AND CONDITIONS

1. ORDER CONFIRMATION AND PAYMENT: A Downpayment of 50% of the agreed rental is required upon confirmation. Balance shall be settled on or before scheduled installation. 2. RENTAL/ FABRICATION AGREEMENT: Lessee must complete and sign a rental agreement acknowledging these Terms & Conditions. A signed copy must then be given to the Lessee. 3. FABRICATION PERIOD: Regular Fabrication Period for special design is thirty (30) working days unless otherwise specified. 4. DESIGN & SPECIFICATION: Invex Inc. shall strive to deliver all items in accordance with specified design. However, should particular materials be unavailable and/or design not conforming to industry standards, we reserve the right to replace/revise the items in accordance to industry standards. 5. VALUE ADDED TAX: Price quoted is inclusive of 12% Value Added Tax. 6. PRICE ADJUSTMENT. Prices are based on the prevailing costs. Prices are subject to change due to circumventing events. 7. PRICE EFFECTIVITY. Prices indicated herein are effective for the period and term stated in this quotation. Lessee agrees to pay, according to contract terms, all charges and costs for the use thereof. If such terms are not indicated, prices shall only be confirmed after receipt of required down payment subject to item 4 above. 8. DELIVERY, SETUP, & PICK-UP: Delivery/Set-up time is based on standard time. However, we shall not be held liable for any delay caused by uncontrollable circumstances such as, but not limited to, fire, loss or delay in transit by carrier, labor disputes, weather conditions, and others as may considered force majeure. 9. INSPECTION: Lessee acknowledges that it has inspected the items to be rented under this rental agreement and has accepted such items in good working condition and repair at the time of its delivery, without any guarantee or warranty from Lessor. All items is rented on as is basis. After acceptance, and until returned to Lessor, Lessee agrees that Lessor shall have responsibility for any damage caused to or by the items. 10. DISCLAIMER OF WARRANTIES: Lessor shall not be responsible for any loss, damages or injury to Lessee or Lessees property in any way connected with the operation, use, defect in or failure of the items. 11. INDEMNITY: Lessee shall protect, hold harmless, and indemnify Lessor from and against any and all claims, damages, judgments, expenses (including attorneys fees) and losses of any nature in connection with, arising from or related to renting, condition, operation, and use of the items. Lessee agrees to provide Lessor with a complete report of any accident involving the items. 12. LOSS OR DAMAGES: Lessee shall not abuse or misuse the items. All risk of loss or damage to the items shall be born by Lessee, including those due to force majeure even if such has been caused by third parties. Lessees liability ceases with their return or upon collection of the items by Lessor. 13. LEASED ITEMS: All items supplied under lease remain the property of Invex Inc. 14. SUBLETTING: Lessee shall not sublet or assign this rental agreement or the items covered hereby except by written consent of Lessor. 15. REVISIONS AND CANCELLATION: Price quoted is per design and specification. Any changes or revisions shall be subject to price adjustments. For Special Designs, No changes or revisions shall be accepted fifteen (15) days prior to delivery date. Likewise, Any Cancellations made 14 days before date of delivery shall be subject to fifty (50%) cancellation fee. Any cancellations made thereafter shall be charged the full contract price. 16. LATE PAYMENT CHARGES: Payment not received within seven (7) days from agreed payment date shall be charged interest at the prevailing rate or 2% per month whichever is higher. Penalties shall be charged per month or fraction thereof. If the service of a lawyer is required, client shall also be charged for all legal charges incurred including reasonable attorney fees. 17. JURISDICTION: Invex Inc. reserves the right to enter the clients premises and take back in possession all items not totally paid for as per contract agreement. 18. DEFAULT: Upon the occurrence of any default by the Lessee in any of the terms or condition of the Rental Agreement, Lessor may, at its option and without notice or demand on Lessee, declare this rental agreement in default, whereupon all rights of the Lessee in the items shall terminate. Without limiting any of the Lessors, remedies upon default in the items shall be promptly surrendered to Lessor.
