OFFICIAL SWEEPSTAKES RULES. NO PURCHASE NECESSARY. SPONSOR: Sage Software, Inc., 6561 Irvine Center Drive, Irvine, CA 92618 (the Sponsor) ADMINISTRATOR: X! PROMOS LLC, 15375 Barranca Pkwy, #I-103, Irvine, CA 92618 (the Administrator). ELIGIBILITY: The Sage Summit Sweeten Your Stay Your Way Sweepstakes (the Sweepstakes) is open only to current Sage customers (those on a current maintenance plan) who have registered for Sage Summit 2013 by May 31, 2013 at 11:59pm ET and are at least twenty-one (21) years old at the time of entry and are legal residents of the United States (including the District of Columbia) and Canada. Limit one entry per customer. Employees of Sage Software, Inc., its wholesalers and distributors, resellers,affiliates, subsidiaries, advertising and promotion agencies, X! PROMOS LLC, and any other entity involved in the development or execution of the Sweepstakes, and the immediate family members and/or those living in the same household of each such employee are not eligible. The Sweepstakes is subject to all federal, provincial, state, and local laws and regulations and is void in Puerto Rico, the Province of Quebec, and where prohibited by law. AGREEMENT TO OFFICIAL RULES: Participation in the Sweepstakes constitutes entrants full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor and Administrator, which are binding and final. Winning a prize is contingent upon fulfilling in a timely manner all requirements set forth herein.

HOW TO ENTER: Between May 1, 2013, 12:01am ET and May 31, 2013, 11:59pm ET (the "Sweepstakes Period"), you are automatically entered into the Sweepstakes by completing the Sage Summit online early-bird registration located at [need URL]. All entries become the property of the Sponsor and will not be returned. ALTERNATE METHOD OF ENTRY: To enter to win without registering for Sage Summit 2013, mail a piece of paper with your name, customer number, address, and email address to: X! PROMOS LLC, Attn: Sage Summit Sweeten Your Stay Your Way Sweepstakes, 15375 Barranca Pkwy, #I-103, Irvine, CA 92618. All alternate entries must be postmarked by no later than May 21, 2013 and received by no later than May 31, 2013. Limit one (1) entry per person. Sponsor is not responsible for incomplete, invalid, or illegible entries, which will be disqualified. DRAWING One drawing will be conducted from all entries received during the Sweepstakes Period, on or about June 7, 2013. The odds of winning depend on the number of eligible entries received during the Sweepstakes Period. Prize Winners will be notified by email. Administrator will make up to three (3) attempts in a seven (7) day period to contact the winner via the email provided when registering for Sage Summit. If the winner is a Canadian resident, he/she will be required to correctly answer, without mechanical aid, a time limited mathematical skill testing question prior to verification and award of prize. After seven days, if the potential winner has not responded, or misses the skill testing question (if Canadian resident), he/she will be disqualified and an alternate winner will be chosen. PRIZES: Two (2) GRAND PRIZES: An upgrade to an executive suite at the Gaylord National Hotel in Washington DC for up to 3 nights during Sage Summit 2013. Approximate Retail Value (ARV): Seven hundred and fifty dollars ($750). Potential winners who do not have a room reservation at the Gaylord National Hotel at the time of the drawing will be considered ineligible and an alternate Grand Prize winner will be selected. The ineligible potential winner will receive their choice of a FIRST PRIZE in lieu of the GRAND PRIZE. Upgrade will apply only to the duration of the winners existing stay, up to 3 nights. Winner will not be compensated for any unused nights. Fifty (50) FIRST PRIZES: Choice of one of three prizes: (a) a $100 gift certificate to Relche Spa at the Gaylord National Hotel for services of the winners choice; (b) a $100 gift certificate to Pose Ultra Lounge and Nightclub at the Gaylord National Hotel; or (C) reservations for two for the DC@Night tour, leaving from and returning to the Gaylord National Hotel (ARV:$100). Fifty (50) SECOND PRIZES: A pair of boxed Sprinkles cupcakes, delivered to the Gaylord National Hotel during Sage Summit 2013 (ARV: $8). Any incremental costs become the responsibility and liability of the winner. Prizes are non-transferable and no substitutions or cash redemptions will be permitted, except at the sole discretion of Sponsor. Prize

usage/reservations are subject to availability during Sage Summit 2013. Total value of all prizes: Six thousand three hundred sixty dollars ($6,360). GENERAL: Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, or communications line failure which may occur during the Sweepstakes. By accepting a Prize, Winner agrees to allow the use of Prize Winners name, address, photograph, statements, likeness and/or voice, in perpetuity, in all media now known and hereinafter developed (including without limitation print, broadcast and Internet) for all legitimate business purposes including without limitation advertising, promotional activities, and publicity without additional compensation, unless prohibited by law. Winner will execute any and all documents reasonably requested to evidence such consent. By accepting a Prize, Winner agrees to release and hold Sponsor, its wholesalers, distributors, subsidiaries, affiliates, directors, officers, agents, employees, advertising and promotion agencies, and X! PROMOS LLC harmless from any and all damages, costs, liabilities, or claims, with respect to, or in any way arising from the Sweepstakes or the acceptance and/or use/misuse of the Prize. Under no circumstances will any entrant be permitted to obtain awards for, and entrants waive all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses. All causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action. Any use of robotic, automatic, programmed or the like methods of participation will void all such submissions by such methods. Sponsor reserves the right to prohibit the participation of an entrant if fraud or tampering is suspected or if the entrant fails to comply with any provision in these Official Sweepstakes Rules. Sponsor reserves the right, in its sole discretion, to cancel or suspend the online Sweepstakes and award the Prizes in a random drawing from all eligible entries received prior to such action, should causes beyond the control of Sponsor corrupt the administration, security or proper play of the Sweepstakes. This Sweepstakes is being administered by X! PROMOS, LLC (Administrator), an independent judging organization, whose decision in all matters shall be final. This Sweepstakes will be governed by the laws of the state of California without regard to conflict of law principles, and by entering you consent to jurisdiction and venue in the courts of the state of California. PRIVACY: Sponsor and/or Administrator may collect the names, addresses, phone numbers and email addresses of entrants, including the Prize Winners. Sponsor and/or Administrator may use this information to administer participation in the Sweepstakes.
