The Client is engaging BEMJAKE as an independent contractor for the specific project of designing and developing a website to be uploaded on the Client's web host. The Client hereby authorizes BEMJAKE to access this account, and authorizes the web hosting service to provide them with "write permission" for the client's web hosting cPanel, webpage directory, databases, and any other directories or programs which need to be accessed for this project. The Client also authorizes BEMJAKE to publicize their completed website to web search engines, as well as other Web directories and indexes which will benefit the client. 2. All of the contents of the web pages will be supplied by the Client. This website includes dynamic data driven web pages with CMS feature. 3. BEMJAKE will shoulder a shared web hosting and initial domain registration services for the first year. 4. BEMJAKE and the Client must work together to complete the website in a timely manner. BEMJAKE agrees to work expeditiously to complete the website within a reasonable period of time from date of initial payment and after Clients submission to him of all necessary materials for the completion of the project.

5. Fees to BEMJAKE are due and payable on the following schedule: 50% before the start of the project, 50% when the web pages have been completed according to the Client's original specifications. 6. There shall be no charges to the Client for corrections made necessary by errors on the part of BEMJAKE. Maintenance and updates on the website, including revision of obsolete textual information and replacement of out dated images, shall be free of charge. The Client shall be responsible for making additional payments for any Client's alterations and any other changes in original assignment requested by the Client such as enhancements to the originally contracted project. 7. The Client represents to BEMJAKE and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to him for inclusion in web pages are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend them from any claim or suit arising from the use of such elements furnished by the Client. 8. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The Client agrees that the he is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend BEMJAKE from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce. 9. The Client will indemnify BEMJAKE against all claims and expenses arising from uses for which the Client does not have rights to or authority to use. The Client will be responsible for payment of special licensing or royalty fees resulting from the use of programs that require such payments. Price and Payments The Client need to pay 50% of the total amount of this project, the remaining balance of 50% will be given upon the completion of the project. We will start the project immediately upon receiving of the initial payment.
