LEAVE AND LICENCE AGREEMENT THIS AGREEMENT is made and entered into at Mumbai on this 1st day of August

2012, BETWEEN MR. JAFFER SHAIKH S/O. KHUTUBUDDIN SHAIKH, an adult , Indian Inhabitant of Mumbai, hereinafter referred to as the LICENSOR (which expression shall mean and include his heirs, executors, administrators and assigns) of the

ONE PART; AND MR. NANDKUMAR RAJ S/O. OF MANOHAR RAJ , an Adult, Indian Inhabitant, residing at C/12, Durga Ashram, Tilak Ngr, Sakinaka, Andheri E , Mumbai 400072,here after referred to as the LICENSEE(which expression unless repungnant to the context or meaning there of shall mean and include his heirs, executors,administrators and assigns) of the OTHER PART,WHEREAS the licensor is the owner of or otherwise well and sufficiently seized and possessed a room no. 65, situated at the Gulshan society, Tilak nagar, sakinaka, Mumbai-400072, hereinafter , referred to as the said shop/ room for the sake of bravity. And WHEREAS on the request of the Licensee , the licensor had agreed to allow and permit the Licensee to use and occupy the said premises on temporary basis for business purpose on the terms and conditions mutually set out as appears here in below : 1. The Licensor has handed over to the Licensee the said premises on or before the execution hereof on Leave and License basis for his own for a temporary period of Eleven months commencing from 01.08.2012 to 30.06.2013. 2. That the License have paid a sum of Rs.30,000/- ( Rupees Thirty thousand only) bring the security deposit in respect of the said premises and shall be refundable at the time of expiry of this agreement without any interest. That the License hereby agreed to pay the amount of Rs. 7200 ( Rupees Nine thousand five hundred only.) per month being the monthly compensation in every month in advance to the Licensor/ owner

That over and above the license fee the Licensee shall pay the undermentioned outgoings regularly.

Shall pay the remuneration charges regularly. Shall pay the Electricity/ Telephone (if available) charges as per the his consumptions / bill directly to the authority concerned during the tenure of this agreement. Shall be responsible for the payment of wages/ salaries to his employees/ staff and for which the Licensor shall not be involved. shall be responsible for the payment of all the taxes levied by the authority concerned regarding his business and for the same the Licensor shall not be involved. The Licensee shall not let, sub-let the said premises to any person or persons and shall not jeopardized the rights of the Licensor in any manner whatsoever.

The Licensee shall also liable to pay and make the good the Losses or damages if any caused to the said premises during the course of this Agreement.

The License can be revoked or determined sooner by one month's notice in writing given by the Licensor / Licensee desiring to terminate this Agreement before expiry.

Nothing herein contained shall create any tenancy or any other rights, title or interest in the said premises in favour of the Licensee.

Previous Agreement between the parties hereto, if any, stands cancelled and security deposit amount duly refunded by the Licensor to the licensee
