AGREEMENT OF COOPERATION Between Universidad Argentina de la Empresa (UADE), and Manipal University, Manipal, Karnataka, India THIS AGREEMENT is made by and between Universidad Argentina de la Empresa (UADE), Buenos Aires - Argentina, herein represented by Dr. Ricardo Orosco in the capacity of Rector, of the University, domiciled at Lima 717, Buenos Aires, and Manipal University, represented by Dr. H Vinod Bhat in the capacity Pro Vice Chancellor domiciled at Manipal, Karnataka India, with the purpose of establishing cooperation relationships between both institutions, leading towards the promotion of the academic and cultural exchange through mutual assistance in the field of teaching and research, as follows:

ARTICLE I SCOPE OF COOPERATION The cooperation areas, which are subject to mutual consent, include any program offered in the institutions which either of them may deem convenient and feasible, both parties contributing to the promotion and development of the cooperative relationships between both Institutions. The assistance provided by each party will consist of teaching, research, faculty and student exchange and staff development, etc., in case both institutions consider them beneficial.

ARTICLE II AREAS OF COOPERATION The two institutions agree to foster the following types of activities: a) Faculty Exchange/Visiting Professors/Lecturers Each home institution will welcome visiting faculty members from the other institution. Neither institution is obliged to provide financial support for such visitors, but agree to provide office space, library privileges and other normal assistance. Each institution will provide assistance

with immigration formalities in support of academic activities and information regarding suitable accommodation. b) Student Exchanges Every year, each institution may nominate its students, at either the undergraduate or graduate level, to spend an academic year or part of an academic year (one semester) at the other institution. In the case of an academic stay of one year, a student can also obtain the host institutions diploma if all of the requirements are met. The host institution reserves the right to reject any student not considered appropriate. Students participating in an exchange will pay tuition at their home institution. No tuition fees will be required of exchange students at the host institution, except for materials, fees and the like. If a student withdraws from the program prematurely, the applicable withdrawal and refund policies of the student's home institution shall apply. Travel arrangements, expenses, and acquisition of all necessary student visas, residence permits, health insurance coverage and the like are the responsibility of each exchange student. The full range of services normally available to foreign students enrolled at the host institution shall be provided to an exchange student. Residence accommodation will be provided, subject to availability, at normal standard fees. c) The organization of other Academic Activities

The two institutions agree to co-operate in the development of other academic activities such as: i) ii) iii) iv) v) the exchange of scientific, technical and other data, visiting scholar programs, student exchange programs, research projects of mutual interest, the holdings of symposia, conferences, workshops or other meetings on topics of mutual interests. ARTICLE III TYPE, REVIEW, TERM AND AMENDMENT Both parties shall remain independent entities and shall keep their independence and autonomy during the validity of this agreement. This current agreement does not involve exclusiveness commitments, and thus it will not prevent each party from freely carrying out activities or collaborating with other institutions/organizations.

This agreement shall remain in effect for five (5) years, and the parties can terminate such agreement without cause. Such termination by one institution shall be effected by giving the other institution at least three (3) months advance written notice of its intention to terminate. This Agreement may be amended by entering into a new agreement.

ARTICLE IV GOVERNING LAW. JURISDICTION This Agreement shall be interpreted and construed according to, and governed by, the law of the place where the cause of action so arises. In the event any dispute or controversy arising out of or relating to this Agreement, the parties agree to exercise their best efforts to resolve the dispute as soon as possible. In the event that the parties cannot by exercise of their best efforts resolve the dispute, they shall submit the same to the jurisdictional courts of the country upon mutual discussion, on occurrence of the dispute.
