Communications Communications concerning this Request for Proposal (RFP) should be communicated by email to Nalco Champions Global Security Director, Sid Crews, at sid.crews@champ-tech.com. Submitting a Proposal Nalco Champion must receive PSC proposals NLT 23 AUGUST 2013. Proposals shall be limited to fifty (50) pages in length; double-sided, excluding cover sheets, financials, and equipment specifications and diagrams. Proposals must be in MS Word and/or Excel (where applicable). Proposals must be delivered by email to sid.crews@champ-tech.com. Emails larger than 4MB must be sent in parts with an indication of the number of emails sent, e.g., part 1 of 3 emails, part 2 of 3 emails, etc. PSCs may also, but are not required to, submit a paper copy of their proposal to: Nalco Champion ATTN: Sid Crews, Global Security Department 3200 SW Freeway, Suite 2700 Houston, Texas, 77027 In lieu of sending paper copies of proposals to the address above, PSCs may bring a paper copy of their proposal to the proposal conference to be held in Dubai on 21 AUGUST 2013. SECTION 2 NOTICE
Nalco Champion, an Ecolab company, provides technology leadership and dedicated customer service that allows us to help solve the oil and gas industry's toughest challenges. We develop unique, targeted products and solutions to meet customer needs and to optimize oil and gas production around the globe. Nalco Champion is soliciting proposals from qualified Private Security Companies (PSC) to provide security services, i.e., static security and Personal Security Detail (PSD) / Armed Protection Team (APT) support (Services) to Nalco Champion (Nalco Gulf Limited). Questions regarding this RFP package should be directed to Nalco Champions Global Security Director (sid.crews@champ-tech.com) to NLT 15 AUGUST 2013. A proposal conference will be held at Nalco Champions office in Dubai on 21 AUGUST 2013 at 1000 hrs (10AM) UAE Time Zone (UTC+04:00). Attendance by PSCs is encouraged, but not mandatory. PSCs may also call in at a phone number to be provided later. PSCs planning to attend the conference should RSVP to Nalco Champions Global Security Director NLT 07 AUGUST 2013. Nalco Champion will evaluate the proposals and notify PSCs of the outcome NLT 13 SEPTEMBER 2013. All PSCs will be informed regarding the outcome. Nalco Champions decisions regarding the award of this contract are final. Nalco Champion reserves the right to reject any and/or all proposals, or to accept any proposal that is deemed to be more advantageous to Nalco Champion.

SECTION 3 GENERAL
1. Terms Of Agreement 1.1. All PSCs submitting proposals should be prepared to enter a Master Services Agreement (MSA), manage, and perform the Services therein. 1.2. No franchising, assignment, or distribution of Services shall be permitted unless the subcontracting relationship is proposed under this RFP and accepted by Nalco Champion. 1.3. Nalco Champion intends to enter into the MSA with the selected PSC beginning approximately 20 SEPTEMBER 2013, and continuing for a period of 18 months. Nalco Champion and the PSC may mutually agree to extend the contract for three (3) additional one-year periods up to and including 20 MARCH 2018. 1.4. Nalco Champion may terminate the MSA if Nalco Champion determines in its reasonable discretion that the PSC has failed to fully and punctually perform the Services per the MSA and fails to commence and continue with reasonable diligence to remedy such default upon notice from Nalco Champion. 1.4.1.An example of reasonable discretion includes, but is not limited to, the PSC persistently or repeatedly refusing or failing (except when extension of time, in writing, is provided) to supply enough properly skilled personnel or proper materials for timely execution requested Services. If the PSC fails to correct such conditions within seven (7) days of written receipt of notice thereof from Nalco Champion, Nalco Champion may immediately terminate the MSA (including any and all Work Orders thereunder). 2. Minimum PSC Qualifications 2.1. PSCs must be responsible firms that have been in continuous existence and have provided similar Services continuously for at least three (3) years. Nalco Champion will eliminate PSCs with less than the minimum required experience from further consideration. 2.2. PSCs shall have a detailed knowledge of, and proven compliance with, PSC regulatory requirements of the Government of Iraq (GoI), Ministry of Interior (MoI), etc., as necessary. 2.3. PSCs shall be duly licensed in Iraq to provide Services. Should a PSC fail to comply with GoI / MoI licensing and performance requirements, the PSC will be eliminated from further consideration. 2.4. PSCs shall be able to operate in Basra, Dhi Qar, and Maysan Provinces (Nalco Champions primary business areas) and should be able to obtain movement orders

for travel to other locations, e.g., Baghdad and Wasit, as required. The workload outside of the three primary Provinces will be approximately three (3) to four (4) weeks per year. 2.5. PSCs shall be certified to enter and provide Services in the Southern Iraq oilfields, e.g., Rumaila, Majnoon, West Qurna, etc. Proposals should indicate all fields in which the PSC is certified to enter and operate. PSCs shall provide evidence that they can renew their license, i.e. evidence of doing so in the past. 2.6. PSCs shall maintain the required documents to pass through checkpoints in a reasonable amount of time, i.e., with as little delay as possible. 2.7. PSCs must agree to comply with Nalco Champions policies and ethics standards, operate within the GoIs rule of law, and adhere to international standards as outlined in: 2.7.1.The Universal Declaration of Human Rights 2.7.2.The Montreux Document 2.7.3.Voluntary Principles on Security and Human Rights 3. Proposal Content And Submission 3.1. Proposals shall contain all required information and be in the format outlined in Section 5 Proposal Submittal. 3.2. An electronic copy of proposals shall be submitted NLT 23 AUGUST 2013. Send electronic copies to Nalco Champions Global Security Director at sid.crews@champtech.com. 3.3. A paper copy of proposals may be, but are not required to be, submitted NLT 23 AUGUST 2013. Proposal evaluation criteria are outlined in Section 6 Evaluation Criteria. 4.2. Nalco Champion will consider all documents, the response to this RFP, information gained while evaluating responses, and other relevant information to make its determination. Nalco Champion will select the PSC who, in Nalco Champions sole opinion, is best able to provide Services according to Nalco Champions needs.

5. Additional Information 5.1. Neither interpretation of the meaning of any provision in this RFP, nor correction of any apparent ambiguity, inconsistency, error, or any other matter pertaining to this RFP shall be made to the PSC orally. Every request for interpretation or additional information regarding this RFP shall be made via email to Nalco Champions Global Security Director. The deadline for questions shall be 15 AUGUST 2013. Nalco Champion shall not be obligated to respond to requests for such interpretation or correction. By submitting a proposal, PSCs acknowledge they have viewed all materials, including any addenda to this RFP. 5.2. PSCs, or their agents, are instructed not to contact Nalco Champion selection committee members in any way, other than through the instructions contained herein, from the date of release of this RFP to the date of execution of the Agreement resulting from this solicitation. Nalco Champion, in its sole discretion, may disqualify PSCs in violation of this paragraph. 5.3. Nalco Champion reserves the right to cancel or modify the terms of this RFP at any time. Nalco Champion will provide PSCs with notice of the cancellation or modification. 5.4. Should it be necessary, Nalco Champion shall notify those PSCs to be given further consideration of additional interview requirements to facilitate Nalco Champions final decision. The interview requirements and format will be provided to the finalists in advance. 5.5. PSCs may coordinate with Nalco Champion to visit work sites and take such other steps as may be reasonably necessary to ascertain the nature and location of the work, character of the site, scope of performance requirements, and other general and local conditions that may reasonably be projected to exist at the commencement of Services. Failure to do so shall not relieve PSCs from responsibility of accurately estimating the degree of difficulty and costs of successfully performing the assigned tasks. Nalco Champion assumes no responsibility for any representation concerning the nature of the work or the working conditions made by its officers, agents, or employees; unless committed in writing in the MSA by a person appropriately authorized.

Communications and Intelligence (C3I) center and be capable of tracking the PSCs mobile security teams at all times. 1.9. The PSC shall demonstrate a reliable method of collecting, analyzing, and disseminating threat and tactical intelligence and shall provide Nalco Champions Global Security Director with threat intelligence summaries not less than once per week. 2. Plans, Standard Operating Procedures, and Training Requirements 2.1. The PSC shall develop, and update as necessary, written Standard Operating Procedures (SOP) to govern the performance of tasks / duties. SOPs should include, but are not limited to: 2.1.1. 2.1.2. 2.1.3. 2.1.4. 2.1.5. 2.1.6. 2.1.7. 2.1.8. 2.1.9. Use of Force / Rules of Engagement Team and Individual Responsibilities Communications Vehicle Operations Weapons Handling Training Battle Drills, e.g., React to Contact, etc. Operations Security (OPSEC) Medical Evacuation (MEDEVAC)
2.2. Plans should include Tactics, Techniques, and Procedures (TTP) that are commensurate with standard practices used throughout the industry in Iraq. 2.3. Plans and TTPs shall be written, and PSC employees providing Services shall read, understand, and be regularly drilled on the PSC plans and TTPs. 2.4. The PSC shall develop and implement training plans to ensure all of their employees are trained to respond to security or other emergency situations. The PSC shall maintain training records on all of its employees providing Services. Training records should include, but are not limited to: 2.4.1. 2.4.2. 2.4.3. 2.4.4. Close Protection Training Weapons Training Drivers Training Medical Training
2.5. The PSC should be prepared to provide security training and induction including Hostile Environment Awareness Training (HEAT) for all expats to which Services are provided. 3. Mobile Security/Personal Security Detail (PSD) 3.1. Unless otherwise coordinated, as a minimum, the configuration found in the table below shall be employed for mobile security operations. As necessary, the PSC should be able to alter mobile security configurations, i.e., add additional B6 armored vehicles if

necessary to meet the security standards of Nalco Champions supported customers, e.g., Shell, BP, etc.

3.2. The PSD shall be comprised of at least six (6) individuals who have formal training in Close Protection Services. 3.3. The PSD Team Leader (PSDTL) shall be a fluent English speaking, competent individual with previous military/Close Protection experience of at least 5 years and previous Iraq operational experience. 3.4. The PSD Team Medic (PSDTM) shall be a fluent English speaking, competent individual with previous military/Close Protection experience of at least 5 years and it is preferable, but not essential to have previous operational experience. At a minimum, PSDTMs shall possess Basic Life Support (BLS) certification (or equivalent) and Advanced Life/Cardiac Support (ALS or ACLS) certification or equivalent. PSCs should demonstrate level of PSDTM training and proficiency maintenance plans in their response to this RFP. 3.4.1. As a minimum, the PSDTM shall maintain an aid bag similar to the Combat Lifesaver (CLS) bag used by the U.S. military (see Enclosure 1 - Example CLS Bag Packing List). 3.5. PSD drivers/operators shall have previous military/law enforcement/Close Protection experience. They shall have received formal driver training to ensure that the level of driving competence is adequate and acceptable to Nalco Champions standards. They shall have a working knowledge of the English language and at least one of the four shall be proficient enough in the English language that he can translate for the PSD and Nalco Champion personnel if required. 3.6. Each PSD shall carry sufficient ancillary equipment as needed to carry out their operational task. This shall include, but is not limited to: 3.6.1. One (1) torch / flashlight (Maglite or equivalent) per PSD member. 3.6.2. One (1) x Strobe light (firefly) and Identification Air Marker Panel per PSD vehicle. 3.6.3. Two (2) x Global Positioning Systems (GPS) (one that is continually one and one on standby per PSD vehicle). At least one (1) must be a handheld GPS (Garmin, Etrex or equivalent).

4. Communications and Tracking 4.1. All PSD vehicles shall be fitted with the appropriate communications to enable interteam communications (VHF Motorola or equivalent) and at least one vehicle per team shall have communications to allow communications back to an Operations Center (OPCEN) / Tactical Operations Center (TOC) that functions 24/7. 4.2. The PSC shall supply a suitable In Vehicle Monitoring System (IVMS) to continually track all PSD movements from the OPCEN/TOC. 4.3. All PSD movements shall be continually monitored, and the PSD shall be capable of activating a duress alarm by pressing a button. 5. Weapons and Ammunition 5.1. PSC personnel shall be provided with military style rifles such as, but not limited to: M4, AK-47, QBZ-95, FAMAS, Heckler & Koch G36, Enfield SA80, etc. Team members shall also be provided a personal protection weapon, which is to be a handgun, such as, but not limited to: Sig Sauer 226, Glock 19, Beretta 92, CZ 99, etc. 5.2. PSC personnel shall be armed with like weapons, i.e., weapons shall have compatible magazine and ammunition types, i.e., all PSD team members shall be armed with identical weapons systems. 5.3. PSC personnel shall not be armed with weapons with which they are not familiar or qualified to proficiently use under stress, i.e., if attacked. 5.4. PSC personnel shall be issued with sufficient magazines to be capable of rotating their use and allowing the spring to be rested for a minimum period of seven (7) days within every twenty-eight (28) day period. 5.5. PSC personnel shall be briefed on approved Rules of Engagement (ROE) / Rules of Use of Force (RUF) before being issued weapons, before every shift (guard mount), and before every movement as a part of PSD route briefings. 5.6. PSC personnel shall be equipped with a minimum of six (6) 30-round magazines and shall always have a minimum of four (4) fully loaded with ammunition ready for use in rifles. 5.7. PSC personnel shall only use weapons that are provided by the PSC (no privately owned weapons). 5.8. Weapons shall be inspected as necessary to ensure proper maintenance. When not in use, weapons shall be secured in a manner that prevents their theft. 5.9. A written report shall be prepared and filed on the discharge of any weapon (intentional or accidental) while providing protection to Nalco Champion personnel, except for authorized and supervised training.

5.10. PSC personnel shall ensure compliance with all GoI requirements for the procurement, accounting, and storage of weapons and ammunition. 5.11. Weapons and ammunition shall be recorded in the PSCs property book and registered appropriately with Iraqi authorities. 5.12. All deployed weapons on task shall to be registered with the GoI as part of the licensing compliance process. Weapons cards shall be carried as necessary/required. 5.13. The PSC shall not to have other weapons such as, but not limited to, grenades or rocket propelled grenades. 5.14. Ammunition shall only be issued under proper supervision for authorized purposes. 5.15. PSC personnel shall account for issued ammunition immediately upon completion of duty. Any ammunition unaccounted for should be the subject of a report regarding its disposition. 6. Ballistic Protective Equipment 6.1. The PSC shall provide sufficient Ballistic Protective Equipment (BPE) for all staff and clients. 6.2. The PSC shall supply Nalco Champion personnel with Level III-A BPE with front and back shock plates, i.e. ceramic/Kevlar trauma plates. The PSC shall supply Kevlar helmets. 6.3. BPE shall be manufactured and certified to the US National Institute of Justice (NIJ) Standard 0101.03. 6.4. BPE shall be worn when the tactical situation dictates it, this will include during all movements outside of approved, secure, static locations. BPE shall fit the individual as intended by the manufacturer, e.g., large individuals will not be provided with small BPE that does not fully protect vital organs, etc. 7. Vehicles and Vehicle Maintenance 7.1. Vehicles that carry Nalco Champion personnel shall be armored to NIJ III/European B6 standards. 7.2. All vehicles shall be mechanically sound and shall be fitted with run flat tires. 7.3. All vehicles (armored and non-armored) shall not be over 4 years old or exceed 100,000 km. 7.4. All vehicles shall be equipped with ancillary equipment required for operational tasks. This may include, but is not limited to, fire blankets, fire extinguishers, towropes, jacks, axes, crowbars, shovels, sledgehammers, hooligan bars and other means of manual

extraction. These items shall be supplied as standard and a minimum of two (2) spare tires shall be supplied per vehicle. 7.5. All vehicles shall show proper registrations in accordance with Iraqi authority requirements. 7.6. All cargo areas shall be physically separated by a mesh or solid barrier capable of containing and restraining any objects within the cargo area in the event of a collision or rollover. 7.7. The PSC shall conduct daily preventive maintenance service checks (PMCS) on all security vehicles prior to the first journey of the day. The PSC shall maintain PMCS checklists and maintenance logs to be made available to Nalco Champion upon request. 8. Static Security Forces 8.1. Armed, static security forces are required at all static locations where Nalco Champion personnel will work, or are accommodated for extended periods. The permanent Nalco Champion base will most likely be located in the contractor camps area on Artawi road in North Rumaila; however, a final decision has not been made. 8.2. Static site security forces shall be in place 24/7 and meet commonly recognized security industry standards.
NOTE: For the purpose of this RFP, PSCs should provide cost estimates to provide static security 24/7 at a total of nine (9) guard posts, i.e., four (4) tower guards; three (3) access control point guards; one (1) roving guard; and one (1) guard shift supervisor. The actual number of guards required will depend on Nalco Champions final decision regarding permanent basing locations, threat profiles, etc.
8.3. PSC static security plans shall document the numbers, roles, and responsibilities of the site security team. This includes the shift supervisor, access control guards, and roving patrol guards. The PSC shall be required to provide and train additional personnel to act as replacement security assets when necessary. PSC shall provide Nalco Champion with this information prior to assigning any new personnel. 8.4. Static security forces shall have basic security training to include: 8.4.1. The care and use of weapons. No person shall be placed on security duty unless they have completed weapons training within the past 12 months. 8.4.2. Areas of responsibility and authority of security personnel, particularly on the use of force in Iraq. 8.4.3. Access control procedures. 8.4.4. Recognition and response to Improvised Explosive Devices (IED). 8.4.5. The location and use of first aid and fire-control equipment. 8.4.6. Duties in case of emergencies such as alerts, fires, explosions, and civil disturbances. 8.4.7. Common forms of sabotage and espionage activity. 8.4.8. The location of hazardous and vulnerable equipment and material.

9. PSC Facility Security 9.1. If Nalco Champion chooses to base at a PSC safe house / secure villa, the PSC shall provide adequate physical security system (PSS) components to deter, detect, delay, assess, and respond to potential threats to a facility. Note: PSS components may vary greatly depending upon the function and location of a facility. It is expected that the PSC will conduct vulnerability assessments on facilities and mitigate PSS vulnerabilities where possible. 9.2. Security system components at a facility should include, but are not limited to: 9.2.1. Barriers (berms, Hesco barriers, fences, ditches, concrete T walls, Jersey barriers, hardened access control points, etc.) 9.2.2. Illumination and video surveillance (CCTV) systems 9.2.3. Guard watch towers 9.2.4. Patrol routes on foot and mobile patrols as required 9.2.5. Communications 9.2.6. Personnel weapons and ammunition storage 9.3. Facility security procedures shall include: 9.3.1. 9.3.2. 9.3.3. 9.3.4. 10. Audits 10.1. Nalco Champion reserves the right to audit PSCs in its Service with no or minimal notification. 10.2. Nalco Champion will use the Example PSC Audit Checklist (see Enclosure 2 PSC Audit Checklist) in the conduct of audits. 3. Experience of Proposed Personnel 3.1. Provide the names and a description of the past performance and experience (CVs / resumes) of proposed key personnel, e.g., on-site supervisors, PSD Team Leaders, Lead Trainers, etc. 3.2. Include an organizational chart showing the personnel responsible for the management and supervision of the contract. 4. Experience of PSC 4.1. Provide a detailed narrative of past and current contracts that illustrate ability to perform and deliver Services. 4.2. Provide a list all pertinent certifications. 4.3. Provide an administration plan, i.e., description of office support, e.g., hours of operation, on-call staff, and location, etc., for offices supporting Services in Iraq. 5. Cost Disclosure 5.1. Provide all cost data relating to the performance of Services. Cost data should be provided in line-item format 5.2. Provide a description of the billing process to be used, including a sample invoice. 6. Business References 6.1. Provide a minimum of three references from past and current contracts that illustrates ability to perform and deliver the Services required herein, including name of company, location of contract, term of contract, annual dollar amount of contract, contact name and phone number. 6.2. Provide information regarding insurance carrier and agency contact. 6.3. Provide any additional pertinent information that Nalco Champion should consider.

Does the PSC conduct routine inspections of weapons to ensure proper maintenance? Does the PSC provide sufficient Ballistic Protective Equipment (BPE) for its employees and clients? o Level III-A BPE (to NIJ Standard 0101.03) with front and back ceramic/Kevlar shock plates.
Are all security vehicles (armored and unarmored) less than four (4) years old and do they have less than 100,000 km. Are all security vehicles mechanically sound and equipped with run flat tires? Are all security vehicles equipped with adequate ancillary equipment such as towropes, jacks, crowbars, axes, shovels, etc. that can be used for manual extraction? Are all security vehicles equipped with a minimum of two (2) spare tires? Does the PSC conduct daily preventive maintenance service checks (PMCS) on all vehicles prior to the first journey of the day? Are PMCS checklists and logs kept? Does the PSC provide 24/7 static security forces at all facilities where clients are meeting, accommodated, etc.? Do static security forces receive adequate security training? o o o o o Roles and responsibilities. Care and use of weapons. Access control. IED recognition. Location and use of first aid and fire control equipment.
Are PSC facilities provided with adequate physical security system (PSS) components to deter, detect, delay, assess, and respond to potential threats? Note: PSS components may vary greatly depending upon the function and location of the facility. It is expected that the PSC completes vulnerability assessments on its facilities and mitigates vulnerabilities identified with PSS where possible. o o o Barriers to provide buffer zones for IEDs (berms, Hesco barriers, fences, ditches, concrete T-walls, Jersey barriers, hardened access control points, etc.) Illumination and video surveillance (CCTV) systems. Guard watchtowers.
