PARTNERSHIP AGREEMENT OF BUTIK RAJA SEHARI

The parties hereby form a partnership under the name of business Butik Raja Sehari to provide wedding dress rental service.

1. Term The Partnership shall begin on 1/10/2013 and shall continue until terminated.

2. Capital The capital of partnership shall be contributed in cash by the partners as follows: Muhammad Amzar Asmara RM 10,000 Siti Qadizah Muhammad RM 10,000 Sakinah Takin RM 10,0000 A separate capital account shall be maintained each partner. Neither partner shall withdraw any part of their capital account

Upon the demand of ether partner, the capital accounts of the partner shall be maintained at all times in the proportions in which the partners share in the profits and losses of the partnership. No partner may withdraw capital from partnership without the consent of the other partner.

3. Profit And Loss. The net profits of the partnership shall be divided equally between partners and the net losses shall be borne equally. A separate income account shall be maintained for each partner. Partnership profits and losses shall be charged or credited to the separate income account of each partner. If a partner has no credit balance on their income account, losses shall be charged to their capital account.

4. Salaries All partners will be given salary RM 1000/month.

5. Interest All partner will charged interest of 8% on Capital Contribution, 10% on Withdrawal.

6. Management duties and Restrictions The partners shall have equal right (active partner) in the management of the partnership business, and each partner shall devote their entire time to conduct of the business. Without the consent of the other partner neither partner shall on behalf of the partnership borrow or lent money, or make, deliver, or accept any commercial paper, or execute ant mortgage, security agreement, bond, or lease, or purchase or contract to purchase, or sell or contract to sell any property for or of the partnership other than the type of property nought and sold in the regular course of its business.

7. Banking All funds of the partnership shall be deposited in its name in such checking account or account as shall be designated by the partners. All withdrawals therefrom are to be made upon checks signed by either partner.

8. Books The Partnership books shall be maintained at the principal office of the partnership, and each partner shall at all times have access thereto. The books shall kept on a fiscal year basis, and shall be closed and balanced at the end of each financial year. An audit shall be made as of the closing date.

9. Voluntary Termination The partnership may be dissolved at any time by agreement of all partners, in which event the partners shall proceed with reasonable promptness to liquidate the business of the partnership. The asset, name of the business shall be sold and distributed in the following order:

To pay or provide for the payment of all partnership liabilities and liquidating expenses and obligations.

10. Death or Illness If death/illness of either partner the dead partner shall automatically be expelled from the partnership and the surviving partner has no right to take or use capital or any assets has been contributed from the dead partner. All the assets or capital shall be given to the family of the dead partner. The surviving partner has right to rebuild all the terms and condition of partnership upon the death of either partner.

11. Arbitration Any controversy of claim arising out or relating to this agreement/partners or the breach hereof, shall be settled by arbitration in accordance with the rules, then obtaining, of the Malaysian Partnership Rules and judgement upon the award rendered may be entered in court having jurisdiction thereof. IN WITNESS WHEREOF, The partners have executed this Agreement on this 30/6/2013.

Raja sehari is a start up rental wedding dress shop and its located in 1borneo Kota Kinabalu sabah. Raja sehari expects is to catch the interest of a regular loyal costumer. Base with its board variety of wedding dresses. The company plan to build a strong market position in the town. Due to the partners industry,experience and mild competitive climate in the area.

THE COMPANY It is equally owned and maned by its three partners. Mr, Amzar Bin Asmara has extensive experience in working as a manager within 10 years and also a holder of Diploma in Accountancy and Bachelor in Business Management. Mrs Sakinah takin bering experience in the area of finance and currently working as a auditor in CIMB bank kota kinabalu and also a holder of Diploma Accountancy And Bachelor in Accountancy. Mrs siti qadizah is currently working in FOS Sdn Bhd as a fashion designer. Diploma in Accountancy and Bachelor Holder.
