ACCOUNTING SERVICES AGREEMENT

This Accounting Services Agreement ("Agreement") is made as of the 10th day of June, 2013 by and between John Louie O. Esguerra (Contractor) and Marketall Trading Co. (Client). Both parties have discussed and agreed with the following: 1. Services: The contractor shall perform the accounting services summarized below: a. Preparation of Annual Audited Financial Statements in accordance with applicable Accounting Standards (IFRS) and Generally Accepted Accounting Principles (GAAP) unless otherwise requested by the Client. b. Preparation of the Monthly Statement of Financial Position (Balance sheet), Financial Performance (Income Statement) and Statement of Cash Flow in accordance with applicable Accounting Standards (IFRS) and Generally Accepted Accounting Principles (GAAP) unless otherwise requested by the Client. c. Determination of the monthly and quarterly Output Vat Payable and preparation of its corresponding forms (2550M and 2550Q) d. Determination and preparation of the Quarterly Income tax and Annual Income tax of Mr/Mrs. Proprietor. (1701Q and 1701) e. Preparation of the necessary forms and determination of the corresponding amount to be remitted to the Bureau of Internal Revenue (BIR) for Withholding Taxes on Compensation (1601-C), Final Tax (1601-F) and Expanded (1601-E), if any. f. Preparation of the necessary forms and corresponding amount to be remitted to the Social Security Service and Philippine Health Insurance Corporation, if any.

g. Sorting and Recording of clients Business Documents in the Journal Ledger and General Journal provided by the BIR. h. Perform Consultation to client for any question/query that may arise in its day to day transaction, including assistance to client in matter of government compliance such as BIR, LGUs and SEC. 2. Deadline for Completion of Services: a. The deadline for the preparation and submission of the Monthly Balance Sheet, Income Statement and Cash Flow Statement is on the 15th of the succeeding month. b. Schedules needed to prepare such reports shall be submitted by the client on or before 5th day following the close of the taxable month. 3. Payment of Services: a. Monthly payment of Five Thousand Pesos (P5,000.00) for the services rendered shall be paid on every 15th of the succeeding month. b. The preparation of the Annual Audited Financial Statements and Annual Income Tax Return shall have an additional lump sum fee of Ten Thousand Pesos (P10,000.00). c. Other service that is not enumerated above will be charge according to the extent of services rendered. 4. Term of Agreement:

a. The agreement shall take effect starting on June 2013 and shall continue indefinitely. However, the
contract may be discharged at any time at the discretion of either party.

b. The contract shall be discharged and will no longer bind both parties exactly one month after date when either of the party has informed the other.

5. Others:

a. In the event that the Client shall fail to pay any periodic payment due hereunder, the Contractor may cease to perform his obligations without any penalty for non-performance thereof. b. The Contractor shall not be liable for any delay due to circumstances beyond its control. c. The Contractor and the Client has no Employer-Employee relationship. d. Any changes to this contract shall be reviewed first by both parties and signed before taking effect. e. Neither the Contractor nor the Client may assign this Agreement without prior written consent from the other party. f. The heading of the sections herein are for convenience only, and shall not affect the meaning of the provisions of this agreement.

g. This Agreement constitutes the entire agreement between the Client and the Contractor, and shall supersede any prior understanding or representation of any kind preceding the date of this agreement. There are no other promises, conditions, understandings, or other agreement, whether oral or written, relating to the subject matter of this agreement.
