W I T N E S S E T H THAT
WHEREAS, the SELLER is the absolute and registered owner of the motor

WHEREAS, the SELLER desires to sell to the BUYER and the BUYER is
willing to buy from the SELLER the above-described Vehicle subject to the
terms and conditions as set forth below:
NOW, THEREFORE, for and in consideration of the total sum of
PHILIPPINE PESOS: _______ (PhP _______), the SELLER agrees to SELL,
TRANSFER, CEDE and CONVEY unto the BUYER, the above described Vehicle
free from all liens and encumbrances of whatever nature, subject to the
following terms and conditions:

Upon receipt of the last and final installment, the SELLER shall
automatically execute the Final Deed of Absolute Sale in favor of the BUYER
and subsequently deliver to the BUYER the titles over the Vehicle free from
all liens and encumbrances of whatever nature.
Failure on the part of the BUYER to comply with the above schedule of
payments shall nullify and void this Contract to Sell and shall further result
in the forfeiture in favor of the SELLER of the down payment in the amount
of PHILIPPINE PESOS: ____________ (PhP ______________).
Failure on the part of the SELLER to deliver the title over the
Vehicle
from all liens and encumbrances shall likewise nullify and void this Contract
to Sell and SELLER shall be obliged to return any and all amounts received
to the BUYER.
2- Payment for the capital gains or withholding tax and value added tax on the
sale shall be for the exclusive account of the SELLER, whereas, the
registration fee, transfer tax, documentary stamp tax and notarial fees
shall be for the account of the BUYER.
