M/S Vafxpress Universal Services Ltd (hereinafter called as the company) has described some of the following terms and conditions to the party who wants to act as a Area Franchisee of the company (hereinafter called as The applicant(s)), 1. The company appoints the Area Franchisee to generate Service Agencies and customers for the sale of the shopping card supplied by it and to develop/establish the services of the company Vafxpress. So the applicant(s) shall accept to work for all the services which are currently provided by the company and in the future. 2. The applicant(s)s firm name should been registered as Proprietor ship / Partnership also under with service tax act and has to fulfill all requirements. The applicant(s) should provide a Land Line number and Bank Current Account number which are registered in the name of registered firm. 3. The applicant(s) who wants to act as a Area Franchisee has to pay only Rs.2500/- for Activation plus Registration fees which will not be paid back to the party at anyway and has to pay refundable* deposit (*On condition of The area franchisee should have been worked for the company at least minimum of 6 months ). The applicant(s) should have their own office (may be rented) in minimum 200 - 800 Sq.ft. area with Telephone & Internet facility available on the easily approachable location/road. 4. The performer as Area Franchisee will be fully responsible to bear all liabilities such as office expenses, premises, telephone bills, electricity bills, staff salaries, service tax & any type of Government dues etc. company will not be responsible for any liability pertaining to applicant(s)s office for violation of any Act/Rules/Regulations of Central/State Government. 5. The applicant(s) should have accomplished the appointment of Service Agencies at their relevant area completely within 10 days from the date of joining. The applicant(s) for the Area Franchisee should regularly generate new customers from the Service Agencies recommended by him/her and should develop the turn over from his/her area gradually. 6. In the situation of non development of appointing Service Agencies or in the sales, The Franchisee shall be terminated immediately without any benefits from the company. 7. The Applicant(s) Shall raise the bills including service tax in their own name to their customers and in any circumstances they Should not submit the bills in the name of VAFXPRESS UNIVERSAL SERVICES Ltd. The applicant(s) being an self-governing authority shall be responsible for command of his/her franchisee & work, applicant(s) will only claim third party commission, and applicant(s) shall have no administrative relation with the company. 8. The applicant(s) should ensure that the genuine service will be provided to the customers from their franchisee without any conflict at any time. The amounts which will be collecting from the customers should not greater than the amount fixed by the Company for the particular process at anyway. The applicant(s) should not reveal any individual offers to the customers of the company apart from the official offers of the company. The applicant can do minimum cash loading of 5,000 VAFMONEY for Xpress A/c from its related higher franchisees & has to maintain the same. 9. The applicant(s) should have the contacts & obtain Cash Loading facilities from the relevant higher Franchisee only, not from other Franchisees; if not so the authorization will not be remained in the future. In case of the applicant(s) is not able to get any Co-operation from the relevant higher Franchisee who can have the contacts with the related superior Franchisee after once the authorization granted by the Company. 10. The applicant(s) cannot change/sell/transfer in the name of their agency to any other third party once it is registered in a name. The applicant(s) cannot open any addition branch or agency than one place without the knowledge of the company. The applicant(s) has to obtain prior permission in the case of, shifting of office to any other place. Once a mobile number is registered for any franchisee on registration which cannot be changed other time. If there any situation when need to do so the particular agency will be charged for Rs.250 for the new Mobile number registration. 11. The Commissions and the Tariffs are variable. When needed any commission or any tariff can be changed in the future by the company without any forecasting to any other franchisee, due to the company has full rights. The Applicant(s) shall have the full responsibility for the Booking & Delivery of the company as per our Service List Only. The franchisee should concentrate on booking or delivery of the courier & cargo services to the customers without any delay. 12. The applicant(s) should give the assurance to the company that there will not be any damage/delay for courier and parcel on booking or delivery to the customers. The applicant(s) of the franchisee is the full responsible for the damage/delay in the Courier and Cargo service of the company if anything occurred in their particular area. The applicant(s) should indicate Air/Cargo/Surface instructions clearly on parcel. 13. The applicant(s) shall exclusively engage in the sale of the companys products to the best of their efforts and shall not engage in the sale of similar or identical products of other companies as well as the applicant(s) should publish the local advertisement of the companys products at his/her own cost and expense by advertisements in newspapers, journals, magazines, cinema slides or by any other means. However, the company may give major advertisement at its own Costs at its discretion whether in newspapers, journals, cinema slides or by any other means and shall indicate the name of the Applicant(s) for servicing Service Agencies & customers. 14. If the activities of the Applicant(s)s may cause any losses to the company the concerned penalty or compensation will be charged from the Applicant(s)s anyway. The applicant(s) should have the responsibility on daily sale of the company. The applicant(s) should have the ability of solving doubts and problems from the downline Service Agencies or customers at any time without any conflict and give the good service to them at all times. 15. The applicant(s) can clear their doubts and clarifications either by emailing to enquiry@vafxpress.org or sending courier to the companys address. 16. All the legal activities on the company are subjected to the Tiruvarur Judicial court only. That the Tiruvarur courts will have the sole and exclusive jurisdiction of decide the issues in dispute between the Applicant(s) and The organization which is related to.
