TERMS AND CONDITIONS OF APPROVAL AS TM GROUP REGISTERED SUPPLIER 1. TERM & CONDITION OF APPROVAL

1.1 The approval by TM as TM Group Registered Supplier is given/issued based on the information provided by the Company. 1.2 The Company shall ensure that any changes/amendments to the information provided is informed to TM within ten (10) days from the date of the said changes/amendment. 1.3 The Company shall promptly supply/provide all information within the specified period whenever required by TM. 1.4 Failure by the Company to comply with para 1.2 and/or 1.3 above, will result in TM exercising its right under para 1.6 and para 2 below. 1.5 The Company is under an obligation to ensure that the product category that has been registered for and specified in this Acknowledgement of Registration shall not be the same as or redundant to the product category that has been approved for another company of similar owner/board of director that has already been registered as TM Group Registered Supplier. 1.6 TM reserves the right to revoke/suspend/blacklist the registration of a Company as TM Group Registered Vendor without any prior notice if it is found that: 1.6.1 the information provided by the Company is incorrect/untrue/false; and/or 1.6.2 the Company is in breach of any contracts with TM Group of companies ("TM Group"). 2. SUSPENSION/REVOCATION/BLACKLISTING OF REGISTRATION

2.1 The Company registration as TM Group Registered Supplier may be suspended/revoked/ blacklisted if found that: 2.1.1 the Company/owner/shareholders/directors is/are involved, charged and found guilty in any illegal/criminal activities; 2.1.2 the Company withdraws the offer before the Tender/Quotation is being considered by TM or rejects any offer from TM Group; 2.1.3 the Company fails to perform in accordance with any contract signed with the Government of Malaysia or with TM Group; 2.1.4 the Company amend/modify TM's approval letter or the Acknowledgement of Registration with the intention of fraud or any other like matter; 2.1.5 the Company allows this Acknowledgement of Registration to be misused by any individual or any other company; 2.1.6 the Company acts against the expressed policies and instruction of TM; and/or 2.1.7 the Company makes a price dealing (cartel) with other companies when entering a Tender/Quotation. 2.2 Notwithstanding the above, TM has the right in its sale and absolute discretion and without any liability to cancel/revoke the Company's registration as TM Group Registered Supplier at any time without having to assign any reason by a written notice to the Company. 3. RENEWAL OF REGISTRATION 3.1 A Company shall make an application to renew its registration within THREE (3) months before the expiry date specified in the Acknowledgement of Registration ("Expiry Date"). 3.2 Any application received after the Expiry Date will be considered as a new application. 4. PARTICIPATION OF TENDER / QUOTATION 4.1 Any tender and Quotation notices are advertised in TM's homepage at http://www.tm.com.my
