LEASE AGREEMENT

This lease agreement is made on this 1st day of January 2007 between,

(i) Daraya Singh, Village- Moresi, P.O.,-Dhangaon, 10th millestone, Mathura-


Bharatpur(NH-33), Dt.-Mathura, Pin-281003(up) hereninafter referred to as the
“LEASOR”, Which expression shall, unless it be repugenant to the context or
meaning thereof, mean the include is respective legal heirs representatives,
execututors, adiministrators and assigns of the FIRST PART.

And

(II) Sri subhas Chandra Das , Son of Late B.N. Das Project manager of M/S.
Associated Transrail Structures Ltd., Which expression shall, unless it be
repugnant to the context or meaning thereof, mean the include his/her respective
legal heirs representatives, executors, administrators and assigns of the ONE
PARTand ATSL, a company incorporated under the companises act, 1956 having its
registered office at 7th Floor, Neptune Towers, Productivity road Alkapuri, Baroda,
Gujrat-390007, hereinafter referred to as a “ LEASEE”Which expression shall it be
repugnant to the context or meaning therof, mean and include its title and assigns
of the SECOND PART.

AND WHEREAS the FIRST PART is the legal and the beneficial owner of and is
otherewise well and sufficiently entitled to the land situated at bvillage – moresi,
p.O. –Dhangaon, Khata No. 00099/00063/00068, Mouja-Moresi, Village Sl. No.-
07010200082, Pargana-Mathura, Tahesil-Sadar,Dt.-Mathura, Pin-281003(UP.), beside
MATHURA-BHARATPUR Rd., 10 th km . milestone hereinafter referred to as the ‘said
land’.

AND WHEREAS the SECOND PART, being in need of an accommodation for store use
for the construction material for construction of 400 kv D/C Agra- Bhiwadi power
Transmission line, approached FIRST PART with a request to permit the SECOND
PART to occupy the said land on rent for a temporary period and purpose of offer for
intital period of 24 months commencing from 1 st January 2007.

AND WHEREAS the FRIST PARA has aggred to allow the SECOND PART to use and
occupy the said land for the above said initial period of 24 months.

NOW THIS AGREEMENT WITESSETH AND IT IS HEREBY AGREED BY AND BETWEEN


THE PARTIES HERETO AS UNDER.

1. That the FIRST PART hereby graints to the SECOND PART,To enter into and use
and remain in the side land along with the existing feature and that tha
SECOND PART shall be entitled to peaceful position and enjoyment of the sais
land for store, and the other rights herein, without an interruption from the
FIRST PART. Or by any third party.
2. That the agreement hereby granted shall unless cancelled earlier under any
provision of this agreement, remain in force an initial period of 24 months and
may be renewed thereafter on mutual agreed terms.
3. That the SECOND PART retains the option to terminate this lease by giving
one month notice in Writing to the FIRST PART or by paying one month’s rent
lieu of the said notice period . However considering the weight & quantity of
the store material the FIRST PART does not retain the option to terminate the
lease before 24 months period.
4. That the SECOND PART shall have nom right to create any Sub-lease or
assignment or transfer in any manner of this or lease or gibe to any one the
position of the said land or any part thereof .
5. That the SECOND PART shall not use or permit to used the said land for any
illegal or improper or as publice land and shall not knowingly do, cause , permit
or suffer upon the said land or any part therefore anything which may be or
become a nuisance or annoyance or cause damage to or prejudicially affect the
interest of the FIRST PART Or any other neighboring occupiers.

6. Leasee shall have right to suitably name the premises and make suitable
displayof the name plate for the entire portion of the premises leased to them.
7. RENT & RENEWAL DEPOSIT.

(a) That in consideration of use of the said land the SECOND PART agrees that
they shall pay to the FIRST PART during the period of this agreement, an yearly
rent at the rate of Rs. 10,000/-(Ten thousand only ) per year.The amount will be
paid initially for six months (Rs. 5,000/-) thereafter at three months interval
after expiry of initial six month. One the3 7 th month 2 nd installment will be
paid for next three months & 3rd installment will be paid one months no. 10th for
next three month and so on (Rs. 2,500/- per three month).
(b) The aforesaid rent will be renewed and increased (@ 10%) after the end of 24
calendar months from the date of agreement of renwel.
(c) That the FIRST PART shall be responsible for the payment of all existing and
future taxes and levies pertaining to the said land including but not limited to
Property Tax, other cesses, if any , and oter Statutory Taxes , levied by the land
Revenue Department, U.P. and or other Government Departments or any oter
competent authorities during the term of this agreement. The FIRST PART
shall comply with all rules, regulations and requirements of any statutory
authority, the Land Revenue Department and other Government authority in
relation to the said premises.

IN WITNESS WHEREOF the parties hereto have set their hands on the day
and year first herein above mentioned.
