LEASE AGREEMENT This agreement of lease/tenancy was made at Lahore on 30 June 2012 but reduced into writing on the

th 06 day of July, 2012 BETWEEN 1. Dr.Syed Sajjad Haider, Owner/Member (A.O.P) of Symans Tower, 25 Lower Mall, Lahore CNIC No.35201-1548934-1 (hereinafter called the LESSOR, which expression shall include successors, attorneys, representatives and assignees of the Lessor). AND 2. The Directorate General Katchi Abadis, Colonies Department, Board of Revenue, Punjab, Lahore through its Assistant Director (Accounts), Muhammad Naeem Hanif, CNIC No. 35103-1379976-1 (hereinafter called the LESSEE, which expression shall include successors, representatives and assignees of the Lessee).

Whereas the Lessor is the absolute owner of the office space/premises named Symans Tower Complex, situated at 25-Lower Mall, Lahore (hereinafter referred to as the premises/property) comprising 18 rooms (3 double rooms & 12 single rooms), one lounge, a library, corridors, open to sky, balconies and a passenger as well as a service lift installed. All rooms have attached washrooms and fitted with large wooden cupboards and cabinets. One room is fitted with computer counters and can be used as central computer room. Emergency exit stairs are at the back, and huge parking space in the basement for about 50 vehicles and motorcycles. Premises is fitted with a three phase electricity meter, separate borehole for groundwater, fully functional sewerage network and suigas connection installed and functional at the premises; And whereas the Lessor has agreed to lease out/lent on rent the said premises to the Lessee; And the Lessee has agreed to take the said premises on lease/rental basis at the monthly rent of st Rs. 200,000/- (Rupees Two Lac) commencing from 1 July 2012 on the following terms and conditions. 1. That the Lessee will pay the agreed monthly rent @ Rs. 200,000/- (Rupees Two Lac) on biannually basis within 5 days of the start of each half of the year. The first biannual rent amounting st Rs.1,200,000/- (Rupees Twelve Lac), for the first half commencing from 1 July 2012 and ending on st 31 December, 2012, will be paid within one month of taking possession of the premises or as soon as the budget in that respect becomes available with the Lessee from Government of the Punjab. That the Lessor shall handover vacant possession of the premises in good functional condition and shall carry out all necessary repairs and maintenance works as well as refurbishing of the premises to make it suitable for usage by the lessee. That the Lessee shall use the premises for the office and the office related purposes only and will not sublet the premises to any other person, party, agency, authority or department. That the Lessee shall not use the premises for any commercial activity other than for office use. If the premises are used for any such purpose, then the penalty on such activity will be the responsibility of the Lessee.

That the Lessee will not make any alterations or additional construction (except minor makeshift partitions or functional adjustments) in the premises without prior permission from the Lessor in writing. That the Lessee shall pay all the utilities charges on account of electricity, suigas, water, sanitation, TV Cable charges and telephone etc. in accordance with the mutually agreed arrangements in this regard. For the shared utilities, the Lessee shall pay his share of billing and for other facilities, the Lessee shall pay the charges direct to the concerned agencies. The Lessee shall provide copies of the paid up bills to the Lessor every month or as and when requested/demanded by him. The Lessee shall not create any permanent liability, charge or encumbrances on the property and shall clear all liabilities at the time of expiry of the lease agreement. That this agreement of Lease will be valid for a period of one year only. It will come into effect on 01.07.2012 and will cease to exist on 30.06.2013. However, it will be renewable for a mutually agreed period subject to the written consent of both the parties. There shall be an increase in the rent @ 10% percent over the current rent after each year and the renewal of lease/rent agreement will be subject to this increase. That both the parties have the option to terminate this lease agreement by providing one month notice in advance to other party or payment of equivalent rental amount in case of immediate termination of the lease agreement without notice. That the Lessee will not cause any intentional or wilful damage to the premises or any structures. In case any damage is caused to the premises or its fittings and fixtures etc., due to the negligence of the Lessee or by his employees, the Lessee shall get the same repaired at his own cost to the entire satisfaction of the Lessor. That there are no outstanding utility bills against the said premises and the Lessor has cleared all the outstanding bills/dues etc. If any government dues/bills are outstanding prior to taking over the possession of the premises by the Lessee, the Lessor will be bound to pay/clear the same and if they are not paid, the Lessee shall have the right to make deduction of the same from out of the advanced biannual rent. That payment of the property tax and all other government dues chargeable to the premises will be the responsibility of the Lessor. However, the Lessee will inform the Lessor promptly as and when any tax notice is received by him. That the Lessee shall deliver peaceful and vacant possession of the premises after expiry of the lease period or the extended lease period, as the case may be, in good and the same condition on which it was taken on rent. That the inventory of fittings and fixtures at the premises, belonging to the Lessor, has been prepared and signed by both parties. The last paid up bills and current meter readings of the electricity, suigas, water and sewerage etc. have been noted down by both parties and the payment thereof w.e.f 01.07.2012 shall be the responsibility of the Lessee, till the installation of separate meters That the Lessee will not use and will not allow the premises to be used for any anti-state, subversive, unethical, immoral, trade union, partisan and political activities. That the Lessor will be responsible to carry out all necessary annual repairs and maintenance works including distemper, paint, and whitewash, replacement of worn out fittings etc., and the Lessee shall facilitate the Lessor in carrying out such works without any hindrance or resistance. Any additional works of construction, alteration and modifications, as per requirements of the Lessee, may be arranged by the Lessor on the mutually agreed terms. In case of any dispute between the parties with respect to this agreement of lease or interpretation of any terms thereof, the matter will be referred to the Member (Colonies) as an arbitrator, whose decision shall be final and binding on both the parties without prejudice.

18. If the Lessee gets the separate meters installed, then electricity, suigas and water charges will be according to meter readings, else they will be on sharing basis. The Lessor will facilitate the Lessee in installing separate meters/connections. The Lessor and Lessee acknowledge that they have carefully read and understood their commitments under this rent agreement and agree to abide by all the terms and conditions thereof. In witness whereof the parties have set and subscribed their respective hands on this day, month and year mentioned above at Lahore in the presence of the following witnesses.
