SPECIAL WARRANTY DEED

THIS INDENTURE, made and entered into this

ftJ day of April, 2007, by and between

LOEB BROS. REALTY, L.P., a Tennessee limited partnership (hereinafter referred to as "Granter"), and QUALITY MEMPHIS PROPERTIES, LLC, a Minnesota limited liability company (hereinafter referred to as "Grantee").
WITNESSETH: that for and in consideration of Ten Dollars ($10.00), cash in hand paid,

and other good and valuable consideration, the receipt of all of which is hereby acknowledged, Granter has bargained and sold and does hereby bargain, sell, convey and confirm unto Grantee the following described real estate, situated and being in the City of Memphis, County of Shelby, State of Tennessee: SEE EXHIBIT A ATTACHED HERETO AND INCORPORATED HEREIN BY REFERENCE This is the same property conveyed to South Willett, a Tennessee general partnership, by Warranty Deed of record at Instrument Number LE 0890 in the Register's Office of Shelby County, Tennessee. South Willett, a Tennessee general partnership, merged into Loeb Bros. Realty, a Tennessee general partnership, as evidenced by that General Partnership Statement of Merger dated July 1, 2002 and recorded in the Register's Office ofShelbyCounty, Tennessee under Instrument No. 021 17279. Loeb Bros. Realty, a Tennessee general partnership, was converted to Loeb Bros. Realty, L.P. as evidenced by that Certificate of Limited Partnership of Loeb Bros. Realty, L.P. dated January 1, 2003 and recorded in said Register's Office under Instrument No. 02222344.
TO HAVE AND TO HOLD the aforesaid real estate, together with all the appurtenances

and hereditaments thereunto belonging or in anywise appertaining unto Grantee and its successors and assigns in fee simple forever. Granter does hereby covenant with Grantee that it is lawfully seized in fee of the aforedescribed real estate; that it has a good right to sell and convey the same; that the same is

unencumbered, except for 2007 City of Memphis and Shelby County taxes, not yet due and payable, which Grantee assumes and agrees to pay, and subdivision restrictions, building lines and easements of record in Plat Book 65, Page 6 and Plat Book 32, Page 33 in the Register's Office of Shelby County, Tennessee, and easements in Book 1532 Page 308, Book 4008 Page 235, Book 4008 Page 241, and Book 4483 Page 340 in said Register's Office, and that the title and quiet possession thereto it will warrant and forever defend against the lawful claims of all persons claiming by, through, or under it, but not further or otherwise.
