AGREEMENT OF SALE THIS AGREEMENT OF SALE is made and executed on XXXXXXXXXXX this day of XXXXXX, TWO THOUSAND FOURTEEN

(XX-XX-2014), at Jigani, Anekal Taluk, Bangalore Urban District. BETWEEN : Mr. N. RAGHAVENDRA S/o G. Narayana Reddy, aged about 28 years, residing at Kamblipura Village, Attibele Hobli, Anekal Taluk, Bangalore. HEREIN AFTER called the VENDOR (Which expression, shall unless excluded by or repugnant to the context be deemed to include his heirs, executors, administrators, representatives, successors in interest or assignees) of the ONE PART :

HEREIN AFTER called the DEVELOPER/ CONFIRMING PARTY (Which expression, shall unless, excluded by or repugnant to the context be deemed to include by its executors, administrators, representatives, successors in interest or assignees) of the ONE PART :

IN FAVOUR OF : Sri. XXXXX S/o, XXXXX aged about XX years, residing at # XXXXXXXXXXX XXXXXXXXXXXXXXXXXXXXXX, XXXXXXXXXXXXXXXXXXX XXXXXXX, Bangalore-560 0XX.

HEREIN AFTER called the PURCHASER (which expression shall unless excluded by or repugnant to the context be deemed to include his heirs, executors, administrators, representatives, successors in interest, assignees or nominees) of the OTHER PART ; is as follows:

The Vendor herein has purchased Sy. No. 36/6 of Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Sri. Ramachandrappa and two children under a regd. sale deed dated : 1511-2012 and the said sale deed is regd. as document No. ABL 1 04853 of Book I, year 2012 2013, stored in CD No. ABL D127, dated : 16-112012, in the Office of Sub-Registrar, Attibele, Anekal Taluk.

The Vendor herein has purchased Sy. No. 37/3B of Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Smt. Chikkamuniyamma and her sons under a regd. sale deed dated : 8-112012 and the said sale deed is regd. as document No. ABL 1 04925 of Book I, year 2012 2013, stored in CD No. ABL D125, dated : 8-11-2012, in the Office of Sub-Registrar, Attibele, Anekal Taluk. The Vendor herein has purchased Sy. No. 37/4 of Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Sri. Venkataramanappa under a regd. sale deed dated : 28-2-2011 and the said sale deed is regd. as document No. JGN 1 04907 of Book I, year 2012 2013, stored in CD No. JGN D136, dated : 28-2-2011, in the Office of Sub-Registrar, Jigani, Anekal Taluk. The Vendor herein has purchased Sy No. 38/2A of Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Smt. Yellamma and her children under a regd. sale deed dated : 4-2-2013 and the said sale deed is regd. as document No. ABL 1 06773 of Book I, year 2012 2013, stored in CD No. ABL D139, dated : 4-2-2013, in the Office of Sub-Registrar, Attibele, Anekal Taluk.

The Vendor herein has purchased Sy. No. 38/2B of Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Smt. Munivenkatamma and others under a regd. sale deed dated : 6-3-2013 and the said sale deed is regd. as document No. ABL 1 07586 of Book I, year 2012 - 2013, stored in CD No. ABL D143, dated : 6-3-2013, in the Office of Sub-Registrar, Attibele. a) The Vendor herein has purchased portions of Sy. No. 39/1 of

Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Smt. Venkatamma under a regd. sale deed dated : 13-92006 and the said sale deed is regd. as document No. ANKL 1 20543 of Book I, year 2006 2007, stored in CD No. ANKL D159, dated : 13-92006, in the Office of Sub-Registrar, Anekal. b) The Vendor herein has purchased portions of Sy. No. 39/1, of

Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Sri. M. Venkataswamy under a regd. sale deed dated : 139-2006 and the said sale deed is regd. as document No. ANKL 1 20535 of Book I, year 2006 2007, stored in CD No. ANKL D159, dated : 13-9-2006, in the Office of Sub-Registrar, Anekal.

The Vendor herein has purchased portions of Sy. No. 39/1 of

Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Sri. Krishna Reddy under a regd. sale deed dated : 13-92006 and the said sale deed is regd. as document No. ANKL 1 20534 of Book I, year 2006 2007, stored in CD No. ANKL D159, dated : 13-92006, in the Office of Sub-Registrar, Anekal.

The Vendor herein has purchased portions of Sy. No. 39/2 of Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Smt.Ramakka and her son under a regd. sale deed dated : 23-12-2006 and the said sale deed is regd. as document No. ANK 1 29912-06/07 of Book I, year 2006 2007, stored in CD No. ANKD 184, in the Office of Sub-Registrar, Anekal. The Vendor herein has purchased 0.11 Guntas of Sy. No. 39/2 of Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, from Sri.N.Marappa and his brothers under a regd. sale deed dated : 30-12-2010 and the said sale deed is regd. as document No. JGN 103937-2010-11 of Book I, year 20102011, stored in CD No. JGND 124, in the Office of Sub-Registrar, Anekal. WHEREAS the above said properties are adjacent to each other and forms a composite Geographical area. WHEREAS after purchase of above said properties the Vendor above named with a view to develop the above said properties for its better utilization got approval for formation of a residential layout, out of the above said properties from the Bangalore Metropolitan Region Development Authority as per Approval No. BMRDA / LAO/ APL/ 116/ 2012 2013, dated : 10-4-2013, and also got Release Order for sale of sites formed thereon.

WHEREAS the Vendor formed a residential layout in the above said properties and named it as SARK GREEN FIELDS.

WHEREAS the vendor have offered for sale of one such residential Site No. XX formed in the above said layout, which is morefully described in the schedule hereunder and herein after called the SCHEDULE PROPERTY. The abovesaid property is morefully described in the schedule hereunder and hereinafter called the schedule property. WHEREAS the Purchaser with a desire and intent to purchase the Schedule Property having actually seen and inspected the same and having pursued all the available documents with the Vendors and it is learnt that the vendors herein, are prima-facie owners of the same with a clear and marketable title to the same, has offered to purchase the same for valuable sale consideration. AND WHEREAS the Vendors on being so approached by the purchaser has agreed to sell the Schedule Property free from all encumbrances, charges, attachments, liabilities, minor claims,

whatsoever, for want of funds for their family necessities and other commitments. AND WHEREAS the Purchaser has agreed to purchase the same subject to the terms and conditions contained herein.

NOW AGREEMENT TO SALE WITNESSETH AND IT IS MUTUALLY HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS :

That the VENDOR and DEVELOPER / CONFIRMING PARTY

hereby jointly agreed to sell and PURCHASER agrees to purchase ALL THAT PIECE AND PARCEL OF PROPERTY BEARING residential Site No. XX, (formed out of residential converted Sy. No. 36/6, Sy. No. 37/3B, Sy. No. 37/4, Sy. No. 38/2A, Sy. No. 38/2B and portions of Sy. No. 39/1, 39/2, situated at Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, which is morefully described in the schedule hereunder for an agreed total sale price of XX,X,XXX /- (Rupees XXXXXXXXXXXXX only), paid as hereunder. a) Rs.XX,000/- (Rupees XXXXXXXXXXXXX only) paid by the way of

Cheque XXXXX, on XX/XX/20XX, the receipt of which sum the vendors hereby jointly acknowledges, at the time of executing this agreement of sale. b) Rs. X,XX,000/- (Rupees XXXXXXXXXXXXXXXXXXXXX only) paid as total sale consideration by Cheque bearing No, dated : .2014, drawn on . Bank, Branch, Bangalore 560 0., the receipt of which sum the vendor hereby acknowledges. c) Balance sale consideration of Rs X,XX,000/- (Rupees XXXXXX

XXXXXXXXXXX only) to be paid within 90 days from the date of this agreement of sale. 2) The Vendor hereby agree to sell the Schedule property in favour of

the Purchaser or his nominees, representatives or assignees or power of attorney holders and get the same registered before the competent Sub-

Registrar, within 90 days by paying the balance sale consideration as stated above. 3) The vendor hereby agrees to sell the Schedule property in favour

of the Purchaser or his nominees, representatives or assignees or power of attorney holders and the same registered before the competent SubRegistrar, and deliver vacant possession of the schedule property at the time of registration of the sale deed. Hence the vendors have not delivered vacant possession of the schedule property at the time of this agreement of sale. 4) The purchaser agrees to purchase the schedule property from the

Vendor herein free from all encumbrances charges, attachments or liens. 5) The Vendor has also furnished the Xerox copies title deeds of all

the documents of title etc., in their possession and custody relating to the Schedule Property to the Custody of the purchaser. 6) The Vendor assures the purchaser that the Schedule Property is

free from all encumbrances, like wise in any manner and assure, if there be any such defect in the title to the schedule property the Vendor hereby expressly undertake, he will set right the same at his own cost and risk and the Vendor further declares, he had not alienated the schedule property in favour of any one in any manner except through this Agreement, and the Vendor and all persons claiming through him shall and will from time to time upon the request of the purchaser or his heirs undertakes to do all such assurances, deeds and things as may be

legally required and necessary to complete the transfer, all his rights, title and interest in the schedule property at the cost of the vendor. 7) The vendor hereby assures the purchaser the Schedule property is

not subject to any attachment of decree either of Civil or Criminal Courts, or Acquisition Proceedings. 8) The Vendor hereby undertake to furnish all the relevant title

deeds, revenue documents, upto date encumbrance certificates and any other documents which are legally required before the registration of sale deeds pertaining to schedule property. 9) It is mutually agreed by and between the parties that the expenses

relating of stamp paper, registration charges and legal expenses shall be borne by the purchaser. SCHEDULE

All that piece and parcel of residential Site No XX. , (formed out of residential converted Sy. No. 36/6, Sy. No. 37/3B, Sy. No. 37/4, Sy. No. 38/2A, Sy. No. 38/2B and portions of Sy. No. 39/1, Sy. No. 39/2, situated at Dyvasandra Village, Jigani Hobli, Anekal Taluk, Bangalore Urban District, in the residential layout known as SARK GREEN FIELDS.

Measuring : East to West North to South : XX Sq. ft : XX Sq. ft

in all totally measuring XXXX Sq. Ft. and bounded on : East by West by North by South by : Site no. XX : XX ft. Road : Site no. XX : Site no. XX
