SECRETARYS CERTIFICATE I, JENNIFER LAWRENCE, of legal age, with office address at 1030 Belen St. Paco, Manila, on the basis of the corporate records, do hereby certify that under oath that: 1. I am the Corporate Secretary of MYSTIC PIZZA, INC. (corporation), a corporation duly organized and existing under Philippine laws, with the same office address given above. 2. At a special meeting of the Board of Directors of the corporation held on January 27, 2014, at which meeting a quorum was present and obtained throughout, the following resolution was unanimously approved and adopted: RESOLUTION NO. 27 RESOLVED, that the Board of Directors of MYSTIC PIZZA, INC., hereinafter referred to as Corporation, hereby authorizes the Corporation to obtain a loan of FIVE HUNDRED THOUSAND PESOS (P 500,000.00) with Banco Solitario to finance the purchase of the three (3) VX300 HTC Motorcycles, as shown in this Board Resolution, substantially in the form presented and that the matters and things in this resolution, be in all things approved, authorized and agreed to; RESOLVED FURTHER, that RAMONA DY, the Vice President of the Corporation is hereby authorized and directed to sign, execute and deliver, in the name and on behalf of the Corporation, the loan agreement, and such other documents and deeds, and to take such steps, and to do such thing as may be prescribed by law or as they may deem proper or necessary in the premises. RESOLVED FINALLY, that the Corporation be furnished a copy of the foregoing resolution for its guidance and may continue to rely on the authority conferred thereon unless and except to the extent that the foregoing resolution shall be revoked or modified by the receipt of any subsequent resolution/s of the Board of Directors of the Corporation. 3. The foregoing resolution has not been revoked, amended or in any manner modified and accordingly, the same may be relied upon until a written notice to the contrary is issued by the corporation.
