Application, Acceptance & Participation Rules & Regulations


1. Contract 1.1. An applicant is officially considered as an Exhibitor only upon submission of the duly signed Space Application Form by both ECCP & Exhibitor and upon payment of the participation fees. 1.2. As an Exhibitor, the participating company is responsible for compliance with guidelines and other regulations enforced by the Organizers/Event Manager, Venue Owner and Booth Contractor. The Exhibitor must inform its concerned management and staff promptly and comprehensively of the relevant regulations of the event. By signing the application form, the Exhibitor recognizes the Organizers Application, Acceptance and Participation Rules and Regulations together with all other regulations. 1.3. The Organizers/Event Manager reserve the right to interpret, modify, supplement and amend any of these Rules and Regulations and to issue additional rules and regulations in written form at any time they consider necessary for the orderly operation of the Exhibition. All interpretation of these Rules and Regulations and any additional rules and regulations by the Organizer shall be final.

2.1 All peso check payments for Cebu Water Challenge Forum 2014 participation must be made in favor of the ECCP. Bank charges incurred for payments made thru telegraphic transfer or bank drafts shall be on account of Exhibitor. Cash payments must be deposited directly to the above HSBC Peso Savings Account. In case of bounced checks, replacement shall be made immediately either in managers or cashiers check. ECCP will require the company to make all payments to future ECCP events in manager or cashiers checks. ALL PAYMENTS FOR BOOTH RENTAL ARE TAX EXEMPT AND MUST BE NET OF BANK CHARGES. ONLY COMPANIES PAID IN FULL UNDER THIS CONTRACT SHALL BE ALLOWED TO INGRESS. 5

3. Booking Procedures 3.1 All exhibitors must indicate their 1st to 2nd booth location choices (is asked) in the reservation form and floor plan. The quantity of booths indicated in the reservation form is deemed final and will be the basis of settling overlapping booths. 3.2 Exhibitors with confirmed booth reservations will be issued a Statement of Account (SOA). 3.3 Once the SOA has been issued, exhibitors who commit to a quantity of booths which enabled them to 'win' the space should pay the cancellation charges if they decide to decrease the quantity of booths. Said exhibitors will also lose their priority in the space and the Organizers have the right to offer it to the competing exhibitors if they are still interested, or to a new applicant. 3.4 Exhibitors have seven (7) working days from SOA issuance to pay the 50% downpayment to confirm their reserved booths. 3.5 Booth reservations is on a first-come, first-served basis. 4. Booth Height Limitations Maximum height for special design booths or superstructures is 3 meters. In no circumstance should special design booths visually block neighboring booths. Special design booths must ensure that back walls are constructed and painted properly and booth name/signage should not be visible on the back or side wall of neighboring booths. Neither wires nor plywood must be left exposed. For shell scheme booths, the maximum height allowed is 8 ft or 2.44 meters. 5. Booth Size All booth size is 4sqm (2m Long x 2m Deep)

6. 6.1. Conditions to Exhibit A Supervision & Responsibility fee (SRF) of PHP 250/sqm nett will be collected from Exhibitors using a third-party Contractor (in-house or outside) to modify or upgrade a shell scheme booth (e.g. fabricate/do carpentry works) or install a special booth design. The non-refundable SRF will be payable to Centrex to ensure that damages which may occur in the set-up and tear down of the booth sub-Contractors (in-house or outside) are covered. Subleasing of space during the show is not allowed. Only registered Exhibitors will be allowed to exhibit within their registered booth in particular and exhibit hall in general. The Organizers can cancel the participation of the Exhibitor; forfeit the amount paid for participation and disapprove the violators (company & authorized signatory) participation in future exhibitions. Walkways or gangways should not be blocked by any display or advertising materials. All display and advertising items must be kept inside the carpeted areas/designated booth areas. Foot stickers or other marketing collaterals must be kept inside the booth areas and can be removed by the Organizers in case these are placed in common/public areas. To avoid crowding and inconvenience, guests in your exhibit area should not block the aisles or extend into neighboring exhibits. Guests viewing video monitors or participating in your merchandising activities (i.e. demonstrating, selling, etc.) must be within your exhibit space, and not in the aisles. In the event that guests can be seen to be seated outside of the designated exhibit spaces of the concerned Exhibitors, the Organizer will charge appropriate fees for the additional exhibit space. The use of musicians, entertainers, bullhorns and sound system equipment in the contracted booth area except by the Organizers are not allowed. Loud speakers and carnival tactics will not be allowed. No Exhibitor will be allowed to use the venue for extra-ordinary activities such as launching of products, inauguration of branch office and similar activities that may affect the normal program and flow of the public without the written request from Exhibitor and expressed/written approval of the Organizing Committee. The Organizers of Cebu Water Challenge Forum 2014 are not to be held responsible or liable for any act, error, damage, loss, delay or irregularity, inconvenience or claims, arising out of or by an act of omission or through neglect and default of any participating company or Exhibitor during, or as a result, of the Exhibition. Distribution of flyers or leaflets must be done within your booth areas. Flyers distributed outside of your respective exhibit areas will be confiscated by marshals of the Organizer.

7. Cancellation and Postponement of the Exhibition

The Organizers reserve the right to cancel, alter in character, reduce in scale, shorten or extend the duration of the Exhibition at any time without incurring any liability whatsoever to the Exhibitor due to the circumstances outside the Organizers control including but not limited to war, embargo, civil unrest, legal proceedings or government regulations that make it impossible or impractical for the Organizers to hold the Exhibition. The Organizers reserve the right to change the plan, site character, or Exhibition Venue at any time without giving notice to the Exhibitor. The Exhibitor shall have no claim against the Organizers or their agents, whether for loss or damage, except for a proportional allowance for space rental if deemed appropriate by the Organizers (in their absolute discretion) but shall not be liable for any further compensation to the Exhibitor in respect of any cancellation, alteration, reduction, shortening or extension made in accordance with this provision. 8. Unforeseen Occurrences

In the event of any occurrence not foreseen in this Terms and Conditions or in the Exhibitors Manual, the decision of the Organizers shall be deemed final.

Basic Guidelines for the use of the Ballroom/Function Rooms
The following rules and regulations apply to any of the companies or persons directly or indirectly involved with the Marco Polo Plaza Cebu in the execution of any contractual agreement within the premises of the Hotel. Marco Polo Plaza Cebu reserves the right to refuse any materials brought in that does not adhere to its safety measures. 1. ACCESS All materials are to be delivered and picked up through the Hotels loading area. A filled out Ingress / Egress form will be collected by the guard on duty. Please ensure that the suppliers company name, contact persons, contact numbers and names of staff for the ingress/egress are properly coordinated to the guard. No company ID, no entry. Please provide company IDs to all staff present for the ingress and egress. Ingress and egress time starts at 6:00 PM and ends at 10:00 PM or may be extended depending on the need.

2. BANQUET HOUSE RULES All contractors and organizers for events and functions inside the hotel shall observe the following banquet house rules: All personnel of contractors and organizers must observe proper dress code while inside the hotel. Wearing of slippers, sandals, sleeveless shirts and shorts is not allowed. Smoking inside function rooms is strictly prohibited. Painting and welding of materials must be done outside the hotel. Pre-fabricated materials is encouraged. Bringing in of electric appliances such as monitors, sound systems, neon lights and etc. must be coordinated with the banquet manager and technical department for appropriate computation of power load and corresponding charges. No fireworks are allowed inside the function room. There shall be no semi-permanent and permanent fixtures. The use of nails, screws, double-sided tapes, pins, glue gun, paint or any material that may cause damage or alteration to the hotel property is strictly forbidden. The hotel reserves the right to charge the contractors/organizers for any damages caused by them. Using paint directly or indirectly that may cause stain on function room doors, walls and floors is not allowed

Basic Guidelines for the use of the Ballroom/Function Rooms
Setting up of flower arrangement should be done outside the function room and preferably at the loading bay area to avoid unnecessary clutter and garbage. If cannot be avoided, then flowers and plants must be initially washed and cleaned at the loading bay area before allowed entry to the hotel. This is to take out possible pest and flies that may cause infestation when allowed access inside the hotel. Any damages to the physical structure and furnishings of the function room shall be chargeable to the damage bond posted or repairs will be charged to the account of the organizer. All banners, props, backdrops and wall decorations shall be mounted with the Hotels approved method of installations. These will only be restricted to the assigned area and should not, in any way, block or restrict circulation. Materials shall be placed on the floor and shall not be left leaning against the walls, windows, pillars or wall panels. The marble floors and carpeted areas shall be well protected and no material (i.e. sand) should be strewn on carpets or marble floor without adequate cover sheets. Suppliers are to bring their own tools. The Hotels equipment shall not be used unless prior approval had been obtained. Fabrication of props and other function materials should be only done in areas designated by the Engineering Department. Use of helium-filled or flying balloons is strictly prohibited. FIRE AND SAFETY All materials used, methods of installations and the structural fitness thereof shall comply with all local safety codes and no temporary structure will be installed in such a way that will hinder or obstruct the operation of the Hotels fire and life safety routes and equipment. All exit doors, stairwells and service corridors shall be kept free of obstruction, unlocked and readily operable at all times during the function. No open flames to be used. Smoking and the use of fire inside the function room are strictly prohibited.

4. MEALS a. Any meals not prepared by the Hotel should be taken outside the Hotel premises. Otherwise, a clearance fee ranging from Php 1,500.00 Php 5,000 will be charged. b. Any food or drinks brought in, or from the hotel, will be consumed in designated areas only as instructed by the Hotel Representative. c.

d. Meals at the cafeteria are at Php 200.00 per person. This should be arranged with the Hotel Representative at least 24 hours prior to availment. 5. ELECTRICAL SUPPLY The contractor/agent acknowledges and agrees that it shall strictly adhere to the Hotels procedures for any supply and installation of electrical wiring and fixtures in relation to any electrical installation and wiring conducted in that regard. No deviation from those procedures shall be permitted without a written approval from the Hotels Engineering Manager. All additional tapping should have a prior approval from the Engineering Manager and subject to cost charges as identified. Splices, scratches and loose or temporary wire connection should be properly insulated. Use of old and dilapidated wires are not allowed. Any damages incurred by the supplier during the set-up should be rightly reimbursed. The contractor and/or supplier assumes full responsibility for and agrees to indemnify the hotel for any damage (including any consequential loss) to the Hotel premises caused by the Exhibitor, his workers, agents, employees and independent contractors engaged by the Contractor/Organizer. Booth Entitlements Each shell scheme booth of 2m x 2m booth is equipped with the following amenities: One (1) White information table 100cm (W) x 50cm (D) x 75cm (H) Two (2) Black Conference Chair One (1) Fluorescent lamp sets (40 watts each) for 2m x 2m booth One (1) convenience outlet (220V, 300W, 3 Gang- 2 Prong ) Needle-punch carpet lay direct to the floor (color: green) Original OCTANORM aluminum framing in natural anodized finish with 3mm thk VERSA panels Exhibitors' name on fascia board (PVC sticker, computer cut-out, Blue color) Important Note: Booths requiring 24-hour electricity are subject to additional charges for electrical consumption. Please declare your electrical load requirements. EXTENSION CORDS ARE NOT ALLOWED. SHOULD YOU REQUIRE MORE POWER SUPPLY, PLEASE ORDER AN ADDITIONAL CIRCUIT BREAKER FROM CENTREX CORPORATION . TO AVOID TRIPPING / SHORT CIRCUIT AND FIRE. Walls and partition using 2.5m (H) X 1m (W) 3mm Versa panels supported by aluminum framing system Company Name on fascia shall be limited to 20 characters including spaces. There will be an additional fee of Php 20 per extra character. It shall be done in 100mm 3 high letter cut outs. No logo type or custom made signs shall be allowed without prior notice. (Color: White text with red background for domestic pavilion and blue background for international pavilion) Exhibitor Guidelines PLEASE PROVIDE A 4-INCH ALLOWANCE FOR THE SHELL SCHEME POLES WHEN PLANNING AND BUILDING YOUR SPECIAL BOOTH DESIGN. Floor marking will take at least 4 hours (minimum) before entry of special design Contractor. All heavy displays should be placed in their booth after installation of carpet; otherwise it will be charged as an outright purchase. Official carpet color chosen by the Organizer is not allowed to change unless a special arrangement has been made by the Exhibitor prior to ingress and subject to additional charge. All furniture and electrical provisions included in the shell scheme package cannot be changed to other items without prior approval from Centrex before the ingress. Additional facilities like furniture, furnishings and showcases electrical and audio visuals, panels with framing, plants and flowers, etc. may be rented by the Exhibitor only from the Official Contractor unless such additional facilities are not available from the Official Contractor. Any damage, loss or disfigurement of the system and supplied facilities while in custody or care of the Exhibitor/Lessee shall be repaired or replaced at the Exhibitor/Lessees expense. The Exhibitor/Lessee is prohibited from painting, puncturing by screws and nails, pasting or any action that may otherwise damage or disfigure the shell-scheme and/or the framing system. CENTREX shall supply the proper hooks and non-damaging adhesives at the Exhibitor/Lessees expense.

ACCESSORIES AND FACILITIES ORDER ACCESSORIES AND FACILITIES ORDER. As the OEDC, Accessories and facilities like Chairs, Tables, Spotlights, Plants, Etc. (Refer to Accessories and Facilities Order Form, Catalogue & Relevant Price List) may be rented by the Exhibitor/Lessee only from CENTREX unless such additional facilities are not available from CENTREX. Requests for Additional Accessories and Facilities must be submitted to CENTREX not later than 12 July 2012. After this date, the Organizer and/or CENTREX shall have the option to accept or refuse orders for Additional Accessories and Facilities. Late orders, if accepted, shall be serviced on a firstcome, first-serve basis with no guarantee of delivery on time and will be subject to Late Order Surcharge of 30% or On-Site Surcharge of 50% and availability. A NO PAYMENT, NO DELIVERY for pre-orders, on-site orders and late orders shall be followed. ELECTRICAL FACILITIES AND INSTALLATION ELECTRICAL REQUIREMENTS. All electrical requirements must be ordered from CENTREX: exhibitors, non-official contractors and in-house contractors shall not be allowed to connect any electrical device other than those provided by CENTREX. All Exhibitors must submit their power load requirement to Centrex for proper installation of electrical supply to avoid power interruption during the exhibit proper. All electrical wirings by Exhibitors and other Contractors should be properly covered or taped. SAFETY. All electrical requirements must be disclosed to CENTREX for proper circuit breakers, wirings & other safety standards. CONVENIENCE OUTLET. A standard booth system shall have a 3 gang convenience outlet with a maximum power of 300 watts. Exhibitors/Lessees must not exceed this and must inform and order the proper circuit breaker for the additional electrical load needed. The Exhibitors are requested to be guided accordingly. Exhibitors shall not be allowed to connect any electrical device other than those, which can be plugged into the convenience outlets provided. Only the Official Contractor or his authorized representative shall be allowed to install electrical connections within the exhibition hall. All electrical displays must conform to government standard and exhibit venue safety requirements. The Organizers and/or Official Booth Contractor reserve the right to refuse connection and/or disallow the installation of any display or electrical devices and/or remove such displays or devices, which fail to conform to the safety standards.

EXHIBITORS INGRESS AND EGRESS INGRESS. Exhibitors are not allowed to move in before their authorized schedule. During moving-in, exhibitors are not allowed to have their materials or equipment aisles, and must stay within their allocated boundaries. Items left on aisles may be removed by CENTREX at exhibitors expense. EGRESS. Exhibitors are not allowed to take down and move-out any part of their exhibition equipment without prior clearance from the organizer and CENTREX. All accounts due to the organizer and CENTREX must be settled prior to egress. Items left behind after move-out time, may be removed by CENTREX or organizer at exhibitors expense for hauling and storage, and CENTREX shall not be held liable for any damages thereto. Items unclaimed 5 days after egress and move-out will automatically be subjected for immediate disposal at exhibitors expense. OTHER CONTRACTORS SOLE CONTRACTOR. As OEDC, CENTREX CORPORATION shall be the sole Official Contractor for the exhibition. No other contractor is allowed to move-in, construct, assemble, decorate, install or supply any material or provide any services within the Exhibition with prior approval of CENTREX. Exhibitor/s using Outside Contractor should submit the name of the Outside Contractor/Designer to the Organizers and the Official Booth Contractor. PRIOR ACCREDITATION. CENTREX shall require contractors of exhibitors to get prior accreditation (refer to Application for Outside Contractor). Outside Contractors & Workers without accreditation shall not be allowed within the Exhibition venue. An appropriate Supervision/Responsibility Fee (SRF) of PHP 150/sqm exclusive of VAT shall be charged and must be paid prior to entry by the Outside Contractor. PRIOR APPROVAL. CENTREX shall require Outside Contractor to submit plans and other shop drawings for approval at least 30 days before scheduled ingress. CENTREX reserves the right to make revisions on plans and shop drawings which would not conform to OCTANORM System. It also reserves the right not to allow the installation of designs and materials not approved or without prior approval.

ADDITIONAL LABOR AND SERVICE REQUIREMENTS Additional manpower & other services shall be supplied by CENTREX on a firstcome, first-serve, and availability basis. FIRE SAFETY AND REGULATIONS EXHIBITION MATERIALS. No exhibit materials may be installed within the exhibition if it does not pass the Match-Flame Test. MATCH FLAME TEST. Exhibit materials when subjected to match flame 12mm from below for a period of 15 seconds must not catch flame or cause to spread to its surrounding areas. Materials not conforming to the above test must be treated with appropriate Fire Retardant Chemical or Treatment prior to installation. TESTING. The Organizer and/or CENTREX may require Exhibitor/Lessee to submit samples of exhibit materials for testing and reserves the right to disallow and remove any or all exhibit materials not conforming to above test. Other than those provided by the Organizer, the Exhibitor is responsible for additional materials and equipment related to the construction of their booth. Exhibit Rules and Regulations


Security Even with venue security as protection, Exhibitors must take precautions in guarding their exhibit items at all times. Ingress and Egress are sensitive times when thefts are most likely to occur. Personnel should be present in booths and exhibit items are not left unattended during these times. The ORGANIZER/Event Manager shall not be held responsible for any loss or damage that may occur to booth items. All persons manning their exhibit area must wear an ID at all times (move-in, show hours, move-out). Exhibitors must distribute the IDs to their workers for ingress and egress and to the staff who will man their booth(s). The ORGANIZERS shall provide security for the exhibit area and general surveillance of the exhibit premises but will not be liable to losses and damages caused by theft, fire and any other acts that may arise during the event. Janitors will clean the exhibit area at the closing of the show each day to clear them of all visitors and personnel. The area will then be closed by the ORGANIZERS after the security check. Security service is provided to protect your exhibit materials. However, it is up to you to exercise prudent judgment to safeguard your personal property and belongings. Anything of value should be safely kept. You may opt to take insurance for the event duration. Should you wish to have your own private booth guard, please inform the ORGANIZER/Event Manager at least 2 weeks prior to the show. Manning of Booth During the exhibit hours, the Exhibitor is responsible for keeping his booth sufficiently manned at all times. The ORGANIZERS/Event Manager shall not be responsible for any loss or damage that may occur during this time. It is mandatory that the Booth Representative of each Exhibitor should be knowledgeable about the companys operation and can effectively represent the company. By-standers are strictly not allowed inside the booth. Exhibitors and their representatives are likewise advised to arrive at least 30 minutes before the opening of the exhibition each day.

To avoid crowding and inconvenience, guests in your exhibit area should not block the aisles or extend into neighboring exhibits. Guests viewing video monitors or participating in your merchandising activities must be within your exhibit space, and not in the aisles. No aggressive selling, leafletting or promoting will be allowed in the aisles. Insurance The ORGANIZERS will not bear the risk of insurance. It is the responsibility of the Exhibitors to provide sufficient insurance protection against all risk deriving from their participation in the exhibition. Fire Exhibitors are urged to familiarize themselves with the regular exits and emergency exits of the venue. All materials used in the booth must be non-combustible and fireproof. Inks, solvents and other flammable liquids must be removed from the booths after use at the end of the day. Suitable sealed metal containers must be used to transport them to the booth. It is strictly forbidden to bring in flammable substances, compressed or liquid gasses, caustic or corrosive substances, toxic, poisonous or irritating substances inside the exhibit area. Exhibitors must remove plugs, disconnect switches and make sure that no materials are left heated in the booths before leaving at the end of each day. Cavity walls shall not be utilized as storage space. Cleaning and Sanitation Although general janitorial services will be provided, Exhibitors are responsible for cleaning their booths daily before leaving the exhibit. We encourage you to provide plastic waste cans in your exhibit areas. Garbage shall be collected at specified schedules to maintain cleanliness of the exhibit area. The ORGANIZERS/Event Manager shall provide general cleaning staff to maintain cleanliness only in the common areas and aisles. Use Of Booth Please confine your items inside your respective booths to avoid cramping in the walkways and to provide visitors and prospective buyers ample space to walk around and transact business. All Exhibitors should ensure that product displays/booth set-up is well organized and visually pleasing. Stocks must be well-kept and not scattered on the floor. 19

Booth Arrangements
The Exhibitors undertaking is to use the booth for the duration of the event in conformity with the terms and conditions of event participation. The Exhibitors shall not vacate the booth until the date and time stipulated in this manual. No exceptions will be allowed. Please make the necessary arrangements to ensure compliance. Booth Planning Other than those provided by the ORGANIZERS, the Exhibitor is responsible for additional materials and equipment related to equipping the booth. Booth Design The Official Contractor, Centrex will handle the booth construction and installations while the Exhibitor will handle the interior design of their respective booths. No alteration should be done on the booth system. Damage (i.e. Nailing, drilling holes, etc.) to the system and its accessories shall be charged to the Exhibitor who is responsible for the damage.

Exhibitor and Contractor ID Card


Holders of Exhibitor ID cards are authorized to enter the halls during the event proper while Contractor ID cards are valid only during ingress and egress dates/hours. Exhibitors are allocated a quota of free ID cards, but extra Exhibitor ID cards may be ordered if required. A. QUOTA OF FREE PASSES The quota of free ID cards for the Exhibitor is based on the confirmed basic booth/exhibit area as indicated below. 2m x 2m booth/space = 5 EXHIBITOR & CONTRACTOR ID CARDS B. DISPATCH AND VALIDITY Non-personalized Contractor ID cards will be distributed during the Exhibitors ingress. For personalized Exhibitor ID cards, Exhibit Form 3 should be filled out and submitted/faxed to the Event Manager on or before 14 February 2014. To avoid losses, the allocated Exhibitor IDs will be distributed at ingress. Exhibitors personnel must wear badges issued by the Organizers for identification while at the exhibition, WITHOUT WHICH THEY WILL NOT BE ADMITTED INTO THE HALL. Exhibitors are given notice that failure to wear Exhibitor badges inside the exhibition halls during fair proper or transfer/misuse of Exhibitor ID's to non-Exhibitors will merit sanctions from the Organizers. Cancellation of participation in the event voids any Exhibitor ID cards issued before the cancellation. These ID cards may not be used for admission to the event and should be returned to the Organizers at least 2 weeks before the event. C. ADDITIONAL EXHIBITOR ID CARDS AND CONTRACTOR ID CARDS Additional Exhibitor ID cards and Contractor ID cards are must be requested on or before the 14 February 2014. 1. CHANGES and REVISIONS. Prices quoted are per designs and specifications submitted. Any changes or revisions shall be subjected to price adjustments as agreed upon by both parties. No changes and revisions shall be accepted with 30 days of delivery date. For special designs and requirements, a longer period may be required. DESIGN and SPECIFICATIONS. Centrex shall strive to deliver all items per designs and specifications indicated. Should materials specified be unavailable and design is not to industry standards or common practice, we reserve the right to use equivalent materials or revise such designs to follow industry standards. ADDED TAX. Unless otherwise stated, price quoted is subject to prevailing 12% Value-Added Tax (VAT), or other gross taxes due the government. PRICE EFFECTIVITY. Prices indicated herein are effective for the period of terms stated in this quotation. When such period and terms is not indicated, prices shall be confirmed only upon receipt of the required down payment, subject to item 5 below. PRICE ADJUSTMENT. Prices are based on the prevailing costs. Any drastic changes in costs due to force majeure or sudden increases shall be cause for change in contract price. FABRICATION PERIOD. Fabrication or Production Period is thirty (30) working days. Special Designs & Requirements may require longer days. DELIVERY. Delivery dates are estimated based on normal working conditions. We are not liable for any failure to deliver due to events and conditions beyond our control such as but not limited to fire, loss or delay in transit by carrier, strikes, slowdowns and lockouts, adverse weather conditions e.g. typhoons, floods, power interruptions, earthquake and others as may be considered force majeure affecting us and our immediate suppliers. DELAYS. Centrex Corporation shall not be liable for damages and losses arising from the delays in delivery or non-delivery covered by paragraphs 6 and 7. ORDER CONFIRMATION. Only orders with corresponding down payment shall be considered as firm orders, and the date of the bank clearance of the check payment (except for cash) shall be the countdown date of delivery. PAYMENT. Unless otherwise stated, payment for this quotation/agreement shall be as follows: 30 days and more before delivery : 10% down payment of the Total Contract Price or Php. 10,000.00 whichever is higher; 29 days to 20 days before delivery : 50% down payment (to include prior payments); 19 days to 10 days before delivery ; 85% down payment (to include prior payments); Upon delivery/installation : 15% or full payment Payments for sale shall be 50% upon confirmation of order and the 50% balance on or before delivery For additional Accessories and Facilities booked through OEDC Form C or through SOS-Service On Site, full payment prior to delivery. PENALTIES. Payment not received within due dates shall be charged interest at the prevailing rate or 2% per month whichever is higher. Penalties shall be charged per month or fraction thereof. If the service of a lawyer is required, client hereby agrees to pay 25% of the contract price as lawyers fee. LEASED ITEMS. All items supplied under lease remain the property of Centrex Corporation as the lessor. LESSEE and BUYER LIABILITY. The lessee and/or buyer shall be liable based on replacement costs plus lawyers fee, for all damages and losses for all items leased, or bought but not yet paid, including such damage or loss due to force majeure, even if such loss or damage has been caused by third parties. The Lessee or Buyer s liability commences upon delivery and/or installation of leased items and until their return of collection by us even if the lessee is no longer present; buyers liability ceases upon full payment of sold items. Lessees may be required to issue security bonds, security deposits or make other acceptable arrangements. Centrex Corporation reserves the right to enter clients premises or leased venues, and take back possession of all items not totally paid for as per payment due dates, whether rental or sale. CHANGES. Terms and conditions specified herein shall be held binding. Any changes to the above must be in writing duly agreed upon by both parties. OFFICIAL CONTRACTOR. If Centrex is the contracted Official Exhibition and Design Contractor (OEDC) of an Event/Project, the Organizer shall so inform the Exhibitors and include the name of Centrex in publications and printed materials as the Official Exhibition & Design Contractor together with Centrexs OEDC Order forms. As an accredited official contractor of the SM Megatrade Hall (SMMTH), SMX Convention Center (SMXCC) and World Trade Center (WTC), and other venues Centrex is responsible to SMMTH, SMXCC and WTC for all outside non accredited contractors/workers even if they are in-house employees of Exhibitors. A Supervision/Responsibility fee per square meter shall be charged on a no pay, no entry policy. JURISDICTION. Any court action arising from this agreement shall be under the jurisdiction of the Courts of Metro Manila, Philippines.

I/We, hereby release, waive and discharge CENTREX, as well as its officers and employees, for any and all claims of damages or losses to the venue, the Organizer & to Centrex which I/we may have or which may hereafter accrue to me, or my representatives/officers, arising out or connected in any way with my/our movein, build-up, construction, installation and dismantling during the ingress and egress period of the above mentioned event. Whatever damages or losses that may result from actions, inactions and/or negligence of my in-house employees and workers shall be billed to this exhibitor or company. This undertaking is being submitted to facilitate entry and move-in and installation of exhibitor (and its employees) within the exhibition venue. However, this waiver of claims does not apply to exhibitors hiring outside contractors.
