GENERAL CONDITIONS OF TENDER

1.0 THE FORM OF THE TENDER AND ITS ACCEPTANCE


1. Tenders are requested for furnishing all material, labor and equipment for carrying out
all tasks listed in the attached specifications (the Specifications).
2. The Tender as well as the invoice is to be set up in accordance with and in the same
order as the specifications and all tasks numbered accordingly.
3. It is the Tenderer's sole responsibility to ascertain for him the extent of the work
required carrying out and completing all tasks contained in the Specifications. All plans
and dimensions given in the Specifications are for guidance purposes only. The
Tenderer shall take his own particulars and dimensions and be responsible for same. For
pricing purposes, minor variations shall remain as quoted. Only major diversions from
Specification will be renegotiated, always in advance of any work being done.
4. The Tender shall state when a subcontractor is to be employed to perform a particular
task and identify it. In that case, subcontractors shall be Tenderers responsibility.
5. In case that a subcontractor will be appointed by the Owners, no surcharge will be
applied.
6. The Tender shall state payment terms. Owner expects terms equal to or better than
those prevailing in the market.
7. The Tender shall not be regarded as accepted until the Contractor has sent a telex
confirmation to that effect to the Owner.
8. These General Conditions of Tender and the specific requirements of the Specifications
shall apply to the Contract. Should the Tenderer find any clause contained in the
General Conditions or any requirement of the Specifications unacceptable, this must be
clearly stated when the initial Tender is communicated to the Owner's office.
Otherwise, any and all conditions and requirements shall be deemed to be accepted.
The waiving of any clause of the General Conditions or any requirement of the
Specifications shall not abrogate the Contract as a whole nor relieve the Contractor
from the obligation of complying with all other conditions and requirements of the
Contract in the time and manner specified.
9. The person referred to in the Specifications as the Owners Representative, often
abbreviated OR, is the Senior Superintendent in charge of the docking. Owner will
name him upon acceptance of Tender. From time to time, the Owner's Representative
may designate other attending Superintendents or Ship's Officers to serve in his place
for specific purposes. It is the Contractor's responsibility in each particular case to
confirm that someone other than said Senior Superintendent is so authorized.

2.0 QUALITY AND COMPREHENSIVENESS OF WORK


1. All tasks herein specified shall be carried out and completed in all detail. All
workmanship and materials are to be of the best quality throughout and conform to
those now on the Vessel, unless otherwise specified. All work is to be done to the
satisfaction of the Owner's Representative and to the rules and requirements of the
Classification Society concerned. Any dispute that may arise during the progress of the
work as to quality of material or workmanship shall be left to the decision of the
Owner's Representative. The Tenderer shall at his own expense rectify any work not
done in accordance with this Tender or the class requirements.
2. All of the Vessel's structure and machinery shall be in correct alignment on completion
of repairs and necessary measures must be taken to check and recheck the correctness
of alignment before, during and upon completion of repairs.
3. Whenever the Specification calls for opening up machinery or equipment for survey by
the Classification Society surveyor, the nominated units are to be completely
dismantled; all parts cleaned and calibrated (copies of calibration to be handed to
Owner's Representative) and reassembled using new jointing packing; bearings, where
applicable, adjusted to the correct clearances; and the above included in the Tender
price. In each case, the Contractor shall call in the Class Surveyor only after
consultation with Owner's Representative.
4. Any equipment, which is removed to the workshops for repair shall be removed and
replaced at the Contractor's expense.
5. Any parts of the Vessel removed in order to give access to parts to be repaired shall be
restored in good order. Damage to these parts caused by negligence or bad
workmanship shall be repaired / renewed at the Contractor's expense.
6. For any task in the Specification where staging, ventilation or lighting may be required,
the cost of it shall be included in the quotation. No additional charges for staging,
ventilation or lighting will be accepted, unless otherwise specified by the Owner's
representative.
7. If any material or equipment specified or shown in the drawings is unobtainable at the
port of repairs, the Contractor shall obtain written permission from the Owner's
Representative for substitutes.
8. Prior closing any piece of machinery, Owner's Representative shall be given full
opportunity to inspect all parts. Owners reserve the right to demand re-inspection at
Contractor's expense should opportunity not be given.
9. The Contractor shall prepare an agenda for tests and running trials of all repaired and
renewed equipment in order to demonstrate satisfactory workmanship, correct
functioning, adequate strength, tightness and proper alignment. This agenda shall be
submitted to the Owner's Representative for approval in good time before such tests
and trials can commence. Each individual test and trial shall be at Contractor's cost and
shall be carried out in the presence of the Owner's Representative and, if required, the
Class Surveyor.

10. The Contractor shall guarantee workmanship, materials and any newly fitted equipment
for a period of six months following completion of the repairs. The Contractor at his
expense shall make faults due to materials or workmanship discovered during this
period and reported to the Contractor in writing before the expiry of the guarantee
period any defects, good. On completion of such corrective work, a new guarantee
period of six months shall commence for such renewals or replacements. However, the
Contractor's liability does not apply to defects arising out of materials provided by
Owner.
11. The Contractor shall furnish records of machinery calibrations, modifications to ships
drawings, machining details etc, as soon as practically possible after receiving
instruction form OR. At the end of the repair period, the shipyard will provide a draft
fair copy of all such records in the order required by OR, on acceptance of which six
bound copies shall be furnished, each complete with index sheet.
12. Where the Contractor is unable to meet the requirements of this specification, in respect
of suitability of equipment, or sufficient quantities thereof, to the satisfaction of OR, the
Contractor shall rectify the stated deficiencies within 24 hours, or be liable for all delays
and costs incurred resulting there from.

3.0 DELIVERY/REDELIVERY, PENALTY


1. On completion of repairs and in the presence of the Contractor's Representative, the
Vessel is to undergo dock trials and sea trials to demonstrate that all items which have
been repaired or renewed are in good working order to the full satisfaction of the
Owner's Representative. Any defect due to unsatisfactory workmanship or bad material
which is found during these trials shall be rectified by the Contractor with all speed and
at his own cost and expense. On completion of satisfactory trials, the Vessel is
considered redelivered to the Owner.
2. The tender shall state the time required to effect repairs either in calendar days or actual
working days. In the latter case "working days" shall be clearly defined, and any Public
Holidays or non-shipyard working days falling within the anticipated repair period shall
be listed.
The number of shifts normally worked per day on standard time and the working hours
per shift shall be stated. Overtime working periods shall be defined, whether applicable
to weekdays and weekend / Public Holiday working, and the premium charges involved
in each case.
3. The Contractor shall compensate the Owner a sum of $15,000 for every full day the
repairs are not completed within the time stipulated in response to Clause 3.2. By
accepting the Tender the Contractor expressly accepts this rate of compensation as
reasonable and justified.
4. It is understood that the Contractor without any extra compensation may utilize
overtime in order to avoid a delay, which would otherwise incur penalties per clause
3.3.

4.0 EXTRAS AND CANCELLATIONS


1. Any additional work required to be done due to the Contractor's negligence shall be
done at the Contractor's expense and no extension of time shall be allowed.
2. Any additional work beyond that specified in the Specifications to be carried out by the
Contractor shall be specifically approved in writing by the Owner's Representative
before the work is started. Otherwise for Contractors account.
3. Itemized prices are to be produced within 24 hours for all additional work.
4. The time stated in Clause 3.2 shall be strictly complied with and no extension will be
allowed unless it is mutually agreed that the extra work cannot be concurrently carried
out together with the other work.
5. Such an agreement being reached, no overtime charges incurring on any additional
work will be accepted unless agreed to by the Owner's Representative in writing and
before such overtime work is started.
6. Any additional work done in the course of the repair shall be charged on equivalent
terms to tendered items.
7. On any additionals, Owners reserve the right to hire own contractors directly provided
contractor price is no more than 95% of Yard quote for said additional. The Yard shall
be allowed a surcharge of 3% on the invoiced amount of any additionals contracted
directly by Owner and performed while the Vessel is in the Yard.
8. A rebate shall be allowed for any work not carried out or effected as specified or if any
of the specified items in the Specification are cancelled. The repair price shall be
reduced by the corresponding amount in accordance with the itemized prices in the
Tender.
9. If one or several of the cancelled items are determining the length of the repair time
quoted in response to Clause 3.2, the time shall be reduced accordingly.
10. Notwithstanding any provisions herein stated, Owners reserve the right to cancel any or
all of the items specified in the Specification without liability to them.
11. The Vessel's crew will remain onboard during the Vessel's stay in the shipyard.
Notwithstanding any provisions herein stated, Owners reserve the right to allow the
ship's crew to carry out maintenance and repair work during the repair period as long as
there is no interference with work performed by Contractor personnel.
12. Notwithstanding Clause 4.7, Owners reserve the right to engage specialist contractors
to carry out work in connection with:
ship's computational, communication and navigation equipment
other specialized or advanced equipment which cannot be done by the
Contractor's own staff
Any specific repair or overhaul, where in the opinion of OR, the Contractors labor
force, is insufficient number, or whose tools and equipment are considered unsuitable
for the work.

5.0 SCHEDULE AND INVOICING


1. A detailed but provisional schedule of work is to be drawn up and submitted to the
Owner's Representative prior to the vessel's arrival in the shipyard.
2. On ship's arrival, the Specification will be reviewed again during a meeting to be
attended by the Contractor and the Owner's Representative. Some modifications may
then be introduced in the work list to take into account supplementary requirements or
the cancellation of certain items. A revised total price and work schedule should be
submitted to the Owner's Representative within 48 hours following this meeting.
3. Without prejudice to Clause 3.3, any delay in the schedule shall immediately be brought
to the attention of the Owner's Representative in writing together with the reason for
that delay.
4. A complete work list covering all work performed from which the final account is to be
complied shall be presented by the Contractor for countersigning by the Owner's
Representative prior to his leaving the shipyard.
5. Within 72 hours prior ship's departure, an estimate of costs for all works shall be
submitted to the Owner's Representative. If possible, a draft invoice should be
submitted to the Owner's Representative.
6. The invoice is to be based on the itemized prices quoted in the Tender plus and minus
additionals and cancellations that are to be clearly specified.
6.0 INSURANCE AND LIABILITY
1. The Contractor shall be responsible for any loss or damage to the Vessel or any of her
fittings or equipment or stores, occurring out of the negligence of the Contractor his
subcontractors, personnel, servants or agents during the Contractor's period of liability,
excepting any loss or damage occasioned by acts of God, or other causes over which
the Contractor has no control. The Contractor shall take out adequate and proper
insurance amply covering all workmen at the minimum as required by law, it being
expressly understood that all workmen furnished by the Contractor for the purpose of
completing the work described shall, at the times, be the employees of the Contractor
and not of the Owners. The Vessel will be kept insured by the Owners throughout the
Contract, but such action by Owners is not intended to and shall not be construed as
releasing the Contractor form any of the liabilities implied in this clause.
2. Contractor covenants and agrees to fully defend, protect, indemnify and hold harmless
the Owners, their employees and agents from and against each and every claim, demand
or cause of action and any liability, cost, expense (including but not limited to
reasonable attorney's fees and expenses incurred in defense of the Owners), damage or
loss in connection therewith, which may be made or asserted by Contractor,
Contractor's employees or agents, subcontractors, or any third parties (including but
not limited to Owners agents, servants or employees) on account of personnel injury or
death or property damage caused by, arising out of, of in any way incidental to, or in
connection with the performance of the work hereunder, except such as may result

solely from the negligence of Owners. The contractor shall take out proper insurance
therefore.
3. The Contractor's liability shall begin at the time when the Vessel is delivered to
Contractor's yard, pier or other location designated by him, ready for repairs, and shall
cease only when all of the work herein specified has been completed to the satisfaction
of the Owners or their accredited representative, and all of the Contractors equipment
and all rubbish have been removed from the Vessel, the latter having been duly accepted
by Owners.

SECTION 100 - DRYDOCKING AND GENERAL SERVICES


Contractor will provide following as part of the general services. The cost for these
services is considered contained in the general service prices or in prices given for each
item of this specification unless otherwise noted. Additional services such as outlined below
or other services not included in this specification shall not be applied without the written
approval of Owners Representative.
All general services whether in original specification or additional shall be verified by the
Owners Representative. Unauthorized general services shall not be accepted.
DECK WALKWAY
Provide for a clean walkway on deck that is to remain free of any obstructions such as
material, debris, hoses, and cables. Brackets of sufficient height for passage beneath them
should support any cables and hoses.
SAFE SMOKING AREAS
Provide for safe smoking areas on board the Vessel. The smoking areas are to be
designated by the Owners Representative and the shipyard safety personnel. Smoking is to
be prohibited outside of the designated smoking areas.
TEMPORARY LIGHTING
Wherever lighting of any source is required to carry out repairs, tests or inspections as
outlined in this specification, proper lighting appliances are to be supplied. Any cost
involved with lighting is to be included in prices given for each item of this specification.
TEMPORARY VENTILATION
Wherever ventilation is required to carry out repairs, tests or inspections as outlined in this
specification, proper ventilating appliances are to be supplied. Any cost involved with
ventilation to be included in prices given for each item of this specification.
HOUSEKEEPING
Vessel is to be redelivered in the same clean condition that vessel arrived at the Yard. This
requirement will apply to all ship areas accessible by the yard including tanks, decks, pump
room, and engine room and accommodation areas. If the yard chooses to install protective
material at these areas it will be at the yards cost and subject to Owners Representative
approval.
STAGING
Wherever staging for access is required to carry out repairs, tests or inspections as outlined
in this specification, proper staging is to be supplied. Any cost involved with staging is to
be included in each item of this specification.
CLEANING FOR HOTWORK
Wherever cleaning for hot work is required to carry out repairs, as outlined in this
specification, proper cleaning is to be supplied. Any cost involved with cleaning for hot
work is to be included in each item of this specification.

HULL PREPARATION INSTRUCTIONS

All necessary staging, cleaning up of spent grits or other equipment for grit blasting is
to be included in all quotations.
All ships side valves, impressed current anodes, speed log, echo sounder and any other
external sensors are to be suitably protected prior to commencing of grit blasting.
Propeller newly polished or not shall be suitably protected.
Any deck, pump room and engine room machinery open during grit blasting shall be
protected using temporary wooden covers and heavy-duty polypropylene sheeting.
Deck scuppers are to be fitted with chutes and shipside overboards, which are in use,
are to be fitted with wooden plugs and discharge pipes.
Unless otherwise stated blasting will commence from the stern of the vessel and work
forward.
The dry dock bottom area should be free from grit remnants used in previous drydocking or any other material that could be considered as a source of potential
contamination of the hull.
Areas and standard of grit blasting are to be agreed with the Owners Representative
prior to commencement of grit blasting. Yard to state type and grade of grit to be
employed.
First primer coat of paint is to be applied immediately after air blowing the blasted
areas. The damaged paint edges in way of the blasted areas are to be feathered by light
sweeping.

PAINTING INSTRUCTIONS

All paint application to be made using airless spray unless otherwise specifically
requested. Actual required coverage thickness will be determined by the paint scheme
to be employed. DFTs given below are for guidance only.
Paint will be of Owners supply and will be delivered to yard loose i.e. no pallets.
Quotation will take account of necessary handling of all paint to be utilized. Where 2component coatings are involved, their mixing by the sub-contractors gangs should be
such that a homogenous product is finally delivered to the satisfaction and approval of
the paint inspector or the attending superintendent.
Hull anodes to be protected with masking tape or grease prior to painting.
Propeller to be coated with fish oil.
Paint storage in the dock will be on a volume area control basis with used drums
similarly disposed. Prior to usage, paint stocks will be covered with tarpaulins or similar
to avoid direct sunlight.
No application of paints is to be made until the Owners Representative and paint

SECTION 600 - INTERMEDIATE VALVES


a) Reconditioning
Furnish labor and material to open-up, clean, grind-in, test and repack the valves as listed
below. After cleaning, grinding, and making repairs as directed, the valves are to be
inspected and tested in the presence of the Chief Engineer, class Surveyor, and Owners
representative.
Dress up threads on all removed studs, nuts, and bolts. After inspection and testing, the
interior of valves is to be coated with two coats of yard-furnished coating. Each coat is to
be checked by vessels Chief Engineer and then valves to be closed, using new Yard supply
bonnet gaskets and gland packing. Any additional cost for repairs required should be
advised to Owners Representative who may opt to repair or replace the damaged valves
with new. Fitting of new owner supplied valves will not differ than quoted cost for
inspection and cleaning. Each valve to be priced separately.
For butterfly valves, price is to include replacement of seat ring. Price for opening-up,
including cost of seat ring material, to be quoted separately as shown below.

BOILER FIRESIDE INSPECTION AND CLEANING

Provide labor and material to open the boiler furnace door and side access door for
inspection and cleaning.
Owners Representative will inspect the boiler before and after cleaning.
After authorization of Owners Representative, remove and refit, after work, the cover of
the furnace floor water washing blow pipes, open and re-close, after work, the drain holes
on the floor for access. Lay a sheet of waterproof canvas on the furnace floor, and provide
a means for immediate and constant draining of the water and the removal of sludge,
resulting from washing down. It is the Contractors responsibility to dispose of all water
and sludge from the vessel.
Wash the boiler with 80C, 5 kg/cm2 of hot, fresh water using an armored hose and a hand
nozzle from the stack uptake to the furnace floor, including the roof, screen, generating and
wall tubes. High pressure FW washing up to 2,000 psi @ ambient temperature may be used
alternatively. Pay attention not to let washing water penetrate behind the refractory. After
removal of equipment and the boiler is dry, the boiler furnace to be closed up in good order
using Owner supplied gaskets.
Four (4) 3-meters high single tower staging is required.
Note: It is recommended that this item be carried out before the boiler has been cooled
down.

EXHAUST GAS ECONOMIZER

a) EGE inspection
Provide labor equipment and material to open the side access doors for inspection and
cleaning. Owners representative / Chief Engineer will inspect the boiler before and after
cleaning. Authorized by Owners representative, wash with fresh water the boiler from the
stack uptake to the bottom of the lower tube bank, using high-pressure water jet. Provide
means for immediate and constant draining of the water and the removal of sludge from the

ELECTRICAL MOTORS

Disconnect and remove electrical motors as directed. Take Megger readings before and
after disconnecting leads from motor.
Motors are to be taken to the workshop, completely dismantled, and washed thoroughly
with approved electrical cleaner. When stator and rotor are thoroughly cleaned, they are to
be baked dry and Megger readings taken and given to the Owners Representative.
When directed and Megger readings are satisfactory, stators and rotors to be painted with
an approved electrical varnish and re-baked. The rotors are then to be dynamically
balanced. The motor connection wires to be insulated by tape and varnished. Bearing
housings are to be machined, build-up by metal spray and machined to original size.
Upon completing the above and if the final insulation resistance readings are satisfactory,
the motors are to be reassembled with new Owners supply bearings and grease.
The motors then are to be returned to the vessel and refitted as original after adjusting
alignment with machinery.
Before coupling up with machinery, motor rotation test is to be carried out for correct
rotation. Then operational test is to be carried out to satisfaction of the Owners
Representative.
Note: All motors are 440/110 Volt AC, 3 Phase, 60 HZ, Class H insulation unless
otherwise specifically stated in each item.
