SAP END-USER LICENSE AGREEMENT The SAP iTutor Software (SAP Software) is protected by copyright laws and international

copyright treaties, as well as other intellectual property laws and treaties. LEGALLY BINDING CONTRACT. By downloading, installing or using the SAP Software, or acknowledging your agreement by clicking the "I agree" button, you agree to the following terms and conditions of this legally binding contract. If you do not agree to the following terms and conditions, do not download, install or otherwise use the SAP Software. In the event you have the authority to legally bind your company, you agree that this Agreement shall apply to your company and you further agree to the use restrictions contained herein as they apply to your company. LICENSE GRANT. The SAP Software available for download is a limited functionality version of the commercially available SAP iTutor software. This download license shall not apply to other versions of SAP Software available elsewhere. SAP grants to you a limited, non-exclusive, non-transferable license for you to use the SAP Software as set forth herein. You agree that the use of the SAP Software downloaded from this site is for you personal use only and shall not be used for any other purposes including a business, commercial, or educational purpose. The SAP Software is not to be bundled with other software or services, or otherwise redistributed by you in any manner. You agree that you may not reverse engineer, decompile, or disassemble the SAP Software. You agree not to make derivative works of or with the SAP Software. Should you desire to use the SAP Software for any purpose not permitted above, a full use license may be purchased from the SAP subsidiary located in your region. This SAP subsidiary may be found by going to www.SAP.com . TERMINATION. Should you fail to comply with any of the provisions of this license agreement, this license agreement shall terminate and you must return or destroy all copies of the SAP Software. DISCLAIMER OF WARRANTIES. THE DOWNLOADED SAP SOFTWARE IS BEING PROVIDED TO YOU FREE OF CHARGE. YOU AGREE THAT SAP HAS MADE NO EXPRESS WARRANTIES TO YOU REGARDING THE SOFTWARE AND THE SOFTWARE IS BEING PROVIDED "AS IS" WITHOUT A WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, SAP DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, MERCHANTABLE QUALITY OR NONIFRINGEMENT OF ANY THIRD PARTY RIGHTS. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAP OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SAP SOFTWARE, EVEN IF SAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

LIMITED REMEDY. In the event the SAP Software has a defect or is otherwise defective, your sole remedy shall be the ability to download free of charge software corrections or work around instructions to the extent SAP makes such corrections available. If SAP does not make such corrections available, your sole remedy shall be to cease using the software. The foregoing shall be enforceable to the fullest extent permissible under local law. COPYRIGHT. All rights, title and interest, and all associated intellectual property rights, in and to the SAP Software and any copies thereof are owned by SAP or its licensors. EXPORT RESTRICTIONS. You agree that you will not export or re-export the SAP Software to any country, person, entity or end user. GOVERNING LAW. This Agreement is made under and will be governed by and construed in accordance with the laws of the State of Pennsylvania (except that body of law controlling conflicts of law) and specifically excluding from application to this Agreement that law known as the United Nations Convention on Contracts for the International Sale of Goods. Any action under this Agreement may be brought in a state or federal court in Philadelphia, Pa. and each party waives any objection to the jurisdiction and venue of such courts. ENTIRE AGREEMENT. This Agreement constitutes the complete and exclusive agreement between the parties with respect to the subject matter hereof, and supersedes and replaces any and all prior or contemporaneous discussions, negotiations, understandings and agreements, written and oral, regarding such subject matter.
